Yango Deli Service User Agreement

 

1. Terms and Definitions

1.1. For the purposes of this document, the terms below shall have the following meanings:

Yango Deli Service shall mean all websites (including, but not limited to, those posted on the Internet at: https://deli.yango.com/fr-ci, https://deli.yango.com/en-ci) and software (including programs for mobile devices) that make it possible for a Service User to place an Order for Goods and Delivery under the terms and conditions set out in the User Agreement.

User shall mean a person that uses the Service under the terms and conditions set out in the User Agreement in order to place Orders for Goods and Delivery.

Authorized User shall mean a User authorized on the Service with the login and password assigned during the registration on the Service.

Partner shall mean a legal entity or individual entrepreneur that sells Goods to Service Users under Orders placed by said Users and, in the cases set out in the Contract, effects Delivery (if Delivery is effected by the Partner) to Service Users and which has accepted the Offer and acts as a customer of Yango Deli Services under the Contract.

Order shall mean an order for Goods and Delivery placed by the User through the Service whereby the User enters into a contract with a Partner for the preparation and/or sale of Goods and a contract with the Delivery Agent for the Delivery of said Goods (or, if Delivery is effected by the Partner, with the Partner, respectively) on the terms and conditions defined by the Partner and posted on the Service.

Contract shall mean a contract for the sale of Goods with the Partner and/or a contract for the Delivery of Goods with the Delivery Agent (or, if Delivery is effected by the Partner, with the Partner, respectively), concluded between the User and the Partner and/or the Delivery Agent as a result of placing an Order.

Goods shall mean alimentary product, food products and beverages (except for products, the circulation of which is limited in under the legislation of Côte d’Ivoire), as well as non-food products, which are prepared for Users and/or sold to Users by the Partner as a result of the User placing an Order on the Service. When mentioning Goods in the User Agreement or other documents specified in Clause 2.2. of the User Agreement, it means both one or several items of Goods, unless otherwise stipulated in the User Agreement or another relevant document.

Delivery shall mean the service of Goods delivery to the User for which an Order is placed by the User on the Service. A delivery contract with the User is concluded with the Delivery Agent or, with the Partner if the delivery is effected by the Partner, with the User placing an Order on the Service. The Partner or the Delivery Agent has the right to engage third parties to deliver Goods to the User.

Delivery Agent shall mean a legal entity or an individual entrepreneur that effects the Delivery of Goods for which an Order is placed by the User (except for cases of Delivery by the Partner). Information about the Delivery Agent is given to the User when placing an Order.

User Agreement shall mean this document posted on the Internet at: https://yango.com/legal/deli_termsofuse

Yango Deli shall mean FOODTECH SARL Limited Liability Company (address: Ya Abidjan, Cocody Danga, Rue des Jasmins, Parcelle 30, Ilot 4, Lot 37 en Côte d’Ivoire, reg. number: 0036101B);

Promotional Code shall mean a certain sequence of symbols upon the activation of which, subject to compliance with other terms and conditions for the use of a Promotional Code, the User is granted a discount on the cost of Goods and/or Delivery and/or Service Fee.

Yango Application shall mean Yango software for mobile devices, provided to Users under the terms and conditions of the License Agreement for the use of Yango software for mobile devices, publicly available on the Internet.

Yango Deli Application shall mean Yango Deli software for mobile devices, provided to Users under the terms and conditions of the License Agreement for the use of Yango Deli software for mobile devices, publicly available on the Internet.

1.2. The User Agreement may contain terms not defined in Clause 1.1. hereof. In such cases, these terms shall be interpreted based on the text of the User Agreement. If there is no unambiguous interpretation of the term in the text of the User Agreement, the term should be interpreted as follows: firstly, by the laws of the Republic of Côte d’Ivoire; secondly, on the Service; and then following the prevailing (commonly used) interpretation on the Internet.

 

2. General Provisions

2.1. This User Agreement constitutes Yango Deli’s offer to the User to use the Yango Deli Service.

2.2. The User’s use of the Service is governed by this User Agreement, as well as:

hereinafter collectively referred to as the “Regulatory Documents.”

2.3. By starting to use the Service/its individual features, the User is deemed to have accepted the User Agreement as well as the terms and conditions of the Regulatory Documents in full, without any reservations or exceptions. If the User does not agree with any of the provisions of the User Agreement and/or Regulatory Documents, the User may not use the Service.

2.4. Yango Deli has the right to change the provisions of the User Agreement and Regulatory Documents at any time without notice to the User. The current version of the User Agreement is posted at the address specified in Clause 1.1 hereof. The User bears the risk of not being familiar with the new version of the User Agreement and Regulatory Documents. Continued use of the Service after a change in the User Agreement or Regulatory Documents shall be deemed as acceptance of the new version.

2.5. If Yango Deli made any changes to the User Agreement, in the manner provided for by Clause. 2.4. hereof, with which the User does not agree, then the User shall stop using the Service.

2.6. The Service enables the User to order Goods and Delivery from the Partner and/or Delivery Agent on the terms and conditions defined by the Partner and/or Delivery Agent and posted on the Service.

Depending on the combination of functional features of the Service related to such factors asthe User’s region, the User’s address, the type of Delivery, etc., the User may be charged a Service Fee for the use of the features of the Service (hereinafter, the “Service Fee”). The amount of the Service Fee is determined on the basis of automatic algorithms considering the above mentioned factors and is displayed in the Service interface at the time of the placing of an Order by the User.

In some cases, in the interests of increasing the level of Users’ loyalty to the Service and carrying out marketing activities, Yango Deli has the right to provide the User with a discount on the Service Fee.

All current features of the Service, as well as any development thereof and/or the addition of new ones, are subject to the User Agreement.

2.7. Depending on the User’s region, delivery address, information about Goods provided by the Partner, as well as other circumstances, all or any features of the Service may be unavailable or limited. Features are deemed inaccessible (limited) for the User if the User cannot use them explicitly. The use of any technical or software methods to circumvent these restrictions is prohibited. The provisions of the User Agreement governing the features of the Service not available (limited) for the User do not apply until such features are explicitly made available to the User. Information about the availability of features of the Service is provided to the User at his/her request sent to Yango Deli.

2.8. By using the Service, the User agrees to receive messages/letters and other communications of an advertising nature from Yango Deli. The User may refuse to receive promotional messages by using the relevant functionality of the Service or by following the instructions specified in the received message of an advertising nature (if any).

2.9. When the User uses the Yango Deli Service, the User is not a party to the Contracts concluded by the User with Partners and/or Delivery Agents for the sale of Goods and providing delivery services respectively. Yango Deli shall solely provide the opportunity for placing an Order within the Service, as defined in Clause 2.6 hereof, and shall be responsible solely to the extent of the Service Fee.

2.10. Yango Deli is not an authorized organization in the meaning of consumer law (Law No. 2016-412 of 15 June 2016 “Relating to consumer Law”) and does not review and settle claims of Users regarding Goods and/or Delivery of improper quality, which were ordered through the Service. When the User contacts Yango Deli with respect to the Contract entered into as a result of an Order, including complaints regarding the implementation of the Contract, Yango Deli shall have the right to forward relevant information to the Partner and/or Delivery Agent, as well as to forward to the User the information received from the Partner and/or Delivery Agent on these matters.

2.11. Yango Deli shall not be responsible for the content and/or relevance of the information provided by the Partner and/or Delivery Agent about Goods and/or Delivery, including information about the cost of Goods and/or Delivery, the timing of preparation of Goods and/or effecting Delivery, and the current availability of the Goods.

2.12. In some cases, the information about which is given to the User when placing an Order on the Service, the User shall not be charged additionally for the cost of Delivery (Yango Deli ensures that the Delivery Agent provides the User with a discount on the cost of Delivery).

2.13. The User can use certain features of the Service, including Order placement, after registration and authorization on the Service. When registering, the User agrees to provide the data requested on the Service in the registration form, as well as to specify the e-mail address to be used as a login, and the password. The User shall not transfer the login and password assigned to them during registration, to third parties, and ensures the safe-keeping and confidentiality of the login and password. All actions performed using the User’s login and password on the Service are deemed to be performed by the User.

2.14. The User may not use more than one account when using the Service. If Yango Deli detects circumstances indicating a violation by the User of the terms and conditions specified in this clause, Yango Deli shall have the right to take the measures stipulated by Clause 4.1 hereof.

2.15. The Service offers the User the opportunity to review the materials placed on the Service, the opportunity to order Goods and Deliveries from a Partner and/or Deliverer on the terms defined by the Partner and/or Deliverer and placed on the Service, as well as the opportunity to use other functions and services provided by the parameters of the User's Order and/or User Agreement.

Yango Deli grants Users the right to use the Service functionality to review materials and offers from Partners and Deliverers posted on the Service under a simple (non-exclusive) license free of charge.

The use of the functionality of the Service for ordering Goods and Delivery from the Partner (including Pick-up order, if any) and/or Deliverer on the conditions defined by the Partner and/or Deliverer and posted on the Service is subject to a simple (non-exclusive) license according to the User Agreement, as well as the applicable part according to the License Agreement on the use of "Yango Deli" for mobile devices, available at: https://yango.com/legal/deli_licence.

Granting the right to use the functionality of the Service for Ordering Goods and Delivery is paid for, for granting the User the right to use the functionality of the Service for Ordering Goods and Delivery as well as for providing other services in accordance with the parameters of the User's Order, a Service Fee is charged.

The amount of the Service Fee is determined based on automatic algorithms, taking into account such factors as the User's region, the User's address, type of Delivery, etc., and is displayed on the page of the Restaurant in the interface of the Service as well as on the Order placement screen.

By clicking on the button "Correct, continue" (or similar) or the button "Continue" (or similar), the User agrees to pay the Service Fee and confirms their consent to the use of the functionality of the Service for compensation for the Ordering of Goods and Delivery from the Partner (including Ordering Goods on pickup terms) and/or the Deliverer, as well as the provision of other services, in accordance with the parameters of the User Order and/or the User Agreement.

 

3. Procedure and Terms/Conditions of Placing an Order on the Service

3.1. Only the Authorized User can place an Order. Before placing an Order for Goods and Delivery on the Service, the User shall read all the terms and conditions for the preparation and/or sale of Goods, as well as the terms and conditions for Delivery defined by the Partner and/or the Delivery Agent and posted on the Service, as well as information about the Service Fee. In this respect, obvious mistakes, including typographical errors, made by the Partner and/or the Delivery Agent in the description of Goods are not legally binding.

3.2. The User, when placing an Order, enters into a Contract with the Partner and/or the Delivery Agent, and enters into a direct contractual relationship with the Partner and/or the Delivery Agent in terms of preparation and/or sale of the Goods and effecting Delivery. Placing an Order on the Service means the User’s consent to all the material terms and conditions of preparation and/or sale of Goods, effecting Delivery by the Partner and/or Delivery Agent defined by Partners and/or the Delivery Agent and posted on the Service, as well as the terms of and conditions of this User Agreement on the use of the Service and the amount of the Service Fee.

3.3. The material terms and conditions of the Contract entered into by the User with the Partner and/or the Delivery Agent are specified in the description of Goods published on the Service, the terms and conditions of their preparation and/or sale provided by the Partner to Yango Deli as well as the description of the Delivery terms and conditions provided by the Partner or the Delivery Agent to Yango Deli.

3.4. By placing an Order, the User agrees that the Partner and/or the Delivery Agent may entrust the fulfillment of the Contract to a third party, while remaining responsible for its fulfillment.

3.5. All rights and obligations under the Contract(s) concluded with the User arise directly with the Partner and/or the Delivery Agent.

3.6. The User agrees that personal information that the User provides to Yango Deli when using the Service, including when placing an Order, may be transmitted, including across borders, by Yango Deli to the Partner and/or Delivery Agent with whom the User enters into a Contract as a result of placing an Order, for the purpose of the Partner and/or Delivery Agent fulfilling the said Contract with the User as well as to the Yandex Delivery Service (Foodtech & Deliveries B.V.). The User agrees that Yango Deli, Foodtech & Deliveries B.V. have the right to store the User’s personal information, as well as personal information of the recipient of the Order specified by the User for at least three (3) years from the date of fulfillment of the relevant Order by the Partner and/or Delivery Agent.

3.7. Information about an Order placed is available for the Authorized User in the “My Orders” section of the Service. In this section of the Service, the Authorized User may view information about the status of an Order.

3.8. By placing an Order on the Service, the User agrees to receive: (i) e-mails that Yango Deli may send to User: after Order placement; in the event of changes in the Order; before Delivery of Goods in the event of Order fulfillment or timely notice on Order status being affected; (ii) messages (SMS) to the phone number specified by the User, as well as (iii) a call with an offer to evaluate quality of the Service, Partner and/or Delivery Agent on the phone number specified by the User. If the User disables the function of sending messages to them, the User agrees to receive information about the progress of Delivery of an Order to their e-mail address in order to be informed about the possibility/impossibility of delivering the Order.

3.9. By placing an Order, the User confirms that: a) the User has fully read the provisions of the User Agreement and Regulatory Documents, b) fully understands the User Agreement and Regulatory Documents as well as the subject and the terms and conditions of the Contract concluded with the Partner and/or the Delivery Agent, c) fully understands the meaning and consequences of their actions in relation to the conclusion and fulfillment of the Contract with the Partner and/or the Delivery Agent, d) fully understands the terms and conditions of this User Agreement on the use of the Service and Regulatory Documents, as well as adopting the pricing procedure regarding the Service Fee.

By placing an Order, which includes Goods that, according to applicable law, may be only sold to people over the age of 18 (including alcoholic beverages), the User represents and warrants to the Partner and Yango Deli that the User is over the age of 18. The Partner has the right to require additional information to confirm that the User is over the age of 18. The Partner has the right to refuse to sell Goods if the User cannot confirm their age.

3.10. Yango Deli has the right to block the User’s ability to use the Service and to place Orders in case of failure to pay for Goods and Delivery and the Service Fee within the Order placed, in case of refusal to fulfill the Contract(s) with the Partner and/or Delivery Agent in accordance with Clause 3.17 hereof, in case of violation of the User Agreement and/or Regulatory Documents as well as in case of repeated breach of Contracts with the Partner and/or Delivery Agent.

3.11. The User must provide accurate data about themself and the recipient of the Order when placing the Order on the Service. The User shall be responsible for all consequences caused by the inaccuracy of the information they provide.

3.12. To place an Order, the User, having familiarized with the information about Goods and Delivery, indicates with the help of the Service all the data necessary for the Contract to be fulfilled by the Partner and/or the Delivery Agent, including, but not limited to: the User’s personal information, full delivery address (including the name of the settlement, metro station (if applicable), street (avenue, road, etc.), house number (including block, building, premises, etc.), entrance number, apartment number, floor, intercom code (if applicable)), name of the recipient, contact information (phone number, etc.), payment method, and then presses the “Send order” button (or similar button) on the Service. By placing the Order, the User acknowledges the familiarization with and unconditional consent to the User Agreement, the terms of the Contract/Contracts concluded by the User with the Partner and/or the Delivery Agent, as well as the fact of familiarization with the information on the Goods, Delivery and Service Fee that is posted in the Service.

3.13. The time of conclusion of the Contract/Contracts between the User and the Partner and/or the Delivery Agent shall be determined in the following order.

3.13.1. The Contract/Contracts with the Partner shall be concluded at the moment when the User presses the button “Correct! To be paid” (or a similar button) in the Order form; the Contract with the Delivery Agent shall be concluded at the moment when the Delivery Agent, who delivers the Goods, is determined, in accordance with Clause 3.14 of the User Agreement. After pressing the specified button, the User shall be granted a limited time to make the payment, and in case of expiration of such time period, the message “ERROR Payment (session) time expired. Place a new order” will be displayed. If no payment is made within the specified period of time for any reason, the Contract/Contracts with the Partner and/or the Delivery Agent shall not be considered concluded.

3.13.2. By pressing the button “Correct! To be paid” (or a similar button) in the case provided for in Clause 3.13.1 of the User Agreement, the User expresses their full and unconditional consent to (acceptance of) the conclusion of the Contract with the Delivery Agent determined in accordance with Clause 3.14 of the User Agreement from among the Delivery Agents, stipulated in Clause 6.8 of the User Agreement.

3.14. The Delivery Agent effecting the Delivery of the Goods shall be determined from among the Delivery Agents of the Service Partners after the User places the Order, within 5 minutes from the moment the Partner starts to fulfill the Order (the Partner starts preparing the Goods)/the Partner starts to assemble the Order (if such functionality is available). Yango Deli shall notify the User that, according to the information received from the Partner, the Partner has started to fulfill the Order (has started to prepare the Goods/has started to assemble the Order) and such notification shall be sent by a push notification to the User (and in this case Yango Deli shall not be responsible for non-receipt by the User of such push notification if the User disabled the function of receiving such notifications from the Yango Deli Applications and/or Yango mobile device; the risk of non-receipt of the relevant information in this case shall be borne by the User) or by SMS message when the User places the Order using the Yango Deli and/or Yango Applications and such notification shall have the form of the Order status “The restaurant is preparing” displayed in the “My Orders” section of the Service when the User places the Order using the website. The User can obtain the information on the Delivery Agent who fulfills the Order by contacting Yango Deli on the phone number specified in Clause 6.9 of the User Agreement.

3.15. At the time when the User performs the actions specified in Clause 3.12, the User confirms that all information on the Goods and the Delivery, as well as on the Partner and/or the Delivery Agent, provided for by the current legislation (including consumer protection legislation) is fully disclosed to the User.

3.16. The Partner may cancel the Order in the following cases:

3.16.1. if the User places the Order under which the Goods are delivered by the Partner, and if the Partner fails to contact the User, using the contact data provided by the User during the Order placement;

3.16.2. if the Partner fails to fulfill the Contract.

3.16.3. If the Partner fails to fulfill the Contract in full, the Partner shall have the right to cancel the Order in accordance with Clause 3.16.2, or contact the User by the phone number specified by them, to change the content of the Order. The information on change of the Order shall be also reflected in the Service with the option for the User to confirm such changes. The Order shall be deemed to be placed on new terms if the User agrees to such terms in one of the following ways: a) by phone; b) in the Service.

3.17. The User who placed an Order must be present at the Delivery address to receive the Order, and ensure the acceptance and payment of the Goods upon Delivery. If the User is absent from the Delivery address, or if it is impossible to deliver the Goods to the User for the reasons arising from the actions/omission of the User, or if the User refuses to accept the Goods (except for the Goods which are not of the proper quality or don’t comply with the terms of the Order placed by the User subject to the User’s compliance with Clause 3.18 of the User Agreement), then, after 10 minutes of waiting, the User shall be deemed to have breached the Contract (Contracts) concluded with the Partner and/or the Delivery Agent, and the money paid by the User for the Goods and the Delivery shall be used to reimburse the Partner’s and/or the Delivery Agent’s expenses and shall not be refunded by the Partner and/or the Delivery Agent.

3.18. If, in the User’s opinion, the Goods delivered to the User are not of the proper quality and/or do not comply with the Order placed by the User, the User shall immediately send the respective notification to the Yango Delia support service via the feedback form (support chat), with the attached photo of the Goods delivered and the description of the defects of the Goods. Yango Deli shall accept claims from Users for transferring them to the Partner and/or the Delivery Agent within the time limits specified in Clause 2.10.

3.19. In case of the Delivery of Goods, the Partner shall be deemed to have fulfilled its obligation to transfer the Goods to the User under the Contract at the time of transfer of the Goods (of proper quality and in compliance with the Order placed by the User) to the Delivery Agent’s representative.

3.20. The time for preparation and/or sale of the Goods and Delivery, that is specified in the Service, is approximate. Unless otherwise agreed by the User and the Partner and/or the Delivery Agent, waiting for the Order by the User for 15 minutes from the time specified in the Service during placing the Order shall not be a violation of the time period set for the provision of services by the Partner and/or the Delivery Agent.

3.21. If the Partner/Delivery Agent cannot fulfill the Order due to Yango Deli Partner’s failure to confirm its readiness to take the Order, or the absence of available Delivery Agents (Delivery Agents’ couriers) capable of delivering the Order, or due to other reasons that prevent the Partner/the Delivery Agent from fulfilling its obligations in respect of the Order in a timely and proper manner, Yango Deli shall have the right to cancel the Order with refund of money for the Order to the User.

 

4. Use of the Service. Individual Functions of the Service

4.1. Yango Deli reserves the right, at its sole discretion, to restrict the User’s access to the Service (or to certain functions of the Service, if technologically possible) using the User’s account, or to completely block the User’s account in the event of repeated violation of the User Agreement and/or Regulatory Documents, or to apply other measures to the User to ensure their compliance with the User Agreement and the Regulatory Documents, as well as with legal requirements or the rights and legitimate interests of third parties.

4.2. The User shall give their consent to Yango Deli, Yango and their partners for processing of the User’s personal information (including personal data), transferring (including cross-border transferring) of the User’s personal information to Yango Deli’s and Yango’s partners, including to the Partners and/or the Delivery Agents, as well as for processing of personal information by Yango Deli’s and Yango’s partners, including by the Partners and/or the Delivery Agents, for the purposes of using the Service, placing an Order in the Service, and fulfillment by the Partners and/or the Delivery Agents, of the Agreement concluded as a result of placing the Order, as well as for the purposes specified in this User Agreement and Privacy Policy which is available for review at:https://yango.com/legal/yango_privacy_notice.

4.3. For purposes of quality control and dispute resolution, Yango Deli may record all conversations of the User with Yango Deli support specialists, as well as with the Partners and/or Delivery Agents.

Should the Support Service specialists receive personal insults, threats or other unacceptable language and actions from the User, the Support Service specialist shall have the right to terminate the dialogue with the User, both verbally and in writing.

 

5. Payment for the Goods and/or the Delivery

5.1. Payment for the Goods and/or Delivery according to the Order placed by the User shall be made by the User as follows.

5.1.1. The User may use the option of non-cash payment from a linked bank card (Clause 5.4 of the User Agreement) (hereinafter referred to as the “non-cash payment”), and in this case, Yango Deli shall act by order of the Partner and/or the Delivery Agent with the engagement of an authorized payment processor or a digital cash processor. Yango Deli does not guarantee the absence of errors and failures in the operation of the Service as regards the provision of non-cash payment option.

5.1.2. The User may use the option to pay to the Delivery Agent (or to the third party engaged by the Delivery Agent, if the Delivery Agent engages such third party to deliver the Goods to the User) in cash or by bank transfer, using POS terminals if the Goods Delivery is performed by the Delivery Agent. In this case, when accepting money for the Goods, the Delivery Agent (or the third party engaged by it) shall act by order of Yango Deli which, in its turn, shall act by order of the Partner.

5.1.3. The User may use the option of paying directly to the Partner in cash if the Delivery of the Goods is effected by the Partner. The specified payment shall be made without the participation of Yango Deli and shall not be regulated by the User Agreement.

5.2. The acceptance of money by Yango Deli in the case specified in Clause 5.1. of the User Agreement shall be carried out solely due to the fact that Yango Deli, by providing the option to place the Order in the Service, participates in the sale, by the Partner to the User, of the Goods, for payment of which the money is accepted.

5.3. In cases stipulated by the current legislation, when the Delivery and/or the Goods are paid for, the receipt/receipts shall be provided to the User directly by the Delivery Agent and/or the Partner or Yango Deli in accordance with the requirements of the current legislation. Ч

For the issues concerning the content of the receipt/receipts, the User shall apply directly to the Partners and/or the Delivery Agent or Yango Deli.

Responsibility for the proper content and provision of the receipt/receipts to the Users shall be borne by the Delivery Agents and Partners, respectively.

5.4. The linked bank card can be specified by the User in the Service interface, and in this case the User shall specify the following data:

  • cardholder name (“cardholder” meaning);
  • bank card number;
  • expiry date;
  • verification code.

If the bank card details are correct and valid, and the use of this card for the Service is technically possible, the specified bank card shall acquire the status of the Linked Card and can be used for non-cash payments. All Linked Cards shall be displayed in the Service interface.

5.5. Non-cash payment shall be made by the User with the engagement of an authorized payment processor or digital cash processor and shall be regulated by the rules of international payment systems, banks (including the issuing bank of the Linked Card) and other participants in settlements.

5.6. When specifying its data in accordance with Clause 5.4 of the User Agreement and subsequently using the Linked Card, the User shall confirm and guarantee the provision of reliable and complete information on the valid bank card issued in its name and the compliance with the rules of international payment systems and the requirements of the bank which issued the Linked Card, including with regard to the non-cash payment procedure.

5.7. The User understands and agrees that all actions performed under the Service after authorization using the login and password assigned to the User during registration in the Service, including the actions for non-cash payment with the use of the Linked Card, shall be deemed as performed by the User.

5.8. If the User disagrees with the fact and/or amount of non-cash payment and on other issues related to the use of the Linked Card under the Service, the User shall have the right to contact Yango Deli, using the details specified in this User Agreement, within 14 days from the date of non-cash payment or of other actions or events which led to such appeal.

If, according to the results of verification of such appeal, Yango Deli decides to refund the amount of the non-cash payment in full or in part, the specified amount shall be refunded to the bank account of the bank card from which the non-cash payment was made. A non-cash payment shall be made with the engagement of an authorized payment processor or digital cash processor and shall be regulated by the rules of international payment systems, banks (including the issuing bank of the Linked Card) and other participants in settlements.

5.9. Yango Deli reserves the right at any time to require the User to confirm the data specified by it under the Service, including the data of the Linked Card, and in this regard to request the supporting documents (in particular, identity documents), and the failure to submit the same at the discretion of Yango Deli may be treated as the provision of false information and entail the consequences set out in Clause 4.1 of the User Agreement.

5.10. For the issues related to payment for the Goods and/or Delivery in cash, which is stipulated in the User Agreement, the User shall have the right to contact the Partner and/or the Delivery Agent.

If the User applies to Yango Deli regarding the refund of cash payments, Yango Deli shall have the right to provide the User with the data of the Partner and/or the Delivery Agent refunding cash payments, or to refund such money independently, exclusively in a non-cash form to the account of the Linked Card.

 

6. Other Terms

6.1. The User confirms that they are capable and have reached the age required by the laws of Côte d’Ivoire for conclusion of Contracts with the Partner and/or the Delivery Agent and for performance of other transactions stipulated by the User Agreement.

6.2. Yango Deli shall not be liable:

6.2.1. for temporary failures and interruptions in the operation of the Service and/or for availability of functions which allow the User to place the Order, nor for the loss of information caused by such failures, safety of information and the correctness and timeliness of transmission and delivery thereof;

6.2.2. for the reliability, quality and speed of the Service, nor for the safety of the information created, used and received by the User.

6.3. The procedure for the User application to Yango Deli: all requests shall be sent through the Yango Deli support service, using the feedback form (support chat) available in the Service interface. The functionality of the Service may also provide for other ways for the User to send requests to Yango Deli.

6.4. Unless otherwise provided in the Service, all prices specified in the Service shall include VAT.

6.5. A discount on the cost of the Goods and/or Delivery using the Promo Code shall be provided in the cases and in the manner provided for by the Terms of Use of the Promo Codes of the Yango Deli Service (https://yango.com/legal/deli_promocode).

6.6. For identification of the Goods delivered by the Delivery Agent, the information about such Goods may be marked in the Service with an icon displaying a motorbike, as well as accompanied by information that the Delivery is carried out by a Partner.

6.7. If the Partner stipulates a minimum cost of the Goods in the Order (the minimum amount of the Order without the cost of the Delivery), such a restriction shall be shown to the Users in the Service in the form of the designation “Order from XX ₣”, and in this case, the XX indicates the minimum cost of the Goods in the Order, stipulated by the Partner.

6.8. The information on the Partners/Delivery Agents, that is provided for by the Law “On Protection of Consumers,” shall be communicated to the User on the page of the relevant Partner in the Service. The working hours of the Partner that are displayed in the Service correspond to the time when the Partner accepts Orders, unless otherwise specified by the Partner.

Contrat d’utilisation du Service Yango Deli

 

1. Termes et définitions

1.1. Aux fins du présent document, les termes cités ci-dessous ont la signification suivante.

Service Yango Deli : tous les sites Web (y compris, mais sans s’y limiter, ceux hébergés sur Internet à l’adresse : https://deli.yango.com/fr-ci, https://deli.yango.com/en-ci), les programmes informatiques (y compris les programmes pour les appareils mobiles) offrant à l’Utilisateur du Service la possibilité de commander des Marchandises et des Livraisons conformément aux conditions spécifiées dans le Contrat d’utilisation.

Utilisateur : personne qui utilise le Service dans les conditions prévues par le Contrat d’utilisation en vue de commander des Marchandises et des Livraisons.

Utilisateur connecté : Utilisateur connecté au Service à l’aide de l’identifiant et du mot de passe qui lui ont été attribués lors de son inscription sur le Service.

Partenaire : personne morale ou entrepreneur individuel qui vend les Marchandises aux Utilisateurs du Service lorsque ceux-ci passent Commande et, dans les cas prévus dans le Contrat, qui effectue (si la Livraison est assurée par le Partenaire) aussi la Livraison aux Utilisateurs du Service, après avoir accepté l’Offre ; les Partenaires sont considérés comme des clients des Services Yango Deli en vertu du Contrat conclu.

Commande :commande de Marchandises et de Livraisons passée par l’Utilisateur par le biais du Service, suite à laquelle l’Utilisateur signe un contrat de préparation et/ou d’achat de Marchandises avec le Partenaire et un contrat de Livraison de ces Marchandises avec le Livreur (ou, en cas de Livraison assurée par le Partenaire, avec le Partenaire) dans les conditions définies par Partenaire et indiquées sur le Service.

Contrat : contrat de vente de Marchandises passé avec le Partenaire et/ou contrat de Livraison des Marchandises passé avec le Livreur (ou, en cas de Livraison assurée par le Partenaire, passé avec le Partenaire), conclu entre l’Utilisateur et le Partenaire et/ou le Livreur dans le cadre de l’enregistrement d’une Commande.

Marchandise : plats et produits alimentaires, boissons (à l’exception des produits dont la circulation est limitée au titre de la législation ivoirienne) et produits non alimentaires dont la préparation pour les Utilisateurs et/ou la vente aux Utilisateurs est assurée par le Partenaire dans le cadre de l’enregistrement d’une Commande de l’Utilisateur sur le Service. Dans le présent Contrat d’utilisation ou dans les autres documents cités au paragraphe 2.2 du présent Contrat, le mot Marchandise peut désigner à la fois une Marchandise ou plusieurs Marchandises, sauf s’il ressort des présentes ou du document concerné qu’il en est autrement.

Livraison : service de Livraison à l’Utilisateur des Marchandises commandées par celui-ci par le biais du Service. Le contrat de Livraison avec l’Utilisateur est conclu par le Livreur ou, en cas de Livraison assuré par le Partenaire, par le Partenaire, par l’intermédiaire de l’enregistrement par l’Utilisateur de la Commande sur le Service. Le Partenaire ou le Livreur ont le droit d’impliquer des tiers en vue d’assurer la Livraison des Marchandises à l’Utilisateur.

Livreur : personne morale ou entrepreneur individuel effectuant la Livraison des Marchandises commandées par l’Utilisateur (sauf si les Marchandises sont livrées par le Partenaire). Les informations sur les Livreurs sont communiquées à l’Utilisateur lors de l’enregistrement de la Commande.

Yango Deli : société à responsabilité limitée FOODTECH SARL (adresse : Ya Abidjan, Cocody Danga, Rue des Jasmins, Parcelle 30, Ilot 4, Lot 37 en Côte d’Ivoire, numéro d’immatriculation : 0036101B).

Code promotionnel : séquence de symboles dont l’activation, sous réserve du respect des autres conditions régissant son utilisation, permet à l’utilisateur de bénéficier d’une Remise sur le prix des Marchandises et/ou de la Livraison et/ou des Frais de service.

Application Yango : programme « Yango » pour les appareils mobiles fournie aux Utilisateurs conformément à un accord de licence régissant l’utilisation de cette application pour les appareils mobiles, disponible en accès public sur Internet.

Application Yango Deli : programme « Yango Deli » pour les appareils mobiles fourni aux Utilisateurs conformément à un accord de licence régissant l’utilisation de cette application pour les appareils mobiles, disponible en accès public sur Internet.

1.2. Le présent Contrat d’utilisation peut comporter des termes et expressions non définis au paragraphe 1.1 du présent Contrat. Dans ce cas, ces termes et expressions sont interprétés en fonction du texte du présent Contrat d’utilisation. En cas d’absence d’interprétation univoque d’un terme dans le texte du présent Contrat d’utilisation, il convient de se laisser guider par l’interprétation du terme : en premier lieu par la législation de la république de Côte d’Ivoire, en second lieu sur le Service, puis par l’interprétation communément utilisée sur Internet.

 

2. Conditions générales

2.1. Le présent Contrat d’utilisation constitue la proposition de Yango Deli adressée à l’Utilisateur d’utiliser le Service Yango Deli.

2.2. L’utilisation du Service par l’Utilisateur est régie par le présent Contrat d’utilisation ainsi que par les documents ci-dessous.

Ces documents sont ci-après collectivement désignés par l’expression « Documentation ».

2.3. Dès le début de l’utilisation du Service/de ses fonctionnalités individuelles, l’Utilisateur est réputé avoir accepté le présent Contrat d’utilisation ainsi que les conditions de la Documentation, en entier, sans aucune réserve ni exception. Si l’Utilisateur n’est pas d’accord avec certaines conditions du présent Contrat d’utilisation et/ou de la Documentation, l’Utilisateur n’a pas le droit d’utiliser le Service.

2.4. Yango Deli peut à tout moment, sans en informer l’Utilisateur, modifier les conditions du présent Contrat d’utilisation et de la Documentation. La version applicable du présent Contrat d’utilisation se trouve à l’adresse citée au paragraphe 1.1 des présentes. L’Utilisateur accepte de prendre le risque de ne pas prendre connaissance de la nouvelle version du présent Contrat d’utilisation et de la Documentation. La poursuite de l’utilisation du Service après la modification du présent Contrat d’utilisation ou de la Documentation vaut acceptation de leur nouvelle version.

2.5. Si Yango Deli apporte des modifications au présent Contrat d’utilisation, conformément à la procédure prévue au paragraphe 2.4. des présentes, et si l’Utilisateur ne les accepte pas, celui-ci est tenu de cesser d’utiliser le Service.

2.6. Le Service offre à l’Utilisateur la possibilité de commander des Marchandises et des Livraisons auprès du Partenaire et/ou du Livreur selon les conditions définies par le Partenaire et/ou par le Livreur et indiquées sur le Service.

Selon les fonctionnalités du Service, qui sont liées à différents facteurs tels que la région d’Utilisateur, l’adresse de l’Utilisateur, le type de Livraison, etc., des Frais de service peuvent être appliqués à l’Utilisateur lors de l’enregistrement de la Commande sur le Service, à titre de frais d’utilisation des fonctionnalités du Service (ci-après les « Frais de service »). Le montant des Frais de service est déterminé par des algorithmes automatiques en tenant compte des facteurs précités, et s’affiche dans l’interface du Service au moment de l’enregistrement de la Commande par l’Utilisateur.

Dans certains cas, à des fins de fidélisation des Utilisateurs par rapport au Service et d’activités de marketing, Yango Deli a le droit d’accorder à un Utilisateur une réduction sur les Frais de service.

Toutes les fonctionnalités existantes du Service ainsi que tout développement et/ou ajout de nouvelles fonctionnalités sont objet du présent Contrat d’utilisation.

2.7. Selon la région de l’Utilisateur, l’adresse de Livraison, les informations sur la Marchandise fournies par le Partenaire et d’autres paramètres, il est possible que les fonctionnalités du Service, en tout ou partie, soient inaccessibles ou limitées. Les fonctionnalités sont réputées être inaccessibles (limitées) pour l’Utilisateur s’il est évident que celui-ci ne peut pas les utiliser. L’utilisation de méthodes techniques ou logicielles pour contourner ces limitations est interdite. Les conditions du présent Contrat d’utilisation régissant les fonctionnalités du Service inaccessibles (limitées) pour l’Utilisateur ne s’appliquent plus dès lors qu’il est évident que ces fonctionnalités sont redevenues accessibles pour l’Utilisateur. Les informations sur l’accessibilité des fonctionnalités du Service sont fournies à l’Utilisateur si celui-ci en fait la demande à Yango Deli.

2.8. En utilisant le Service, l’Utilisateur accepte de recevoir des messages et d’autres communications à caractère publicitaire de la part de Yango Deli. L’Utilisateur a le droit de refuser de recevoir ces messages publicitaires en utilisant la fonctionnalité correspondante du Service ou en suivant les instructions indiquées dans les messages publicitaires reçus (le cas échéant).

2.9. Quand l’Utilisateur utilise le Service, Yango Deli n’est pas partie aux Contrats passés par l’Utilisateur avec les Partenaires et/ou Livreurs pour la vente des Marchandises et la prestation des services de Livraison. Yango Deli offre uniquement la possibilité de passer Commande par le biais du Service, au sens du paragraphe 2.6 du présent Contrat, et assume la responsabilité uniquement dans la limite des Frais de service.

2.10. Yango Deli n’est pas une organisation autorisée au sens de la loi sur la protection des consommateurs (loi no 2016-412 du 15 juin 2016 « relative à loi sur la protection des consommateurs ») et n’assure pas l’examen et le règlement des réclamations des Utilisateurs concernant d’éventuelles Marchandises et/ou Livraisons inadéquates commandées par un Utilisateur par le biais du Service. Quand l’Utilisateur s’adresse à Yango Deli au sujet des questions relatives au Contrat signé suite à l’enregistrement d’une Commande, y compris en cas de réclamation concernant l’application du présent Contrat, Yango Deli est en droit de transmettre les informations concernées au Partenaire et/ou au Livreur, et de transmettre à l’Utilisateur les informations obtenues auprès du Partenaire et/ou du Livreur sur ces questions.

2.11. Yango Deli n’est pas responsable du contenu et/ou de la mise à jour des informations fournies par le Partenaire et/ou par le Livreur sur la Marchandise et/ou la Livraison, y compris des informations relatives au prix de la Marchandise et/ou de la Livraison, aux délais de préparation et/ou de Livraison des Marchandises et à la disponibilité de la Marchandise.

2.12. Dans certains cas communiqués à l’Utilisateur lors de l’enregistrement de la Commande sur le Service, l’Utilisateur ne doit pas payer le prix de la Livraison en supplément (Yango Deli applique une réduction octroyée par le Livreur à l’Utilisateur sur le prix de Livraison).

2.13. L’utilisation de certaines fonctionnalités du Service, y compris l’enregistrement de la Commande, est disponible pour l’Utilisateur après son inscription et sa connexion au Service. Lors de son inscription, l’Utilisateur doit fournir les données personnelles demandées sur le Service dans le cadre de la procédure d’enregistrement, et indiquer l’adresse électronique qui sera utilisée comme identifiant ainsi qu’un mot de passe. L’Utilisateur s’interdit de transmettre à des tiers l’identifiant et le mot de passe qui lui ont été attribués lors de son inscription. L’utilisateur est également tenu de conserver son identifiant et mot de passe et d’en protéger la confidentialité. Toutes les actions exercées à l’aide de l’identifiant et du mot de passe de l’Utilisateur sur le Service sont réputées être des actions effectuées par l’Utilisateur lui-même.

2.14. L’Utilisateur n’est pas en droit de recourir à plusieurs comptes pour utiliser le Service. Si Yango Deli constate des faits prouvant que l’Utilisateur a enfreint les conditions stipulées dans ce paragraphe, Yango Deli a le droit de prendre les mesures prévues au paragraphe 4.1 du présent Contrat.

2.15. Le Service offre à l’Utilisateur la possibilité de consulter les documents affichés dans le Service, de faire la Commande des Marchandises et la Livraison auprès du Partenaire et/ou du Livreur dans les conditions définies par le Partenaire et/ou le Livreur et affichées dans le Service, ainsi que la possibilité d’utiliser d’autres fonctionnalités et services prévus par les paramètres de la Commande de l’Utilisateur et/ou des Conditions d’utilisation.

Yango Deli accorde aux Utilisateurs le droit d’utiliser les fonctionnalités du Service à titre gratuit pour prendre connaissance des documents et des offres des Partenaires et des Livreurs affichés dans le Service dans le cadre d’une licence simple (non exclusive).

L’utilisation des fonctionnalités du Service de la Commande des Marchandises et de la Livraison auprès du Partenaire (y compris la Commande aux conditions de ramassage des achats, le cas échéant) et/ou du Livreur aux conditions définies par le Partenaire et/ou le Livreur et affichées dans le Service est effectuée dans le cadre d’une licence simple (non exclusive) conformément aux Conditions d’utilisation, ainsi que, dans la mesure applicable, conformément aux conditions de la Convention de licence pour l’utilisation de l’application Yango Deli pour les appareils mobiles, publiées à l’adresse suivante : https://yango.com/legal/deli_licence.

Le droit d’utiliser les fonctionnalités du Service pour la Commande de Marchandise et la Livraison est octroyé à titre onéreux. Le Frais de service est du pour l’octroi à l’Utilisateur du droit d’utiliser les fonctionnalités du Service pour la Commande de Marchandises et la Livraison, ainsi que pour la fourniture d’autres services conformément aux paramètres de la Commande de l’Utilisateur.

Le montant du Frais de services est déterminé sur la base d’algorithmes automatiques compte tenu de des facteurs tels que la région de l’Utilisateur, l’adresse de l’Utilisateur, le type de Livraison, etc. et est affiché sur la page du Partenaire dans l’interface du Service ainsi que sur l’écran de passation de la Commande.

En cliquant sur le bouton «Bien, continuer » (ou bouton similaire) ou sur le bouton «Suivant» (ou bouton similaire), l’Utilisateur accepte le paiement du Frais de service et confirme son consentement à utiliser les fonctionnalités du Service à titre onéreux pour la Commande des Marchandises et la Livraison auprès du Partenaire (y compris la Commande des Marchandises aux conditions de ramassage des achats) et/ou auprès du Livreur, ainsi que pour fournir d’autres services, conformément aux paramètres de la Commande de l’Utilisateur et/ou des Conditions d’utilisation.

 

3. Procédure et conditions d’enregistrement de Commandes sur le Service

3.1. Pour passer Commande, l’Utilisateur doit être connecté. Avant de passer Commande de Marchandises et de Livraisons par le biais du Service, l’Utilisateur est tenu d’avoir pris connaissance de toutes les conditions de préparation et/ou de vente des Marchandises, des conditions de Livraison déterminées par le Partenaire et/ou par le Livreur et indiquées sur le Service et des informations sur les Frais de Service. Les erreurs manifestes, y compris les fautes de frappe, commises par le Partenaire et/ou par le Livreur dans la description des Marchandises ne sont toutefois pas juridiquement contraignantes.

3.2. Au moment de l’enregistrement de sa Commande, l’Utilisateur conclut un Contrat avec le Partenaire et/ou le Livreur, dont naissent des relations contractuelles directes avec le Partenaire et/ou le Livreur en ce qui concerne la préparation et/ou la vente ainsi que la Livraison des Marchandises. L’enregistrement d’une Commande sur le Service par l’Utilisateur vaut acceptation par celui-ci de toutes les conditions essentielles relatives à la préparation, à la vente et à la Livraison des Marchandises par le Partenaire et/ou par le Livreur, qui sont déterminées par le Partenaire et/ou par le Livreur et indiquées sur le Service, ainsi que des conditions du présent Contrat concernant l’utilisation du Service et le montant des Frais de Service.

3.3. Les conditions essentielles du Contrat conclu par l’Utilisateur avec le Partenaire et/ou le Livreur sont citées dans la description des Marchandises et des conditions de leur préparation et/ou de leur vente fournies par le Partenaire de Yango Deli et publiées sur le Service, ainsi que dans la description des conditions de Livraison fournies par le Partenaire ou le Livreur Yango Deli.

3.4. En passant Commande, l’Utilisateur accepte que le Partenaire et/ou le Livreur puisse confier l’exécution du Contrat à un tiers, étant entendu que le Partenaire et/ou le Livreur demeure responsable de cette exécution.

3.5. Tous les droits et obligations découlant des contrats conclus avec l’Utilisateur deviennent directement droits et obligations du Partenaire et/ou du Livreur.

3.6. L’Utilisateur convient que les informations personnelles qu’il fournit à Yango Deli lors de l’utilisation du Service, notamment lors de l’enregistrement de Commandes, peuvent être transférées par Yango Deli, y compris à l’étranger, au Partenaire et/ou au Livreur avec lequel l’Utilisateur conclut son Contrat dans le cadre de l’enregistrement de sa Commande, en vue de l’exécution par le Partenaire et/ou par le Livreur dudit Contrat, ainsi qu’au service Yandex Delivery (Foodtech & Delivery B.V.). L’Utilisateur accepte que Yango Deli, et Foodtech & Delivery B.V. puissent conserver les informations personnelles le concernant ainsi que les informations personnelles des destinataires des Commandes indiqués par l’Utilisateur, et ce pendant au moins trois ans à compter de la date d’exécution de la Commande concernée par le Partenaire et/ou par le Livreur.

3.7. Les Utilisateurs connectés ont accès aux informations sur leurs Commandes dans la rubrique « Mes commandes » du Service. Dans cette rubrique du Service, l’Utilisateur connecté peut consulter des informations sur le statut de ses Commandes.

3.8. Lors de l’enregistrement de la Commande sur le Service, l’Utilisateur consent à recevoir (i) les e-mails que Yango Deli peut lui envoyer : après l’enregistrement d’une Commande ; en cas de modification de sa Commande ; avant la Livraison de la Marchandise, si des informations relatives à des événements affectant l’exécution ou l’avancement de la Commande doivent être communiquées rapidement, (ii) des messages (SMS) sur le numéro de téléphone communiqué par l’Utilisateur, et (iii) un appel téléphonique proposant à l’Utilisateur d’évaluer la qualité du Service et des prestations du Partenaire et/ou du Livreur, sur le numéro de téléphone communiqué par l’Utilisateur. Si l’Utilisateur désactive la fonction d’envoi des messages, l’Utilisateur accepte de recevoir par courrier électronique les messages l’informant de la possibilité/de l’impossibilité de livrer la Commande.

3.9. Lors de l’enregistrement de la Commande, l’Utilisateur confirme : a) qu’il a pris connaissance de l’intégralité des conditions du présent Contrat d’utilisation et de la Documentation, b) qu’il comprend parfaitement le présent Contrat d’utilisation et la Documentation, ainsi que l’objet et les conditions du Contrat conclu avec le Partenaire et/ou le Livreur, c) qu’il comprend parfaitement la portée et les implications de ses actes en ce qui concerne la signature et l’exécution du Contrat passé avec le Partenaire et/ou le Livreur, d) qu’il comprend parfaitement les conditions du présent Contrat d’utilisation relatives à l’utilisation du Service et de la Documentation, et qu’il accepte les modalités de détermination du montant des Frais de service.

Lors de l’enregistrement d’une Commande comprenant des Marchandises dont la vente, conformément à la législation en vigueur, est réservée aux personnes de 18 ans ou plus (notamment les produits alcoolisés), l’Utilisateur, par ses actions, confirme et garantit au Partenaire et à Yango Deli qu’il est âgé de 18 ans ou plus. Le Partenaire peut demander à l’Utilisateur de fournir une preuve supplémentaire attestant de son âge. Le Partenaire a le droit de refuser de vendre la Marchandise si l’Utilisateur ne peut pas prouver son âge.

3.10. Yango Deli a le droit d’empêcher l’utilisation du Service et l’enregistrement de Commandes par l’Utilisateur en cas de manquement à l’obligation de payer la Marchandise et la Livraison ainsi que les Frais de service dans le cadre de la Commande passée, en cas de manquement au Contrat (contrats) passé(s) avec le Partenaire et/ou le Livreur conformément au paragraphe 3.17 du présent Contrat d’utilisation, en cas de manquement au présent Contrat d’utilisation et/ou à la Documentation, et en cas de manquement répété aux contrats passés avec le Partenaire et/ou le Livreur.

3.11. L’Utilisateur est tenu de fournir des informations véridiques sur lui-même et sur le destinataire de la Commande lors de l’enregistrement de sa Commande sur le Service. L’Utilisateur est responsable de toutes les conséquences pouvant découler de l’indication de fausses informations.

3.12. Pour passer Commande, l’Utilisateur, après avoir pris connaissance des informations sur la Marchandise et la Livraison, indique à l’aide du Service toutes les données nécessaires pour l’exécution du Contrat par le Partenaire et/ou par le Livreur, y compris (sans s’y limiter) : les informations personnelles de l’Utilisateur, l’adresse complète de Livraison (y compris le nom de la localité, de la station de métro, le cas échéant, de la rue, avenue, etc., le numéro de la maison, du bâtiment, du bloc, de la résidence ou autre, le numéro de l’entrée, le numéro d’appartement, l’étage et le code de l’interphone, le cas échéant), le nom du destinataire, les coordonnées de contact (numéro de téléphone, autre) et le mode de paiement, puis clique sur le bouton « Valider la Commande » (ou équivalent) sur le Service. En passant Commande, l’Utilisateur déclare avoir lu et accepté le présent Contrat d’utilisation et les conditions du ou des contrats conclus avec le Partenaire et/ou le Livreur, et avoir pris connaissance des informations sur la Marchandise, sur la Livraison et sur les Frais de Service affichées sur le Service.

3.13. Le moment auquel un ou plusieurs contrats sont conclus entre l’Utilisateur et le Partenaire et/ou le Livreur est défini comme suit.

3.13.1. Un ou plusieurs contrats sont conclus avec le Partenaire au moment où l’Utilisateur clique sur le bouton « Tout est bon ! Passer au paiement » (ou équivalent) dans le cadre de l’enregistrement de la Commande. Le contrat avec le Livreur est conclu au moment où le Livreur devant assurer la Livraison des Marchandises est déterminé, conformément au paragraphe 3.14 du présent Contrat d’utilisation. Après avoir cliqué sur le bouton précité, l’Utilisateur dispose d’un délai limité pour effectuer le paiement. Passé ce délai, le message « ERREUR : délai de paiement (session) expiré. Effectuez une nouvelle commande. » apparaît. Si aucun paiement n’a été effectué pendant le délai imparti, pour quelque raison que ce soit, le ou les contrats avec le Partenaire et/ou le Livreur ne sont pas réputés avoir été conclus.

3.13.2. En cliquant sur le bouton « Tout est bon ! Passer au paiement » (ou équivalent) dans le cas prévu au paragraphe 3.13.1 du présent Contrat d’utilisation, l’Utilisateur déclare accepter (pleinement et inconditionnellement) la signature du contrat avec le Livreur déterminé conformément au paragraphe 3.14 du présent Contrat parmi les Livreurs prévus au paragraphe 6.8 du présent Contrat.

3.14. Le Livreur chargé d’effectuer la Livraison des Marchandises est sélectionné parmi les Livreurs des partenaires du Service, après un enregistrement par l’Utilisateur de la Commande, dans les 5 minutes suivant le début de l’exécution de la Commande par le Partenaire (début de la préparation de la Marchandise par le Partenaire)/début de l’assemblage par le Partenaire (si cette fonctionnalité est disponible). Yango Deli informe l’Utilisateur de la réception des informations fournies par le Partenaire sur le début de l’exécution de la Commande (début de la préparation de la Marchandise/début de l’assemblage de la Commande par le Partenaire) en envoyant une notification push à l’Utilisateur (Yango Deli ne peut être tenu pour responsable si l’Utilisateur ne reçoit pas la notification push alors que celui-ci a désactivé la fonctionnalité permettant la réception de ces notifications à partir des applications Yango Deli et/ou Yango sur un appareil mobile ; dans ce cas, le risque de non-réception des informations concernées est supporté par l’Utilisateur) ou un SMS lors de l’enregistrement de la Commande par l’Utilisateur par le biais des Applications Yango Deli et/ou Yango, sous forme de l’affichage du statut de la Commande « Commande en cours de préparation par le Restaurant » dans la rubrique « Mes commandes » du Service lors de l’enregistrement de la Commande à l’aide du site Web. L’Utilisateur peut obtenir des informations sur le Livreur qui livre la Commande en contactant Yango Deli au numéro de téléphone cité au paragraphe 6.9 du présent Contrat d’utilisation.

3.15. Au moment de l’exécution par l’Utilisateur des actions prévues au paragraphe 3.12, l’Utilisateur confirme que toutes les informations prévues par la législation en vigueur (y compris par la législation sur la protection des droits des consommateurs) et relatives à la Marchandise et à la Livraison, ainsi qu’au Partenaire et/ou au Livreur, lui ont été intégralement communiquées.

3.16. Le Partenaire peut annuler sa Commande dans les cas suivants.

3.16.1. En cas d’enregistrement par l’Utilisateur d’une Commande dans le cadre de laquelle la Livraison de la Marchandise est assurée par le Partenaire, si le Partenaire ne peut pas contacter l’Utilisateur à l’aide des coordonnées communiquées par lui lors de l’enregistrement de sa Commande.

3.16.2. En cas d’impossibilité pour le Partenaire d’exécuter le contrat.

3.16.3. Dans le cas où le Partenaire ne peut pas exécuter entièrement le contrat, celui-ci peut annuler la Commande conformément au paragraphe 3.16.2. ou contacter l’Utilisateur à l’aide du numéro de téléphone communiqué par l’Utilisateur, dans le but de modification de la composition de la Commande. Les informations sur les modifications de la Commande sont aussi affichées sur le Service, avec la possibilité pour l’Utilisateur de confirmer ces modifications. La Commande est réputée être enregistrée conformément aux nouvelles conditions dès lors que l’Utilisateur accepte ces nouvelles conditions par l’un des moyens suivants : a) par téléphone ou b) sur le Service.

3.17. L’Utilisateur qui a passé la Commande doit être présent à l’adresse de Livraison pour recevoir la Commande et réceptionner et payer les Marchandises lors de leur Livraison. En cas d’absence de l’Utilisateur à l’adresse de Livraison, ou si la Marchandise ne peut pas être remise à l’Utilisateur pour des raisons découlant d’actions ou de l’inaction de l’Utilisateur, ou en cas de refus de l’Utilisateur d’accepter la Marchandise (exception faite des Marchandises de mauvaise qualité ou non conformes aux conditions de la Commande passée par l’Utilisateur, sous réserve du respect par l’Utilisateur du paragraphe 3.18 du présent Contrat d’utilisation), au terme d’un délai de 10 minutes d’attente, l’Utilisateur est réputé refuser d’exécuter le ou les contrats passés avec le Partenaire et/ou le Livreur, et les fonds payés pour la Marchandise et la Livraison par l’Utilisateur sont utilisés pour rembourser les frais du Partenaire et/ou du Livreur et ne sont pas restitués par le Partenaire et/ou le Livreur.

3.18. Si l’Utilisateur juge que les Marchandises livrées sont de mauvaise qualité et/ou non conformes à la Commande qu’il a passée, l’Utilisateur est tenu d’envoyer sa réclamation sans délai au service d’assistance Yango Deli par le biais du formulaire de rétroaction (chat de l’assistance), en joignant une photographie de la Marchandise livrée et en décrivant les défauts de la Marchandise. Yango Deli réceptionne les réclamations des Utilisateurs et les transmet au Partenaire et/ou au Livreur dans les délais fixés au paragraphe 2.10.

3.19. Dans le cas où le Partenaire assure la Livraison des Marchandises, le Partenaire est réputé avoir respecté son obligation de remise des Marchandises à l’Utilisateur conformément au Contrat au moment de la remise des Marchandises (sous réserve qu’elles soient de bonne qualité et conformes à la Commande de l’Utilisateur) au représentant du Livreur.

3.20. Le temps de préparation et/ou de vente des Marchandises et les délais de Livraison cités sur le Service sont approximatifs. Sauf condition contraire convenue par l’Utilisateur et le Partenaire et/ou le Livreur, le fait que l’Utilisateur doive attendre sa Commande pendant 15 minutes après l’heure de Livraison spécifiée sur le Service lors de l’enregistrement de la Commande ne constitue pas un non-respect des délais pour la prestation des services par Partenaire et/ou par Livreur.

3.21. Dans les cas où le Partenaire/Livreur est dans l’impossibilité d’exécuter la Commande parce que le Partenaire n’a pas confirmé à Yango Deli l’acceptation de la Commande, en raison de l’absence de Livreurs (de coursiers des Livreurs) disponibles capables d’assurer la Livraison de la Commande, ou pour d’autres raisons empêchant une exécution adéquate et dans les temps des obligations du Partenaire/Livreur relatives à la Commande, Yango Deli est en droit d’annuler la Commande et de rembourser à l’Utilisateur le montant payé pour la Commande.

 

4. Utilisation du Service : fonctionnalités individuelles du Service

4.1. Yango Deli se réserve le droit de restreindre pour l’Utilisateur l’accès au Service (ou à certaines fonctionnalités du Service, si c’est possible du point de vue technique) en utilisant son compte, ou de bloquer complètement le compte de l’Utilisateur en cas de manquement répété au présent Contrat d’utilisation et/ou à la Documentation, ou de prendre à l’encontre de l’Utilisateur d’autres mesures en vue de garantir le respect du présent Contrat d’utilisation, de la Documentation ou des exigences de la législation, et de protéger les droits et les intérêts légitimes de tiers.

4.2. L’Utilisateur autorise Yango Deli, Yango et leurs partenaires à traiter ses informations personnelles (y compris ses données personnelles) et à les transférer (y compris à l’étranger) aux partenaires de Yango Deli et de Yango, y compris aux Partenaires et/ou Livreurs, et autorise les partenaires de Yango Deli et de Yango, y compris Partenaires et/ou Livreur, à traiter ces informations personnelles, afin de permettre l’utilisation du Service, l’enregistrement de la Commande sur le Service et l’exécution par les Partenaires et/ou le Livreur du contrat passé suite à l’enregistrement de la Commande, ainsi qu’aux fins définies dans le présent Contrat d’utilisation et dans la Politique de confidentialité, disponible à l’adresse : https://yango.com/legal/yango_privacy_notice.

4.3. Yango Deli peut enregistrer toutes les conversations de l’Utilisateur avec l’équipe du service d’assistance Yango Deli et avec les Partenaires et/ou les Livreurs à des fins de contrôle qualité et de résolution des litiges.

En cas d’insultes personnelles, de menaces ou d’autres paroles ou actions incorrectes adressées par l’Utilisateur aux spécialistes du service d’assistance du Service, le spécialiste est en droit de mettre fin au dialogue avec l’Utilisateur, oralement ou par écrit.

 

5. Paiement de la Marchandise et/ou de la Livraison

5.1. L’Utilisateur effectue le paiement de la Marchandise et/ou de la Livraison dans le cadre de sa Commande comme suit.

5.1.1. L’Utilisateur peut avoir accès à une option de paiement par virement à l’aide de sa carte bancaire (paragraphe 5.4 du présent Contrat d’utilisation) ; dans ce cas, Yango Deli, en vertu de la mission effectuée pour le Partenaire et/ou le Livreur, fait appel à un opérateur autorisé à réceptionner les paiements ou à un opérateur assurant le transfert de fonds par voie électronique (ci-après un « Paiement par carte bancaire »). Yango Deli ne garantit pas l’absence d’erreurs ou de défaillances dans le fonctionnement du Service en ce qui concerne la possibilité de payer par carte bancaire.

5.1.2. L’Utilisateur peut avoir accès à une option de paiement au Livreur (ou au tiers mandaté par le Livreur, si le Livreur mandate ce tiers pour livrer la Marchandise à l’Utilisateur) en espèces ou par carte bancaire, en utilisant des terminaux de point de vente si la Livraison de la Marchandise est effectuée par le Livreur. Dans ce cas, le Livreur (ou le tiers mandaté par lui), en acceptant le paiement de la Marchandise, agit dans le cadre de la mission confiée à Yango Deli, qui, à son tour, agit dans le cadre de la mission qui lui est confiée par le Partenaire.

5.1.3. L’Utilisateur peut avoir accès à une option de paiement en espèces directement au Partenaire, dans le cas où le Partenaire assure la Livraison de la Marchandise. Ce type de paiement se fait sans la participation de Yango Deli et n’est pas régi par le présent Contrat d’utilisation.

5.2. Yango Deli accepte les paiements dans le cas prévu au paragraphe 5.1. du présent Contrat d’utilisation uniquement parce que Yango Deli, en donnant la possibilité de passer des Commandes par le biais du Service, participe à la vente par le Partenaire des Marchandises pour lesquelles les paiements sont effectués.

5.3. Dans les cas prévus par la législation en vigueur, un ou plusieurs chèques peuvent être remis directement à l’Utilisateur par le Livreur et/ou par le Partenaire ou par Yango Deli lors du paiement des Marchandises et/ou de la Livraison, conformément aux exigences de la législation en vigueur.

L’Utilisateur envoie directement au Partenaire et/ou au Livreur ou à Yango Deli toute demande concernant le contenu d’un ou de plusieurs chèques.

Le Livreur et le Partenaire, respectivement, ont la responsabilité de remettre des chèques conformes aux Utilisateurs.

5.4. Une carte bancaire peut être enregistrée par l’Utilisateur dans l’interface du Service. Dans ce cas, l’Utilisateur doit communiquer les données suivantes :

  • Nom du propriétaire de la carte bancaire (champs « titulaire de la carte » ou « cardholder »)
  • Numéro de carte bancaire
  • Date d’expiration
  • Code de sécurité

Si les données de la carte bancaire sont correctes, valides et si l’utilisation de cette carte dans le cadre du Service est techniquement possible, cette carte bancaire obtient le statut de « carte liée » et peut être utilisée pour effectuer des paiements par carte bancaire. Toutes les cartes liées sont affichées dans l’interface du Service.

5.5. Les paiements par carte bancaire effectués par l’Utilisateur font appel à un opérateur autorisé à réceptionner les paiements ou à un opérateur assurant le transfert de fonds par voie électronique, et sont réglementés par les normes des systèmes de paiement internationaux, des banques (y compris de la banque émettrice de la carte liée) et des autres opérateurs intervenant dans ces systèmes de règlement.

5.6. Lors de l’inscription de ses données conformément au paragraphe 5.4 du présent Contrat d’utilisation et lors de l’utilisation ultérieure de la carte liée, l’Utilisateur garantit : avoir indiqué des informations exactes et exhaustives concernant une carte bancaire valide et émise en son nom ; son respect des normes des systèmes de paiement internationaux et des exigences de la banque émettrice de la carte liée, y compris en ce qui concerne la procédure de paiement.

5.7. L’Utilisateur comprend et accepte que toutes les actions effectuées sur le Service après connexion à l’aide de l’identifiant et du mot de passe qui lui ont été attribués lors de son inscription sur le Service, y compris les paiements effectués à l’aide de la carte liée, sont réputées être effectuées par l’Utilisateur lui-même.

5.8. Si l’Utilisateur n’est pas d’accord avec la réalisation et/ou le montant d’un paiement par carte bancaire, et en cas d’autres questions liées à l’utilisation de la carte liée dans le cadre du Service, l’Utilisateur a le droit de s’adresser à Yango Deli en utilisant les coordonnées citées dans le présent Contrat d’utilisation, et ce dans les 14 jours suivant la date du paiement ou des autres actions ou événements sur lesquels porte sa demande.

Si Yango Deli, suite à l’enquête relative à cette demande, décide de restituer la somme payée en tout ou partie, ce remboursement est effectué sur le compte associé à la carte bancaire ayant été utilisée pour le paiement. La procédure de remboursement fait appel à un opérateur autorisé à réceptionner les paiements ou à un opérateur assurant le transfert de fonds par voie électronique, et est régie par les normes des systèmes de paiement internationaux, des banques (y compris de la banque émettrice de la carte liée) et des autres opérateurs intervenant dans ces systèmes de règlement.

5.9. Yango Deli se réserve le droit à tout moment de demander à l’Utilisateur de confirmer les données communiquées par lui dans le cadre du Service, notamment les données de la carte liée, et de demander à cette fin des justificatifs (en particulier des pièces d’identité). À la discrétion de Yango Deli, le fait de ne pas présenter ces justificatifs peut être assimilé à la communication d’informations inexactes et entraîner les conséquences prévues au paragraphe 4.1 du présent Contrat d’utilisation.

5.10. L’Utilisateur peut contacter le Partenaire et/ou le Livreur en cas de questions concernant le paiement de la Marchandise et/ou de la Livraison en espèces prévu dans le présent Contrat d’utilisation.

En cas de demande de l’Utilisateur adressée à Yango Deli concernant le remboursement de paiements en espèces, Yango Deli a le droit de communiquer à l’Utilisateur les données du Partenaire et/ou du Livreur effectuant le remboursement, ou d’effectuer le remboursement par ses propres moyens, uniquement par voie dématérialisée, sur le compte associé à la carte bancaire liée.

 

6. Autres conditions

6.1. L’Utilisateur déclare être capable juridiquement et avoir atteint l’âge requis par la loi de la république de Côte d’Ivoire pour signer des contrats avec le Partenaire et/ou le Livreur et pour conclure les autres transactions prévues par le présent Contrat d’utilisation.

6.2. Yango Deli ne peut être tenu pour responsable des éléments décrits ci-après.

6.2.1. Yango Deli ne peut être tenu pour responsable en cas de défaillances et d’interruptions temporaires dans le fonctionnement du Service et/ou la disponibilité de la fonctionnalité permettant aux Utilisateurs de passer Commande ; des pertes d’informations en résultant ; de la conservation des informations et de leur exactitude et de la rapidité de leur transmission et livraison.

6.2.2. Yango Deli ne peut être tenu pour responsable de la fiabilité, de la qualité et de la vitesse du fonctionnement du Service, ainsi que de la conservation des informations créées, utilisées et reçues par l’Utilisateur.

6.3. Procédure d’envoi des demandes des Utilisateurs à Yango Deli : toutes les demandes doivent être adressées au service d’assistance Yango Deli, par le biais du formulaire de rétroaction (chat de l’assistance) disponible dans l’interface du Service. D’autres fonctionnalités du Service peuvent permettre à l’Utilisateur d’adresser des demandes à Yango Deli.

6.4. Sauf condition contraire indiquée sur le Service, tous les prix cités sur le Service comprennent la TVA.

6.5. Les réductions sur le prix de la Marchandise et/ou de la Livraison associées aux Codes promotionnels sont appliquées dans les cas et selon les modalités prévus par les Conditions d’utilisation des Codes promotionnels du Service Yango Deli (https://yango.com/legal/deli_promocode).

6.6. Pour signaler les Marchandises pouvant être livrées par le Livreur, les informations sur ces Marchandises peuvent être accompagnées sur le Service d’une icône mobylette et d’informations indiquant que la Livraison est assurée par le Partenaire.

6.7. Dans le cas où le Partenaire prévoie que le prix des Marchandises commandées doit atteindre un certain montant (montant minimal de Commande, sans tenir compte du coût de la Livraison), cette condition doit être communiquée aux Utilisateurs sur le Service sous forme de mention « Commande à partir de XX ₣ », XX représentant le montant minimal de Commande imposé par le Partenaire.

6.8. Les informations sur les Partenaires/Livreurs prévues par la loi sur la protection des droits des consommateurs sont communiquées à l’Utilisateur sur la page du Partenaire concerné sur le Service. Sauf condition contraire indiquée par le Partenaire, les horaires de travail du Partenaire dont les informations figurent sur le Service correspondent aux créneaux pendant lesquels celui-ci accepte les Commandes.

Yango Deli Service User Agreement

 

Terms and Definitions

Yango Deli means Yango Deli ZAM Limited (Reg.number: 120220043569, Address: House No. 3 Mpulungu Road, Olympia Park, Lusaka, Zambia)

Service means the software (including programs for mobile devices) and websites of Yango Deli or its affiliates that provide the Service User with the opportunity to Order Goods and Delivery on the terms and conditions specified in the User Agreement;

User means an individual using the Service on the terms and conditions stipulated in the User Agreement in order to place an Order for Goods and Delivery;

Authorized User means a User who has logged in to the Service using the user’s name and password assigned to them when registering on the Service.

Partner means an entity that places its offers and materials on the Service and sells Goods to the User when they place an Order, as well as carrying out the Delivery (if the Partner carries out Delivery itself).

Order means an order of Goods and Delivery placed by a User on the Service. As a result of an Order, a User enters into a contract for the purchase and sale of Goods with the Partner and a Delivery contract with the Delivery Service Provider (if the Partner carries out Delivery itself, then the Delivery contract with the Partner);

Contract means a contract for the purchase and sale of Goods with a Partner or a contract for the delivery of Goods with a Delivery Service Provider (or, in the case of Delivery by the Partner, with the Partner), executed between the User and the Partner and the Delivery Service Provider as a result of an Order placement.

Goods mean goods that are the subject of a sales contract concluded between the User and the Partner by placing an Order on the Service by the User. The Goods sale and purchase contract and the rights and obligations arising therefrom when placing an Order shall arise directly between the Partner and the User. Yango Deli shall not be a party to this contract;

Delivery means a service of delivery of the Goods ordered by the User through the Service to the User. A delivery contract with the User shall be concluded by and between the Delivery Service Provider (or the Partner, in the case of Delivery by the Partner itself). Yango Deli shall not be a party to this contract;

Delivery Service Provider means an entity delivering the Goods ordered by the User (except for the cases when the Goods Delivery is performed by the Partner).

User Agreement means a document regulating the procedure for placing an Order by the User posted on the Internet at: https://yango.com/legal/deli_termsofuse.

Territory means Zambia.

Promo Code means a certain sequence of characters, by activating which and subject to compliance with other conditions of use of the Promo Code, the User may receive a discount on the price of Goods and/or Delivery and/or the Service fee.

Yango App means a program for mobile devices provided to Users on the terms and conditions available at: https://yango.com/legal/yango_mobile_agreement

Yango Deli App means a program for mobile devices provided to Users under the terms of a License Agreement for the use of the Yango Deli program available at:

https://yango.com/legal/deli_licence.

Applicable Law means all applicable laws, regulations, rules and codes in force at the moment (including, without limitation, all applicable data protection and privacy laws) within the Territory;

Other terms may also be used in the User Agreement. If there is a possibility of an ambiguous interpretation of a term, the interpretation used on the Service shall have the first priority, the second priority shall be given to the understanding of the term commonly used on the Internet, and the third one, to the interpretation given in the Applicable Law.

 

1. General Provisions

1.1. The way the User uses the Service shall be governed by this User Agreement and the Privacy Policy:

1.2. By starting to use the functions of the Service (in whole or in part), the User shall be deemed to have accepted the User Agreement, as well as the terms and conditions of other documents of the Service, in full, without any reservations and exceptions. In case of disagreement with any of the provisions in the User Agreement or documents, the User shall not use the Service.

1.3. Yango Deli may amend the provisions of the User Agreement and other documents of the Service at any time without notifying the User. The current version of this User Agreement is available at:

The risk of failing to read a revised version of the User Agreement and other documents of the Service shall be borne by the User; the continued use of the Service once the User Agreement and other documents of the Service have been amended shall constitute consent to their revised version.

1.4. By starting to use the Service, the User confirms that they are legally capable and have reached the age required in accordance with Applicable Laws for entering into and performance of all transactions provided for in the User Agreement, and the fulfillment of all obligations specified in this User Agreement.

1.5. If the User does not agree with the amendments to the User Agreement, the User shall cease using the Service.

 

2. Service Functions and Terms of Use

2.1. The way the User uses the Service shall be governed by this User Agreement and the Privacy Policy:

2.2. By starting to use the functions of the Service (in whole or in part), the User shall be deemed to have accepted the User Agreement, as well as the terms and conditions of other documents of the Service, in full, without any reservations and exceptions. In case of disagreement with any of the provisions in the User Agreement or documents, the User shall not use the Service.

2.3. Yango Deli may amend the provisions of the User Agreement and other documents of the Service at any time without notifying the User. The current version of this User Agreement is available at:

2.5. If the User does not agree with the amendments to the User Agreement, the User shall cease using the Service.

 

3. Terms of Use of Service Functions

3.1. The use of the Service functions shall be available to the User after registration and authorization on the Service. When registering, the User undertakes to provide the data requested on the Service in the registration form. The User undertakes not to disclose the login and password assigned to them during registration to third parties, as well as to ensure the safety and confidentiality of the login and password. All actions performed using the User’s login and password on the Service shall be deemed to be performed by the User.

3.2. Some features of the Service may be unavailable or limited. Functions are deemed to be unavailable (limited) for the User, if such User is unable to use them explicitly. Any technical and software-based methods are prohibited to be applied to circumvent such limitations. No provisions of this User Agreement governing functions of the Service unavailable (limited) for the User will apply until such functions become explicitly available for the User.

3.3. The User may not use more than one account when using the Service. If Yango Deli reveals that the User has violated the said clause, Yango may restrict the User’s access to the Service.

3.4. By using the Service, the User consents to receive promotional messages. The User may unsubscribe from promotional messages in the Service interface or following instructions specified in a promotional message received.

3.5. Yango Deli reserves the right, at its sole discretion, to restrict the User’s access to the Service or to certain functions of the Service using their account or completely block the User’s account. Access restriction or account blocking shall be possible in case of:

a. violation of the terms and conditions of the User Agreement or other documents used on the Service;

b. violation of the terms and conditions of Contracts with Restaurants, Delivery Service Provides and the Service;

c. abuse, misrepresentation, fraudulent actions, immoral or inappropriate conduct of the User when using the Service, contacts with representatives of the Delivery Service Provider or Partner;

d. in other cases, when the User’s behavior does not correspond to the use of the Service and its functions in good faith;

e. non-fulfillment of the obligation to pay for the Goods and Delivery, as well as the Service Fee.

 

4. Legal Relations when Using the Service

4.1. When placing an Order on the Service, the User:

a. Enters into a contract for the purchase and sale of Goods with a Partner;

b. Enters into a contract for the provision of Goods Delivery services with the Delivery Service Provider;

c. Uses the functionality of the Service for placing an Order with a Partner and a Delivery Service Provider;

All rights and obligations under the Agreement (Agreements) concluded with the User shall arise directly for the Partner and the Delivery Service Provider.

Optional:

d. Instructs Yango Deli (with the engagement of third parties) to pay for the Goods at the place of sale of the Goods by the Partner on behalf of and at the expense of the User. Such instructions shall not be instructions to make a purchase and sale transaction, and shall be instructions to perform actions to pay for the Order. The pursuance of such instructions shall be carried out on behalf of the User and at their expense.

4.2. Yango Deli shall not be a party to the legal relations specified in clauses (a) and (b). Yango Deli will provide the User with services under clauses (c) and (d) (if available on the Service) and shall be solely liable within the Service Fee (if it is charged).

4.3. The material terms of the contracts concluded by the User shall be indicated in the description of the Goods published on the Service, the terms and conditions of the Partner's offer for the sale of the goods (the Product page on the Service) and in the description of the Delivery terms and conditions.

Unless otherwise specifically stated on the Service, all prices listed on the Service include taxes and fees in accordance with the Applicable Law.

At the same time, obvious errors, including typos made by a Partner and a Delivery Service Provider in the description of the Goods, shall not be legally binding.

4.4. The moment of execution of a Contract between a User and a Partner and a Delivery Service Provider shall be determined in the following manner:

a. A Contract with a Partner shall be concluded when the User clicks the "Order" button (or a similar button) in the Order form;

b. A Contract with a Delivery Service Provider shall be concluded at the time of determining the Delivery Service Provider delivering the Goods;

By clicking the “Order” button (or a similar button), the User expresses full and unconditional consent (acceptance) to conclude a Contract with a Delivery Service Provider, Partner and Yango Deli.

After clicking the “Order” button (or a similar button), a User shall be given a limited time period to make the payment, after the elapse of which the message “ERROR The payment time (session) has expired. Place a new order” will appear. If the payment does not occur during the specified period of time for any reason, the Contract with a Partner and a Delivery Service Provider shall not be considered concluded

4.5. If an Order includes Goods, the purchase of which requires the reaching of a certain age provided for by the Applicable Law, the User shall confirm and guarantee to a Partner and Yango by their actions that the User has reached the age provided for by the Applicable Law.

The Partner and the Delivery Service Provider shall have the right to require additional confirmation from the User of reaching the age provided for by the Applicable Law. The Partner may to refuse to sell the Goods if the User is unable to confirm their age.

4.6. A User agrees that a Partner and a Delivery Service Provider may entrust the Contract performance to a third party, while remaining responsible for its performance.

4.7. Yango Deli will not be responsible for any claims and demands regarding Goods and Delivery, and will not independently consider such claims. Yango Deli may transmit information about the Partner and the Delivery Service Provider responsible for the received claims to the User, as well as provide information received from the Partner and the Delivery Service Provider on the claims.

4.8. In some cases, information about which is communicated to a User when placing an Order on the Service, the cost of Delivery will not be charged additionally from the User.

 

5. Procedure for and Terms and Conditions of Order Placing on the Service

5.1. Placing Orders shall be available only to an Authorized User.

5.2. To place an Order, a User shall perform the following actions:

a. review information about the Goods, Delivery and services of the Service;

b. specify all the data necessary for the Contract performance by the Partner and the Delivery Service Provider, including, but not limited to:

  • Full delivery address (name of the locality, street, house number (including building, estate, etc.), entrance number, apartment number, floor and other information on the address);
  • Consignee’s name;
  • Contact details (phone number, other);
  • Payment method.

c. Confirm the order by clicking the “Order” button (another similar button).

5.3. Placing an Order on the Service shall mean:

a. consent with and acceptance by the User of all essential terms and conditions of the sale of Goods, delivery by a Partner and a Delivery Service Provider;

b. consent to the provision of the services of the Service (if applicable);

c. familiarization, consent and acceptance by the User of the terms and conditions of this User Agreement on the use of the Service and all other documents of the Service;

d. familiarization and consent with the charging and amount of the Service Fee (if charged);

e. understanding of and agreement with all the legal consequences of their actions in relation to the concluded contracts

5.4. By clicking the “Order” button (or a similar button), full and unconditional consent (acceptance) to conclude a Contract with a Delivery Service Provider determined in accordance with Cl. 3.14 of the User Agreement from among the Delivery Service Providers provided for in Cl. 6.8 of the User Agreement.

5.5. When authorizing and placing an Order, a User shall provide reliable information about themselves and the Order consignee when placing an Order on the Service. A User shall be liable for all consequences caused by unreliability of the information provided.

5.6. For an Authorized User, after placing an Order, information about the Order placed by them shall be available in the “My Orders” section of the Service. In this section of the Service, an Authorized User may view information about the Order status.

 

6. Delivery Terms and Conditions

6.1. The specific Delivery Service Provider shall be determined after the User places an Order and the Partner proceeds with preparing the Goods.

6.2. The User shall be present at the Delivery address to receive the Order, as well as ensure acceptance and payment of the Goods upon Delivery.

6.3. The User shall be deemed to have refused to fulfill the Contract with a Partner and a Delivery Service Provider:

a. if the User is absent at the Delivery address for more than 10 minutes from the moment the Delivery Service Provider arrives at the Delivery address (in accordance with the Service data);

b. if it is impossible to deliver the Goods to the User for reasons that depend on the User;

c. if the User refuses to accept the Goods (with the exception of Goods of inadequate quality or not conforming to the terms and conditions of the Order placed by the User)

In the said cases, the funds paid for the Goods and Delivery by the User shall be used to reimburse the costs of the Partner and the Delivery Service Provider and shall not be subject to refund to the User.

6.4. Yango Deli may cancel the Order with a refund for the Order to the User:

a. in cases where it is impossible for the Delivery Service Provider to fulfill the Order due to the absence of free Delivery Service Providers (Delivery Service Providers’ couriers) capable of delivering the Order;

b. for other reasons that prevent the timely and proper fulfillment of the obligations of the Delivery Service Provider

6.5. In order to identify Partners or Orders delivered by a Delivery Service Provider, such Partners or Orders may be marked on the Service with an icon with the image of a “Courier” and also accompanied with information about the Delivery Service Provider.

 

7. Terms and Conditions of Sale of Goods by a Partner

7.1. A Partner may cancel the Order if:

a. in the course of Delivery by the Partner, it was impossible to contact the User using the contact details;

b. the Partner is unable to perform the Contract.

7.2. If the Partner is unable to perform the Contract in full, it shall have the right to cancel the order, or contact the User at the phone number specified by the User in order to change the composition of the Order.

If a User confirms the change in the Order, the Order shall be considered to be placed under the new terms and conditions agreed with the User.

Information about the changes in the Order shall be reflected on the Service in the section with the User’s order history.

7.3. If the Goods delivered to the User, in the User’s opinion, are of inadequate quality or do not correspond to the Order, the User shall immediately send a request via the Yango Deli support service chat with photos of the delivered Goods attached, and send a description of the deficiencies of the Goods.

Yango Deli will accept claims from Users for transfer thereof to the Partner and Delivery Service Provider.

7.4. In case of Delivery of the Goods, a Partner shall be considered to have fulfilled its obligation to transfer the Goods to the User under the Contract at the time of transfer of the Goods (of proper quality and corresponding to the Order placed by the User) to the representative of the Delivery Service Provider.

7.5. The time of preparation of the Goods and Delivery (if applicable) indicated on the Service is approximate.

7.6. Yango may cancel an Order with a refund for the Order to the User in cases where the Partner is unable to fulfill the Order due to:

a. non-confirmation by the Partner of readiness to accept the Order to Yango Deli

b. for other reasons that prevent the timely and proper fulfillment of obligations by the Partner with respect to the Order.

 

8. Personal Data and the Procedure for the User's Interaction with the Service

8.1. A User grants Yango Deli, affiliates of Yango Deli, partners of Yango Deli their consent:

a. to the processing of personal information (including personal data) of the User;

b. to the transfer (including cross-border) of the User's personal information to Yango Deli partners, Partners and Delivery Service Providers, affiliates of Yango Deli;

c. to the processing of personal information by Yango Deli partners, Partners and the Delivery Service Provider, affiliates of Yango Deli.

The processing of personal data when using the Yango Deli service shall be carried out in accordance with the Privacy Policy:

The User confirms the consent to the fact that the personal information that the User provides to Yango Deli, including when placing an Order, may be transferred, including the cross-border transfer, to Yango Deli partners with which the User enters into a Contract as a result of placing an Order, for the purposes of performing the specified Contract (such transfer may also be carried out through third parties engaged by Yango Deli). The User agrees that Yango Deli may store the User’s personal information, as well as the personal information of the recipient of the Order specified by the User, for at least three years from the date of placing the Order.

8.2. By placing an order on the Service, the User agrees to receive:

a. emails and notifications from Yango Deli and related parties, which may be sent to the User

  • after placing an Order
  • in case of changes in the Order
  • before Delivery of the Goods in a case affecting the performance of the Order or timely notification about its status;

b. messages (SMS) to the phone number specified by the User, as well as a call with an offer to assess the quality of the Service, Partner and/or Delivery Service Provider to the phone number specified by the User;

c. push notifications (at the same time, Yango Deli shall not be liable for not receiving push notifications by the User if the User turns off the function of receiving such notifications on the mobile device, the risk of not receiving the relevant information in this case shall be borne by the User). If the User disables the function of sending push notifications, the User agrees to sending of information about the progress of the Order Delivery to their email address in order to inform them about the possibility/impossibility of performing the Order Delivery.

8.3. All interaction between the User and the Service shall be carried out through the Yango Deli support service, namely, in the support service chat available in the Service interface. The functionality of the Service may also provide other ways for the User to send requests to Yango Deli.

8.4. In order to control quality and resolve disputes, Yango Deli may record all User’s conversations and correspondence with Yango Deli support service specialists, Partners and Delivery Service Providers.

8.5. If personal insults, threats, obscene statements and actions from the User are received by the Service Support service specialists, the Service Support service Specialist may terminate the conversation with the User, both orally and in writing.

 

9. Payment

9.1. Payment of an Order shall be carried out by the User:

  • by in a cashless form;

    in this case, Yango Deli shall act on behalf of the Partner and the Delivery Service Provider and with the engagement of an organization for accepting payments. Yango Deli does not guarantee that the operation of the Service will be error- and failure-free in view of enabling cashless payments.

  • in cash (to a third party engaged by the Delivery Service Provider);

    in this case, the Delivery Service Provider (a third party engaged by the Delivery Service Provider) shall act as an agent for receiving funds in favor of the Partner and Yango Deli in terms of receiving funds.

9.2. The acceptance of payments by Yango Deli for Orders on the Service shall be carried out solely due to the fact that the conclusion of a contract for the purchase of Goods and the provision of Delivery services is performed through the Yango Deli Service.

9.3. Yango Deli does not participate in accepting cash payments in case of Delivery by the Partner independently and the User’s selection of a payment method using cash (if such option is available on the Service).

9.4. The participation of Yango Deli in the process of payments for goods and services may in no case be construed as Yango Deli being a party to the contract of sale and purchase and provision of services between a User and a Partner/Delivery Service Provider.

9.5. The responsibility for the proper content and provision of receipts/invoices to Users (if required in accordance with the Applicable Law) shall be primarily borne by Delivery Service Providers and Partners, unless otherwise provided for by the Applicable Law.

Cashless Payment Procedure

9.6. To make cashless payment, a User shall link a bank card in the Service interface. To do this, a User shall specify:

a. The name of the bank card holder (the “cardholder” field);

b. Bank card number

c. Validity term;

d. Security code.

9.7. If the bank card details are true, valid and it is technically possible to use this card within the Service, the said bank card becomes the linked one and can be used for cashless payments. All linked cards are displayed in the Service interface.

9.8. Cashless payment shall be carried out with the involvement of a payment processor or an electronic money operator. The operator/processor is an authorized person having the right to accept and process payments in accordance with the Applicable Law. The payment procedure in this case shall be governed by the rules of international payment systems, banks (including the issuing bank of the Linked Card) and other settlement participants.

9.9. When linking and using the Linked Card, the User confirms and guarantees that they have indicated reliable and full information on the valid bank card issued in their name; they comply with rules of international payment systems and requirements of the bank having issued the Linked Card, inter alia, in relation to the procedure for cashless payments.

9.10. The User understands and agrees that all actions performed within the framework of the Service after authorization using the login and password assigned to them during registration on the Service, including cashless payments using a Linked Bank Card, shall be considered committed by the User.

Consideration of Requests for Payments on the Service

9.11. If a User does not agree with the fact, the amount of the cashless payment or the facts of using the linked card on the Service, the User may contact Yango Deli within 14 days from the date of the cashless payment or other actions or events that have caused the request.

9.12. Yango Deli may, on behalf of the Partner and the Delivery Service Provider, decide to refund the amount of the cashless payment in full. The specified refund shall be made to the bank account of the bank card from which the cashless payment has been made. The procedure for the refund shall be carried out with the involvement of the payment processor or the operator of electronic funds. The refund procedure in this case shall be governed by the rules of international payment systems, banks (including the issuing bank of the Linked Card) and other settlement participants.

9.13. Yango Deli reserves the right at any time to require the User to confirm the data specified by them within the framework of the Service, including the data of the Linked Card, and to request supporting documents in this regard (in particular, identity documents). Failure to provide the requested information shall be the basis for Yango Deli to suspend the User’s use of the Service or block the User’s account.

9.14. For questions related to payment in cash provided for in the User Agreement, the User may contact the Partner and the Delivery Service Provider.

 

10. Liability of the Service

10.1. Yango Deli, as the entity providing the information service, shall not bear any liability for the information about Goods and services that Partners/Delivery Service Providers post on the Service. Partners and Delivery Service Providers, as persons selling Goods and providing services, shall be responsible for communicating to the User all information about Goods and services provided for by the Applicable Law.

10.2. Besides, Yango Deli shall not be responsible for:

  • temporary failures and interruptions in the operation of the Service or part of the functions of the Service caused by failures and interruptions, loss of information, safety of information, correctness and timeliness of its transmission;
  • reliability, quality and speed of the Service, as well as for the safety of the information created, used and received by a User.

 

11. Use of Promo Codes on the Service

Terms and Conditions of Use of a Promo Code and Application of a Discount

11.1. When using the Service, Promo Codes may be provided to Users that allow the User to receive discounts on Goods, Delivery or the Service Fee.

11.2. A Promo Code may be applied only in the case of using the cashless payment method on the Service and only when paying with bank cards on a physical medium.

11.3. The list of current Promo Codes available to a User shall be indicated in the corresponding section of the Service. If a Promo Code is not reflected in the special section, then it is considered invalid and may not be applied.

11.4. The cost of the Order after applying a Promo Code shall be reflected on the Service and shall be subject to payment by the User in accordance with the terms and conditions of the User Agreement.

11.5. A discount when applying a Promo Code shall be applied only if the Promo Code is activated.

11.6. Discounts when using a Promo Code shall be applied in the following manner (order):

a. to the cost of Goods;

b. in the part exceeding the cost of the Goods, to the cost of Delivery;

c. in the part exceeding the cost of Delivery, to the amount of the Service Fee;

11.7. The use of a Promo Code may not be available for technical reasons (not using the current version of the mobile application, changing the payment method when placing an Order, etc.).

11.8. Yango Deli shall not be responsible for non-fulfillment or improper fulfillment of obligations, as well as for any direct, indirect, special losses and damages of Users associated with the use or provision of Promo Codes. Yango Deli shall not be obligated to compensate Users for losses in such cases, since the provision of a Promo Code is the right, but not the responsibility of Yango Deli.

Restrictions when Using a Promo Code

11.9. The terms and conditions for granting discounts when applying a Promo Code may be limited. Information about the terms and conditions of use of the Promo Code shall be communicated to a User on the Service, at a separate page on the Internet, in advertisements or otherwise. Such terms and conditions may include:

  • restrictions on card issuers (a Promo Code may be used when paying with cards of certain issuers participating in the marketing campaign);
  • requirements for the ordinal number of an Order on the Service, for example, only the first order;
  • requirements for the composition of an Order;
  • restriction on the list of Partners (a Promo Code may be applied when making an Order from certain Partners participating in the marketing campaign);

The fulfillment of the terms and conditions for the use of a Promo Code shall be determined solely on the basis of the Service data.

11.10. Unconscientious use and application of Promo Codes is prohibited. In order to counteract the unconscientious use of Promo Codes or abuse when using Promo Codes, Yango Deli may verify the good-faith use by any available means. In case of revealing unconscientious use of Promo Codes, Yango Deli has the right to refuse to provide discounts in case of detection of relevant abuses or unconscientious use of a Promo Code.

11.11. The User should contact the support service of the Yango Deli Service to receive the relevant information about the reasons for non-application of a Promo Code.

11.12. When considering requests for the use of Promo Codes, the support service may request the User to confirm the receipt of Promo Codes (photos, screenshots, other confirmations) and its application. In case of a failure to provide such confirmation, Yango Deli reserves the right to refuse to provide a discount on a Promo Code.

11.13. Yango Deli may refuse to provide a discount on a Promo Code if a User has provided false information or in any other way violated this User Agreement.

Validity Period and Promo Code Use Times

11.14. A Promo Code has an expiration date. The validity period of a Promo Code shall be communicated to a User on the Service, at a separate page on the Internet, in advertisements or otherwise.

11.15. Upon expiration of the Promo Code, it becomes invalid.

11.16. A Promo Code may be used by one User only once, unless otherwise specified in the Promo Code, on the Service, advertising material, a page on the Internet, or in another source.

11.17. The User should contact the support service of the Yango Deli Service to receive the relevant information about the validity term and number of times of using a Promo Code.

Promo Code Validity Territory

11.18. If the territory of validity is not specified in the Promo Code, on the Service, at a separate page on the Internet, in advertisements or another source, the territory shall be considered to be limited to the city where the User received the Promo Code.

How to Activate a Promo Code

A Promo Code may only be used if activated. To activate a Promo Code, a User shall enter the Promo Code in the special “Promocode” field before placing an Order in the Yango Deli interface and click “Apply”.

Yango Comida Service User Agreement

1. Terms and Definitions

Yango Comida — Tech.EBiz Bol S.R.L.

Service shall mean the software (including programs for mobile devices) and websites of Yango Comida or its affiliates that provide the Service User with the opportunity to Order Goods and Delivery on the terms and conditions specified in the User Agreement;

User shall mean an individual using the Service on the terms and conditions stipulated in the User Agreement in order to place an Order for Goods and Delivery;

Authorized User shall mean a User who has logged in to the Service using the user name and password assigned to them when registering on the Service.

Partner shall mean a person that places its offers and materials on the Service and sells Goods to the User when they place an Order, as well as carrying out the Delivery (if the Partner carries out Delivery itself).

Order shall mean an order of Goods and Delivery placed by a User on the Service. As a result of an Order, a User enters into a contract for the purchase and sale of Goods with the Partner and a Delivery contract with the Delivery Service Provider (if the Partner carries out Delivery itself, then the Delivery contract with the Partner);

Contract shall mean a contract for the purchase and sale of Goods with a Partner or a contract for the delivery of Goods with a Delivery Service Provider (or, in the case of Delivery by the Partner, with the Partner), executed between the User and the Partner and the Delivery Service Provider as a result of an Order placement.

Goods shall mean goods that are the subject of a sales contract concluded between the User and the Partner by placing an Order on the Service by the User. The Goods sale and purchase contract and the rights and obligations arising therefrom when placing an Order shall arise directly between the Partner and the User. Yango Comida shall not be a party to this agreement;

Delivery shall mean a service of delivery of the Goods ordered by the User through the Service to the User. A delivery contract with the User shall be concluded by and between the Delivery Service Provider (or the Partner, in the case of Delivery by the Partner itself). Yango Comida shall not be a party to such agreement;

Delivery Service Provider shall mean a person delivering the Goods ordered by the User (except for the cases when the Delivery of Goods is performed by the Partner).

User Agreement shall mean a document regulating the procedure for placing an Order by the User posted on the Internet at: https://yango.com/legal/deli_termsofuse.

Territory shall mean Bolivia

Promo Code means a certain sequence of characters, by activating which and subject to compliance with other conditions of use of the Promo Code, the User may receive a discount on the price of Goods and/or Delivery and/or the Service fee.

Yango Comida App shall mean a program for mobile devices provided to Users under the terms of a License Agreement for the use of the Yango Comida program available at: https://yango.com/legal/yango_mobile_agreement/.

Applicable Law shall mean all applicable laws, regulations, rules and codes in force at the moment (including, without limitation, all applicable data protection and privacy laws) within the Territory;

Other terms may also be used in the User Agreement. If there is a possibility of an ambiguous interpretation of a term, the interpretation used on the Service shall have the first priority, the second priority shall be given to the understanding of the term commonly used on the Internet, and the third one, to the interpretation given in the Applicable Law.

1. General Provisions

1.1. The User's use of the Service shall be governed by this User Agreement, the Privacy Policy available online at: https://yango.com/legal/yango_privacy_notice and other Yango Comida documents available on the Yango Comida Service.

1.2. By starting to use the functions of the Service, the User shall be deemed to have accepted the User Agreement, as well as the terms and conditions of other documents of the Service, in full, without any reservations and exceptions. In case of disagreement with any of the provisions in the User Agreement or other applicable documents, the User shall not use the Service.

1.3. Yango Comida may amend the provisions of the User Agreement and other documents of the Service at any time without notifying the User. The current version of the User Agreement is available online at: https://yango.com/legal/deli_termsofuse.

The risk of failing to read a revised version of the User Agreement and other documents of the Service shall be borne by the User; the continued use of the Service once the User Agreement and other documents of the Service have been amended shall constitute consent to their revised version.

If the User does not agree with the amendments to the User Agreement, the User shall cease using the Service.

1.4. By starting to use the Service, the User confirms that they are legally capable and have reached the age required in accordance with Applicable Laws for entering into and performance of all transactions provided for in the User Agreement, and the fulfillment of all obligations specified in this User Agreement.

2. Service Functions and Terms of Use

2.1. With the help of the Yango Comida Service, the User may order Goods and Delivery from a Partner and a Delivery Service Provider. The terms and conditions for ordering Goods and Delivery posted on the Service shall be determined by the Partner and the Delivery Service Provider, respectively.

2.2. Yango Comida shall not be responsible for the content and relevance of the information provided by the Partner and the Delivery Service Provider about the Goods and Delivery, including the information about the cost of the Goods and Delivery, the time of the preparation of the Goods and Delivery, as well as the availability of the Goods at the moment.

2.3. The User may be charged a Service Fee (hereinafter referred to as the Service Fee) for the use of the certain functions, in particular, for services related to the use of the function of ordering from the Partner and the Delivery Service Provider. The amount of the Service Fee shall be determined by Yango Comida and displayed in the Service interface at the time a User places an Order.

2.4. Yango Comida may provide Users with discounts on the Service Fee at its sole discretion.

2.5. All currently available functions of the Service along with any developments and/or newly added functions shall be subject to the User Agreement.

3. Terms of Use of Service Functions

3.1. The use of the Service functions shall be available to the User after registration and authorization on the Service. When registering, the User undertakes to provide the data requested on the Service in the registration form. The User undertakes not to disclose the login and password assigned to them during registration to third parties, as well as to ensure the safety and confidentiality of the login and password. All actions performed using the User's login and password on the Service shall be deemed to be performed by the User.

3.2. Some features of the Service may be unavailable or limited. Functions are deemed to be unavailable (limited) for the User, if such User is unable to use them explicitly. Any technical and software-based methods are prohibited to be applied to circumvent such limitations. No provisions of this User Agreement governing functions of the Service unavailable (limited) for the User will apply until such functions become explicitly available for the User.

3.3. The User may not use more than one account when using the Service.

3.4. By using the Service, the User consents to receive promotional messages. The User may unsubscribe from promotional messages in the Service interface or following instructions specified in a promotional message received.

3.5. Yango Comida reserves the right, at its sole discretion, to restrict the User's access to the Service or to certain functions of the Service using their account or completely block the User's account. Access restriction or account blocking shall be possible in case of:

a. violation of the terms and conditions of the User Agreement or other documents used on the Service;

b. violation of the terms and conditions of Contracts with Restaurants, Delivery Service Provides and the Service;

c. abuse, misrepresentation, fraudulent actions, immoral or inappropriate conduct of the User when using the Service, contacts with representatives of the Delivery Service Provider or Partner;

d. in other cases, when the User's behavior does not correspond to the use of the Service and its functions in good faith;

e. non-fulfillment of the obligation to pay for the Goods and Delivery, as well as the Service Fee.

f. Using more than one account when using the Service.

4. Legal Relations when using the Service

4.1. When placing an Order on the Service, the User:

a. Enters into a contract for the purchase and sale of Goods with a Partner;

b. Enters into a contract for the provision of Goods Delivery services with the Delivery Service Provider;

c. Uses the functionality of the Service for placing an Order with a Partner and a Delivery Service Provider;

All rights and obligations under the Agreement (Agreements) concluded with the User shall arise directly for the Partner and the Delivery Service Provider.

Optional:

d. Instructs Yango Comida (with the engagement of third parties) to pay for the Goods at the place of sale of the Goods by the Partner on behalf of and at the expense of the User. Such instructions shall not be instructions to make a purchase and sale transaction, and shall be instructions to perform actions to pay for the Order. The pursuance of such instructions shall be carried out on behalf of the User and at their expense.

4.2. Yango Comida shall not be a party to the legal relations specified in clauses (a) and (b). Yango Comida will provide the User with services under clauses (c) and (d) (if available on the Service) and shall be solely liable within the Service Fee (if it is charged).

4.3. The material terms of the contracts concluded by the User shall be indicated in the description of the Goods published on the Service, the terms and conditions of the Partner's offer for the sale of the goods (the Product page on the Service) and in the description of the Delivery terms and conditions.

Unless otherwise specifically stated on the Service, all prices listed on the Service include taxes and fees in accordance with the Applicable Law.

At the same time, obvious errors, including typos made by a Partner and a Delivery Service Provider in the description of the Goods, shall not be legally binding.

4.4. The moment of execution of a Contract between a User and a Partner and a Delivery Service Provider shall be determined in the following manner:

a. A Contract with a Partner shall be concluded when the User clicks the "Order" button (or a similar button) in the Order form;

b. A Contract with a Delivery Service Provider shall be concluded at the time of determining the Delivery Service Provider delivering the Goods;

By clicking the "Order" button (or a similar button), the User expresses full and unconditional consent (acceptance) to conclude a Contract with a Delivery Service Provider, Partner and Yango Comida.

After clicking the "Order" button (or a similar button), a User shall be given a limited time period to make the payment, after the elapse of which the message "ERROR The payment time (session) has expired. Place a new order" will appear. If the payment does not occur during the specified period of time for any reason, the Contract with a Partner and a Delivery Service Provider shall not be considered concluded

4.5. If an Order includes Goods, the purchase of which requires the reaching of a certain age provided for by the Applicable Law, the User shall confirm and guarantee to a Partner and Yango by their actions that the User has reached the age provided for by the Applicable Law.

The Partner and the Delivery Service Provider shall have the right to require additional confirmation from the User of reaching the age provided for by the Applicable Law. The Partner may to refuse to sell the Goods if the User is unable to confirm their age.

4.6. A User agrees that a Partner and a Delivery Service Provider may entrust the Contract performance to a third party, while remaining responsible for its performance.

4.7. Yango Comida will not be responsible for any claims and demands regarding Goods and Delivery, and will not independently consider such claims. Yango Comida may transmit information about the Partner and the Delivery Service Provider responsible for the received claims to the User, as well as provide information received from the Partner and the Delivery Service Provider on the claims.

4.8. In some cases, information about which is communicated to a User when placing an Order on the Service, the cost of Delivery will not be charged additionally from the User.

5. Procedure for and Terms and Conditions of Order Placing on the Service

5.1. Placing Orders shall be available only to an Authorized User.

5.2. To place an Order, a User shall perform the following actions:

a. review information about the Goods, Delivery and services of the Service;

b. specify all the data necessary for the Contract performance by the Partner and the Delivery Service Provider, including, but not limited to:

• Full delivery address (name of the locality, street, house number (including building, estate, etc.), entrance number, apartment number, floor and other information on the address);

• Consignee's name;

• Contact details (phone number, other);

• Payment method.

c. Confirm the order by clicking the "Order" button (another similar button).

5.3. Placing an Order on the Service shall mean:

a. consent with and acceptance by the User of all essential terms and conditions of the sale of Goods, delivery by a Partner and a Delivery Service Provider;

b. consent to the provision of the services of the Service;

c. familiarization, consent and acceptance by the User of the terms and conditions of this User Agreement on the use of the Service and all other documents of the Service;

d. familiarization and consent with the charging and amount of the Service Fee (if charged);

e. understanding of and agreement with all the legal consequences of their actions in relation to the concluded contracts

5.4. Clicking the "Order" button (or a similar button) shall constitute full and unconditional consent (acceptance) to conclude a Contract with a Delivery Service Provider, determined in accordance with Cl. 3.14 of the User Agreement from among the Delivery Service Providers provided for in Cl. 6.8 of the User Agreement.

5.5. When authorizing and placing an Order, a User shall provide reliable information about themselves and the Order consignee when placing an Order on the Service. A User shall be liable for all consequences caused by unreliability of the information provided.

5.6. For an Authorized User, after placing an Order, information about the Order placed by them shall be available in the "My Orders" section of the Service. In this section of the Service, an Authorized User may view information about the Order status.

6. Delivery Terms and Conditions

6.1. The specific Delivery Service Provider shall be determined after the User places an Order and the Partner proceeds with preparing the Goods.

6.2. The User shall be present at the Delivery address to receive the Order, as well as ensure acceptance and payment of the Goods upon Delivery.

6.3. The User shall be deemed to have refused to fulfill the Contract with a Partner and a Delivery Service Provider:

a. if the User is absent at the Delivery address for more than 10 minutes from the moment the Delivery Service Provider arrives at the Delivery address (in accordance with the Service data);

b. if it is impossible to deliver the Goods to the User for reasons that depend on the User;

c. if the User refuses to accept the Goods (with the exception of Goods of inadequate quality or not conforming to the terms and conditions of the Order placed by the User)

In the said cases, the funds paid for the Goods and Delivery by the User shall be used to reimburse the costs of the Partner and the Delivery Service Provider and shall not be subject to refund to the User.

6.4. Yango Comida may cancel the Order with a refund for the Order to the User:

a. in cases where it is impossible for the Delivery Service Provider to fulfill the Order due to the absence of free Delivery Service Providers (Delivery Service Providers' couriers) capable of delivering the Order;

b. for other reasons that prevent the timely and proper fulfillment of the obligations of the Delivery Service Provider

6.5. In order to identify Partners or Orders delivered by a Delivery Service Provider, such Partners or Orders may be marked on the Service with an icon with the image of a "Courier" and also accompanied with information about the Delivery Service Provider.

7. Terms and Conditions of Sale of Goods by a Partner

7.1. A Partner may cancel the Order if:

a. in the course of Delivery by the Partner, it was impossible to contact the User using the contact details;

b. the Partner is unable to perform the Contract.

7.2. If the Partner is unable to perform the Contract in full, it shall have the right to cancel the order, or contact the User at the phone number specified by the User in order to change the composition of the Order.

If a User confirms the change in the Order, the Order shall be considered to be placed under the new terms and conditions agreed with the User.

Information about the changes in the Order shall be reflected on the Service in the section with the User's order history.

7.3. If the Goods delivered to the User, in the User's opinion, are of inadequate quality or do not correspond to the Order, the User shall immediately send a request via the Yango Comida support service chat with photos of the delivered Goods attached, and send a description of the deficiencies of the Goods.

Yango Comida will accept claims from Users for transfer thereof to the Partner and Delivery Service Provider.

7.4. In case of Delivery of the Goods, a Partner shall be considered to have fulfilled its obligation to transfer the Goods to the User under the Contract at the time of transfer of the Goods (of proper quality and corresponding to the Order placed by the User) to the representative of the Delivery Service Provider.

7.5. The time of preparation of the Goods and Delivery (if applicable) indicated on the Service is approximate.

7.6. Yango may cancel an Order with a refund for the Order to the User in cases where the Partner is unable to fulfill the Order due to:

a. non-confirmation by the Partner of readiness to accept the Order to Yango Comida

b. for other reasons that prevent the timely and proper fulfillment of obligations by the Partner with respect to the Order.

8. Personal Data and the Procedure for the User's Interaction with the Service

8.1. A User grants Yango Comida, affiliates of Yango Comida, partners of Yango Comida their consent:

a. to the processing of personal information (including personal data) of the User;

b. to the transfer (including cross-border) of the User's personal information to Yango Comida partners, Partners and Delivery Service Providers, affiliates of Yango Comida;

c. to the processing of personal information by Yango Comida partners, Partners and the Delivery Service Provider, affiliates of Yango Comida.

The processing of personal data when using the Yango Comida service shall be carried out in accordance with the Privacy Policy:

The User confirms the consent to the fact that the personal information that the User provides to Yango Deli, including when placing an Order, may be transferred, including the cross-border transfer, to Yango Deli partners with which the User enters into a Contract as a result of placing an Order, for the purposes of performing the specified Contract (such transfer may also be carried out through third parties engaged by Yango Comida). The User agrees that Yango Comida may store the User's personal information, as well as the personal information of the recipient of the Order specified by the User, for at least three years from the date of placing the Order.

8.2. By placing an order on the Service, the User agrees to receive:

a. emails and notifications from Yango Comida and related parties, which may be sent to the User

• after placing an Order

• in case of changes in the Order

• before Delivery of the Goods in a case affecting the performance of the Order or timely notification about its status;

b. messages (SMS) to the phone number specified by the User, as well as a call with an offer to assess the quality of the Service, Partner and/or Delivery Service Provider to the phone number specified by the User;

c. push notifications (at the same time, Yango Comida shall not be liable for not receiving push notifications by the User if the User turns off the function of receiving such notifications on the mobile device, the risk of not receiving the relevant information in this case shall be borne by the User). If the User disables the function of sending push notifications, the User agrees to sending of information about the progress of the Order Delivery to their email address in order to inform them about the possibility/impossibility of performing the Order Delivery.

8.3. All interaction between the User and the Service shall be carried out through the Yango Deli support service, namely, in the support service chat available in the Service interface. The functionality of the Service may also provide other ways for the User to send requests to Yango Deli.

8.4. In order to control quality and resolve disputes, Yango Comida may record all User's conversations and correspondence with Yango Deli support service specialists, Partners and Delivery Service Providers.

8.5. If personal insults, threats, obscene statements and actions from the User are received by the Service Support servcie specialists, the Service Support service Specialist may terminate the conversation with the User, both orally and in writing.

9. Payment

9.1. Payment of an Order shall be carried out by the User:

by in a cashless form;

in this case, Yango Comida shall act on behalf of the Partner and the Delivery Service Provider and with the engagement of an organization for accepting payments. Yango Comida does not guarantee that the operation of the Service will be error- and failure-free in view of enabling cashless payments.

in cash (to a third party engaged by the Delivery Service Provider);

in this case, the Delivery Service Provider (a third party engaged by the Delivery Service Provider) shall act as an agent for receiving funds in favor of the Partner and Yango Comida in terms of receiving funds.

9.2. The acceptance of payments by Yango Comida for Orders on the Service shall be carried out solely due to the fact that the conclusion of a contract for the purchase of Goods and the provision of Delivery services is performed through the Yango Deli Service.

9.3. Yango Comida does not participate in accepting cash payments in case of Delivery by the Partner independently and the User's selection of a payment method using cash (if such option is available on the Service).

9.4. The participation of Yango Comida in the process of payments for goods and services may in no case be construed as Yango Comida being a party to the contract of sale and purchase and provision of services between a User and a Partner/Delivery Service Provider.

9.5. The responsibility for the proper content and provision of receipts/invoices to Users (if required in accordance with the Applicable Law) shall be primarily borne by Delivery Service Providers and Partners, unless otherwise provided for by the Applicable Law.

Cashless Payment Procedure

9.6. To make cashless payment, a User shall link a bank card in the Service interface. To do this, a User shall specify:

a. The name of the bank card holder (the "cardholder" field);

b. Bank card number

c. Validity term;

d. Security code.

9.7. If the bank card details are true, valid and it is technically possible to use this card within the Service, the said bank card becomes the linked one and can be used for cashless payments. All linked cards are displayed in the Service interface.

9.8. Cashless payment shall be carried out with the involvement of a payment processor or an electronic money operator. The operator/processor is an authorized person having the right to accept and process payments in accordance with the Applicable Law. The payment procedure in this case shall be governed by the rules of international payment systems, banks (including the issuing bank of the Linked Card) and other settlement participants.

9.9. When linking and using the Linked Card, the User confirms and guarantees that they have indicated reliable and full information on the valid bank card issued in their name; they comply with rules of international payment systems and requirements of the bank having issued the Linked Card, inter alia, in relation to the procedure for cashless payments.

9.10. The User understands and agrees that all actions performed within the framework of the Service after authorization using the login and password assigned to them during registration on the Service, including cashless payments using a Linked Bank Card, shall be considered committed by the User.

Consideration of Requests for Payments on the Service

9.11. If a User does not agree with the fact, the amount of the cashless payment or the facts of using the linked card on the Service, the User may contact Yango Comida within 14 days from the date of the cashless payment or other actions or events that have caused the request.

9.12. Yango Comida may, on behalf of the Partner and the Delivery Service Provider, decide to refund the amount of the cashless payment in full. The specified refund shall be made to the bank account of the bank card from which the cashless payment has been made. The procedure for the refund shall be carried out with the involvement of the payment processor or the operator of electronic funds. The refund procedure in this case shall be governed by the rules of international payment systems, banks (including the issuing bank of the Linked Card) and other settlement participants.

9.13. Yango Comida reserves the right at any time to require the User to confirm the data specified by them within the framework of the Service, including the data of the Linked Card, and to request supporting documents in this regard (in particular, identity documents). Failure to provide the requested information shall be the basis for Yango Comida to suspend the User's use of the Service or block the User's account.

9.14. For questions related to payment in cash provided for in the User Agreement, the User may contact the Partner and the Delivery Service Provider.

10. Liability of the Service

10.1. Yango Deli, as the entity providing the information service, shall not bear any liability for the information about Goods and services that Partners/Delivery Service Providers post on the Service. Partners and Delivery Service Providers, as persons selling Goods and providing services, shall be responsible for communicating to the User all information about Goods and services provided for by the Applicable Law.

10.2. Besides, Yango Comida shall not be responsible for:

• temporary failures and interruptions in the operation of the Service or part of the functions of the Service caused by failures and interruptions, loss of information, safety of information, correctness and timeliness of its transmission;

• reliability, quality and speed of the Service, as well as for the safety of the information created, used and received by a User.

11. Use of Promo Codes on the Service

Terms and Conditions of Use of a Promo Code and Application of a Discount

11.1. When using the Service, Promo Codes may be provided to Users that allow the User to receive discounts on Goods, Delivery or the Service Fee.

11.2. A Promo Code may be applied only in the case of using the cashless payment method on the Service and only when paying with bank cards on a physical medium.

11.3. The list of current Promo Codes available to a User shall be indicated in the corresponding section of the Service. If a Promo Code is not reflected in the special section, then it is considered invalid and may not be applied.

11.4. The cost of the Order after applying a Promo Code shall be reflected on the Service and shall be subject to payment by the User in accordance with the terms and conditions of the User Agreement.

11.5. A discount when applying a Promo Code shall be applied only if the Promo Code is activated.

11.6. Discounts when using a Promo Code shall be applied in the following manner (order):

a. to the cost of Goods;

b. in the part exceeding the cost of the Goods, to the cost of Delivery;

c. in the part exceeding the cost of Delivery, to the amount of the Service Fee;

11.7. The use of a Promo Code may not be available for technical reasons (not using the current version of the mobile application, changing the payment method when placing an Order, etc.).

11.8. Yango Comida shall not be responsible for non-fulfillment or improper fulfillment of obligations, as well as for any direct, indirect, special losses and damages of Users associated with the use or provision of Promo Codes. Yango Comida shall not be obligated to compensate Users for losses in such cases, since the provision of a Promo Code is the right, but not the responsibility of Yango Comida.

Restrictions when Using a Promo Code

11.9. The terms and conditions for granting discounts when applying a Promo Code may be limited. Information about the terms and conditions of use of the Promo Code shall be communicated to a User on the Service, at a separate page on the Internet, in advertisements or otherwise. Such terms and conditions may include:

• restrictions on card issuers (a Promo Code may be used when paying with cards of certain issuers participating in the marketing campaign);

• requirements for the ordinal number of an Order on the Service, for example, only the first order;

• requirements for the composition of an Order;

• restriction on the list of Partners (a Promo Code may be applied when making an Order from certain Partners participating in the marketing campaign);

The fulfillment of the terms and conditions for the use of a Promo Code shall be determined solely on the basis of the Service data.

11.10. Unconscientious use and application of Promo Codes is prohibited. In order to counteract the undue use of Promo Codes or abuse when using Promo Codes, Yango Comida may verify the good-faith use by any available means. In case of revealing undue use of Promo Codes, Yango Comida shall have the right to refuse to provide discounts in case of detection of relevant abuses or undue use of a Promo Code.

11.11. The User should contact the support service of the Yango Comida Service to receive the relevant information about the reasons for non-application of a Promo Code.

11.12. When considering requests for the use of Promo Codes, the support service may request the User to confirm the receipt of Promo Codes (photos, screenshots, other confirmations) and its application. In case of a failure to provide such confirmation, Yango Comida reserves the right to refuse to provide a discount on a Promo Code.

11.13. Yango Comida may refuse to provide a discount on a Promo Code if a User has provided false information or in any other way violated this User Agreement.

Validity Period and Promo Code Use Times

11.14. A Promo Code has an expiration date. The validity period of a Promo Code shall be communicated to a User on the Service, at a separate page on the Internet, in advertisements or otherwise.

11.15. Upon expiration of the Promo Code, it becomes invalid.

11.16. A Promo Code may be used by one User only once, unless otherwise specified in the Promo Code, on the Service, advertising material, a page on the Internet, or in another source.

11.17. The User should contact the support service of the Yango Comida Service to receive the relevant information about the validity term and number of times of using a Promo Code.

Promo Code Validity Territory

11.18. If the territory of validity is not specified in the Promo Code, on the Service, at a separate page on the Internet, in advertisements or another source, the territory shall be considered to be limited to the city where the User received the Promo Code.

How to Activate a Promo Code

A Promo Code may only be used if activated. To activate a Promo Code, a User shall enter the Promo Code in the special "Promocode" field before placing an Order in the Yango Comida interface and click "Apply".

Contrato de Usuario del Servicio Yango Comida

1. Términos y definiciones

Yango Comida — Tech.EBiz Bol S.R.L.

Servicio — significa programas de aplicación (incluidos los programas para dispositivos móviles) y / o sitios web de Yango Comida o sus afiliados que brindan al Usuario del Servicio la oportunidad de realizar el Pedido de Productos y la Entrega en las condiciones establecidas en el Contrato de Usuario;

Usuario es una persona física que utiliza el Servicio en las condiciones previstas en el Contrato de Usuario para realizar el Pedido de Productos y la Entrega;

Usuario autorizado es un Usuario que inicia la sesión en el Servicio utilizando el nombre de usuario y la contraseña que se le asignan al registrarse en el Servicio.

Socio es una persona que coloca sus ofertas y materiales en el Servicio y vende Productos al Usuario cuando éste realiza un Pedido, así como se lo Entrega (si el Socio realiza la Entrega de forma independiente).

Pedido es un pedido de Productos y la Entrega realizado por el Usuario en el Servicio. Como resultado del Pedido, el Usuario celebra un contrato de compraventa de Productos con el Socio y un contrato de Entrega con el Repartidor (si el Socio realiza la Entrega de forma independiente, entonces el contrato de Entrega con el Socio);

Contrato es un contrato de compra-venta de Productos con el Socio o contrato de Entrega de Productos con el Repartidor (o, en el caso de la Entrega realizada por el Socio, con el Socio), celebrado entre el Usuario y el Socio y el Repartidor como resultado de la formalización del Pedido.

Productos son los productos objeto del contrato de compraventa celebrado entre el Usuario y el Socio a través de la formalización por parte del Usuario de un Pedido en el Servicio. El Contrato de compraventa de Productos y los derechos y obligaciones que se derivan del mismo al realizar un Pedido surgen directamente entre el Socio y el Usuario. Yango Comida no es parte de este contrato;

Entrega es un servicio de la Entrega de Productos al Usuario, cuyo Pedido el Usuario realizó en el Servicio. El Repartidor (o, en el caso de la Entrega por el propio Socio, el Socio) concluye el contrato de Entrega con el Usuario. Yango Comida no es parte de este contrato;

Repartidor es una persona que realiza la Entrega de Productos cuyo Pedido se realiza por el Usuario (excepto el caso de la Entrega de Productos por parte del Socio).

Contrato de Usuario es un documento que regula el procedimiento para realizar un Pedido por parte del Usuario puesto en Internet en la dirección: https://yango.com/legal/deli_termsofuse.

Territorio — Bolivia

Código promocionales una secuencia determinada de símbolos, cuya activación y el cumplimiento de otras condiciones de uso del Código promocional permiten al Usuario recibir un Descuento en el precio de Productos y/o la Entrega y/o el Cargo por servicio.

Aplicación Yango Comida es un programa para dispositivos móviles proporcionado a los Usuarios bajo las condiciones del Acuerdo de Licencia para usar el programa Yango Comida disponible en la dirección: https://yango.com/legal/yango_mobile_agreement.

Legislación aplicable significa todas las leyes, regulaciones, reglas y códigos vigentes actualmente (incluidas, entre otras, todas las leyes aplicables de privacidad y protección de datos) dentro del Territorio;

Se puede utilizar otros términos en el Contrato de usuario. Si existe la posibilidad de múltiples significados de un término, la interpretación utilizada en el Servicio tiene la máxima prioridad, en segundo lugar se utiliza el significado del término de uso común en Internet y, en tercer lugar, la interpretación dada en la Legislación aplicable.

1. Disposiciones generales

1.1. El uso del Servicio por parte del Usuario se rige por este Contrato de Usuario, la Política de privacidad publicada en el enlace: https://yango.com/legal/yango_privacy_notice y otros documentos de Yango Comida publicados en el Servicio Yango Comida.

1.2. Al comenzar a utilizar las funciones del Servicio, se considera que el Usuario ha aceptado el Contrato de Usuario, así como las condiciones de otros documentos del Servicio, en su totalidad, sin reservas y excepciones. En caso de desacuerdo del Usuario con cualquiera de las disposiciones del Contrato de Usuario u otros documentos aplicables, el Usuario no tiene derecho a utilizar el Servicio.

1.3. Yango Comida tiene derecho en cualquier momento, sin previo aviso al Usuario, a modificar las disposiciones del Contrato de Usuario y otros documentos del Servicio. La versión actual del Contrato de Usuario está publicada en: https://yango.com/legal/deli_termsofuse.

El riesgo de no conocer la nueva versión del Contrato de Usuario y otros documentos del Servicio corre a cargo del Usuario. El uso continuado del Servicio después de cambiar el Contrato de Usuario u otros documentos del Servicio se considera aceptación de su nueva versión.

Si el Usuario no está de acuerdo con los cambios en el Contrato de Usuario, está obligado a dejar de usar el Servicio.

1.4. Al comenzar a utilizar el Servicio, el Usuario confirma que es legalmente capaz y ha alcanzado la edad requerida de acuerdo con la Legislación aplicable para concluir y ejecutar todas las transacciones previstas en el Contrato de Usuario, y el cumplimiento de todas las obligaciones especificadas en este Contrato de Usuario.

2. Características del Servicio y condiciones de uso

2.1. A través del Servicio Yango Comida, el Usuario puede pedir Productos y su Entrega al Socio y al Repartidor. Las condiciones para el Pedido de Productos y la Entrega realizado en el Servicio las determinan el Socio y el Repartidor, respectivamente.

2.2. Yango Comida no es responsable del contenido y la actualidad de la información proporcionada por el Socio y el Repartidor sobre los Productos y la Entrega, incluida la información sobre el precio de los Productos y la Entrega, los plazos de preparación de los Productos y la Entrega, así como la disponibilidad actual de los Productos.

2.3. Por el uso de determinada función del Servicio, en particular, por los servicios de uso de la funcionalidad de formalización de un Pedido con el Socio y el Repartidor, se le puede cobrar al Usuario el Cargo por servicio (en adelante, el "Cargo por servicio"). El importe del Cargo por servicio se establece por Yango Comida y se muestra en la interfaz del Servicio en el momento en que el Usuario realiza el Pedido.

Yango Comida puede ofrecer descuentos a los Usuarios en el Cargo por servicio a su entera discreción.

2.4. Todas las funciones del Servicio actualmente existentes, así como cualquier desarrollo de las mismas y/o adición de nuevas funciones, están sujetas al Contrato de Usuario.

3. Condiciones de uso de las funciones del Servicio

3.1. El uso de las funciones del Servicio está disponible para el Usuario después del registro y la autorización en el Servicio. Al registrarse, el Usuario se compromete a proporcionar los datos solicitados en el Servicio en el formulario de registro. El Usuario se compromete a no transferir a terceros el nombre de usuario y la contraseña asignados a él durante el registro, así como a garantizar la seguridad y confidencialidad del nombre de usuario y la contraseña. Todas las acciones realizadas utilizando el nombre de usuario y la contraseña del Usuario en el Servicio se consideran realizadas por el propio Usuario.

3.2. Algunas funciones del Servicio pueden no estar disponibles o ser limitadas. Las funciones se consideran no disponibles (limitadas) para el Usuario si éste no puede usarlas explícitamente. Está prohibido el uso de cualquier método técnico y de software para eludir estas limitaciones. Las disposiciones del Contrato de Usuario que rigen las funciones del Servicio inaccesibles (limitadas) para el Usuario no se aplicarán hasta que dichas funciones estén disponibles explícitamente para el Usuario.

3.3. El Usuario no tiene derecho a utilizar más de una cuenta al usar el Servicio.

3.4. Al utilizar el Servicio, el Usuario acepta recibir mensajes publicitarios. El Usuario tiene derecho a negarse a recibir mensajes publicitarios en la interfaz del Servicio o de la manera especificada en el mensaje publicitario recibido.

3.5. Yango Comida se reserva el derecho, a su entera discreción, de limitar el acceso del Usuario al Servicio o a ciertas funciones del Servicio usando su cuenta o bloquear completamente la cuenta del Usuario. Es posible restringir el acceso o bloquear la cuenta en caso de:

a. violación de las condiciones del Contrato de Usuario u otros documentos aplicables en el Servicio;

b. violación de las condiciones de los Contratos con Restaurantes, Repartidores y el Servicio;

c. abuso, engaño, acciones fraudulentas, comportamiento inmoral o inadecuado del Usuario al utilizar el Servicio, contactos con representantes del Repartidor o el Socio;

d. en otros casos cuando el comportamiento del Usuario no corresponda al uso legítimo del Servicio y sus funciones;

e. incumplimiento de la obligación de pagar los Productos y la Entrega, así como el Cargo por servicio.

f. Usar más de una cuenta al utilizar el Servicio.

4. Relaciones jurídicas al utilizar el Servicio

4.1. Al realizar un Pedido en el Servicio, el Usuario:

a. Concluye el Contrato de compraventa de Productos con el Socio;

b. Concluye el Contrato de prestación de servicios para la Entrega de Productos con el Repartidor;

c. Utiliza la funcionalidad del Servicio para realizar un Pedido con el Socio y el Repartidor;

El Socio y el Repartidor asumen todos los derechos y obligaciones en virtud del Contrato (s) celebrado con el Usuario.

De manera opcional:

d. Ordena a Yango Comida (con la participación de terceros) realizar el pago de los Productos en el lugar donde el Socio vende los Productos en nombre y por cuenta del Usuario. Esta orden no es una orden para realizar una transacción de compraventa, sino una orden para realizar acciones de pago del Pedido. La ejecución de esta orden se realiza en nombre del Usuario y a su cargo.

4.2. Yango Comida no es parte en las relaciones jurídicas especificadas en los párrafos “a” y “b”. Yango Comida proporciona al Usuario los servicios dentro del alcance de los puntos "c" y "d" (si están disponibles en el Servicio) y es responsable únicamente dentro de los límites del Cargo por servicio (si se cobra).

4.3. Las condiciones esenciales de los contratos celebrados por el Usuario se indican en la descripción de los Productos publicada en el Servicio, las condiciones de la oferta del Socio para la venta de los productos (página de los Productos en el Servicio) y en la descripción de las condiciones de la Entrega.

A menos que se indique específicamente lo contrario en el Servicio, todos los precios indicados en el Servicio incluyen impuestos y cargos de acuerdo con la Legislación aplicable.

Sin embargo, los errores obvios, incluidos los errores tipográficos cometidos por el Socio y el Repartidor en la descripción de los Productos, no son legalmente vinculantes.

4.4. El momento de celebración del Contrato entre el Usuario y el Socio y el Repartidor se define de la siguiente manera:

a. El Contrato con el Socio se celebra en el momento en que el Usuario hace clic en el botón "Pedir" (o un botón similar) en el formulario de Pedido;

b. El Contrato con el Repartidor se celebra en el momento de elegir al Repartidor que realiza la Entrega de los Productos;

Al hacer clic en el botón "Pedir" (o un botón similar), el Usuario expresa su consentimiento total e incondicional (aceptación) para celebrar un Contrato con el Repartidor, el Socio y Yango Comida.

Después de hacer clic en el botón "Pedir" (o un botón similar), el Usuario tiene un tiempo limitado para realizar el pago, después de lo cual se emitirá un mensaje "ERROR El tiempo de pago (sesión) ha expirado. Haga un nuevo pedido". Si por cualquier motivo el pago no se realiza dentro del período de tiempo especificado, el Contrato con el Socio y el Repartidor no se considera concluido

4.5. Si el Pedido incluye los Productos cuya compra requiere la edad establecida por la Legislación aplicable, el Usuario confirma y garantiza al Socio y a Yango que ha alcanzado la edad establecida.

El Socio y el Repartidor tienen derecho a exigir del Usuario una confirmación adicional del cumplimiento de la edad establecida por la Legislación aplicable. El Socio tiene derecho a negarse a vender los Productos si el Usuario no puede confirmar su edad.

4.6. El Usuario acepta que el Socio y el Repartidor pueden encargar la ejecución del Contrato a un tercero, sin dejar de ser responsables de su ejecución.

4.7. Yango Comida no es responsable de ninguna reclamación o demanda con respecto a los Productos y la Entrega y no revisa dichos reclamos de forma independiente. Yango Comida tiene derecho a transmitir al Usuario la información sobre el Socio y el Repartidor responsables de las reclamaciones recibidas, así como proporcionar la información recibida del Socio y el Repartidor con respecto a las reclamaciones.

4.8. En algunos casos, cuya información se comunica al Usuario al realizar un Pedido en el Servicio, el costo de la Entrega no se carga adicionalmente al Usuario.

5. Procedimiento y condiciones para realizar un Pedido en el Servicio

5.1. La realización del Pedido está disponible solo para Usuario autorizado.

5.2. Para hacer un Pedido, el Usuario debe realizar las siguientes acciones:

a. leer la información sobre los Productos, la Entrega y los servicios del Servicio;

b. indicar todos los datos necesarios para la ejecución del Contrato por parte del Socio y el Repartidor, incluidos, entre otros:

• Dirección completa de la Entrega (nombre de la localidad, calle, número de casa (incluyendo edificio, bloque, propiedad, etc.), número de entrada, número de apartamento, piso y otra información sobre la dirección);

• Nombre del destinatario;

• Datos de contacto (número de teléfono, otros);

• Forma de pago.

c. Confirmar el pedido haciendo clic en el botón "Pedir" (otro botón similar).

5.3. Hacer un Pedido en el Servicio significa:

a. consentimiento y aceptación por el Usuario de todas las condiciones esenciales de la venta de los Productos, la realización de la Entrega por el Socio y el Repartidor;

b. consentimiento para la prestación del Servicio;

c. conocimiento, consentimiento y aceptación por parte del Usuario de los términos de este Contrato de Usuario sobre el uso del Servicio y de todos los demás documentos del Servicio;

d. conocimiento y aceptación del cobro y el importe del Cargo por servicio (si se cobra);

e. comprensión y aceptación de todas las consecuencias jurídicas de sus acciones con respecto a los contratos celebrados

5.4. Hacer clic en el botón "Pedir" (o un botón similar) es un consentimiento (aceptación) total e incondicional para celebrar el Contrato con el Repartidor, determinado de acuerdo con el apartado 3.14 del Contrato de Usuario entre los Repartidores previstos en el apartado 6.8 del Contrato de Usuario.

5.5. El Usuario, al autorizar y realizar un Pedido, está obligado a proporcionar datos confiables sobre sí mismo y el destinatario del Pedido al realizar un Pedido en el Servicio. El Usuario es responsable de todas las consecuencias causadas por falta de fiabilidad de la información proporcionada por él.

5.6. Para el Usuario autorizado después de realizar el Pedido, la información sobre el Pedido realizado por él está disponible en la sección "Mis Pedidos" del Servicio. En esta sección del Servicio, el Usuario autorizado puede ver la información sobre el estado del Pedido.

6. Condiciones de realización de la Entrega

6.1. El Repartidor específico se define después de que el Usuario realiza un Pedido y el Socio comienza a preparar los Productos.

6.2. El Usuario está obligado a estar presente en la dirección de la Entrega para recibir el Pedido, así como para garantizar la aceptación y el pago de los Productos en el momento de la Entrega.

6.3. Se considera que el Usuario se ha negado a cumplir el Contrato con el Socio y el Repartidor:

a. si el Usuario está ausente en la dirección de la Entrega más de 10 minutos desde la llegada del Repartidor en la dirección de la Entrega (de acuerdo con los datos del Servicio);

b. si es imposible entregar los Productos al Usuario por motivos que dependen del Usuario;

c. si el Usuario se niega a aceptar los Productos (a excepción de los Productos de calidad inadecuada o incumplimiento de las condiciones del Pedido realizado por el Usuario)

En estos casos, el dinero pagado por el Usuario por los Productos y la Entrega se envía para compensar los gastos del Socio y del Repartidor y no son reembolsables al Usuario.

6.4. Yango Comida tiene derecho a cancelar el Pedido con reembolso de los fondos del Pedido al Usuario:

a. en los casos de imposibilidad de ejecución del Pedido por parte del Repartidor debido a la ausencia de Repartidores disponibles (mensajeros Repartidores) capaces de realizar la Entrega del Pedido;

b. por otras razones que impiden el cumplimiento oportuno y adecuado de las obligaciones del Repartidor

6.5. Para identificar a los Socios o Pedidos cuya Entrega se realiza por el Repartidor, dichos Socios o Pedidos pueden estar marcados en el Servicio con un icono con la imagen del "Mensajero", así como acompañados de información sobre el Repartidor.

7. Condiciones de venta de Productos por el Socio

7.1. El Socio puede cancelar el Pedido en los siguientes casos:

a. si durante la Entrega realizada por el Socio no fue posible contactar al Usuario utilizando la información de contacto;

b. si el Socio no puede cumplir el Contrato.

7.2. Si el Socio no puede cumplir el Contrato en su totalidad, tiene derecho a cancelar el pedido o ponerse en contacto con el Usuario al número de teléfono especificado por el Usuario para cambiar la composición del Pedido.

Si el Usuario confirma un cambio en el Pedido, el Pedido se considerará realizado bajo las nuevas condiciones acordadas con el Usuario.

La información sobre el cambio del Pedido se refleja en el Servicio en la sección con el historial de pedidos del Usuario.

7.3. Si los Productos entregados al Usuario, en opinión del Usuario, son Productos de calidad inadecuada o no se corresponde con el Pedido, el Usuario está obligado a enviar inmediatamente una solicitud a través del chat del servicio de soporte de Yango Comida, adjuntando una foto de los Productos entregados, así como enviar una descripción de las deficiencias de los Productos.

Yango Comida acepta reclamos de los Usuarios para transmitirlos al Socio y Repartidor.

7.4. En caso de la Entrega de los Productos, se considera que el Socio ha cumplido su obligación de transferir los Productos al Usuario en virtud del Contrato en el momento de la entrega de los Productos (de calidad adecuada y correspondiente al Pedido realizado por el Usuario) al representante del Repartidor.

7.5. El tiempo de preparación de los Productos y la Entrega (si corresponde) indicado en el Servicio es aproximado.

7.6. Yango tiene derecho a cancelar el Pedido y reembolsar el dinero del Pedido al Usuario en los casos en que el Socio no pueda cumplir con el Pedido debido a:

a. falta de confirmación por parte del Socio de Yango Comida de disponibilidad de aceptar el Pedido

b. otras razones que impiden el cumplimiento oportuno y adecuado del Pedido conforme a las obligaciones por parte del Socio.

8. Datos personales y procedimiento de interacción de los Usuarios con el Servicio

8.1. El Usuario otorga a Yango Comida, a los afiliados de Yango Comida y a los socios de Yango Comida su consentimiento para:

a. procesar la información personal (incluidos datos personales) del Usuario;

b. transferir (incluida la transferencia transfronteriza) la información personal del Usuario a los socios de Yango Comida, Socios y Repartidores, afiliados de Yango Comida;

c. procesar los datos personales por parte de los socios de Yango Comida, Socios y Repartidores, afiliados de Yango Comida.

El procesamiento de datos personales al utilizar el Servicio Yango Comida se realiza de acuerdo con la Política de privacidad:

El Usuario confirma que acepta que la información personal proporcionada a Yango Comida, incluso al realizar un Pedido, puede transferirse, incluso transfronteriza, a los socios de Yango Comida con los que el Usuario concluye el Contrato como resultado de formalización del Pedido, con el fin de cumplir dicho Contrato (incluida dicha transferencia puede llevarse a cabo a través de terceros contratados por Yango Comida). El Usuario acepta que Yango Comida tiene derecho a almacenar la información personal del Usuario, así como la información personal del destinatario del Pedido especificado por el Usuario durante al menos tres años a partir de la fecha de realización del Pedido.

8.2. Al realizar un pedido en el Servicio, el Usuario acepta recibir:

a. correos electrónicos y notificaciones de Yango Comida y personas relacionadas que puedan ser enviados al Usuario

• después de realizar el Pedido

• en caso de cambio del Pedido

• antes de la Entrega de los Productos en el caso que afecte la ejecución del Pedido o la notificación oportuna de su estado;

b. mensajes (SMS) al número de teléfono especificado por el Usuario, así como una llamada con la oferta para evaluar la calidad del Servicio, Socio y / o Repartidor al número de teléfono especificado por el Usuario;

c. notificaciones push (al mismo tiempo, Yango Comida no es responsable de que el Usuario no reciba notificaciones push si el Usuario desactiva la función de recibir dichas notificaciones en un dispositivo móvil; el riesgo de no recibir la información relevante en este caso corre a cargo de el Usuario). Si el Usuario desactiva la función del envío de notificaciones push, el Usuario acepta enviarle información sobre el progreso de la Entrega del Pedido a su dirección de correo electrónico para informarle sobre la posibilidad/imposibilidad de la Entrega del Pedido.

8.3. Toda la interacción entre el Usuario y el Servicio se realiza a través del servicio de soporte de Yango Comida, es decir, en el chat de soporte disponible en la interfaz del Servicio. La funcionalidad del Servicio también puede proporcionar otras formas para que el Usuario envíe solicitudes a Yango Comida.

8.4. Para fines de control de calidad y resolución de disputas, Yango Comida puede grabar todas las conversaciones y correspondencia del Usuario con los especialistas del servicio de soporte de Yango Comida, Socios y Repartidores.

8.5. Si los especialistas de soporte del Servicio reciben insultos personales, amenazas, declaraciones y acciones obscenas por parte del Usuario, el especialista de soporte del Servicio tiene derecho a dejar de hablar con el Usuario, tanto verbalmente como por escrito.

9. Pago

9.1. El pago del Pedido realiza el Usuario:

sin efectivo-

en este caso, Yango Comida actúa en nombre del Socio y del Repartidor y con la participación de una organización de recepción de pagos. Yango Comida no garantiza la ausencia de errores o interrupciones en el funcionamiento del Servicio con respecto a la provisión de la opción de pago sin efectivo.

con dinero en efectivo (a un tercero contratado por el Repartidor) -

en este caso, el Repartidor (un tercero contratado por el Repartidor) en términos de aceptación de fondos actúa como agente de recepción de efectivo a favor del Socio y Yango Comida.

9.2. La aceptación de pagos de Yango Comida por los Pedidos en el Servicio se realiza exclusivamente en relación con el hecho de que la conclusión del contrato para la compra de Productos y la prestación de servicios de la Entrega se realiza a través del Servicio Yango Comida.

9.3. Yango Comida no participa en la aceptación de pagos en efectivo si el Socio realiza la Entrega de forma independiente y el Usuario elige la forma de pago en efectivo (si dicha opción está disponible en el Servicio).

9.4. La participación de Yango Comida en el proceso de pago de productos y servicios de ninguna manera indica la participación de Yango Comida en el contrato de compraventa y prestación de servicios entre el Usuario y el Socio/Repartidor.

9.5. La responsabilidad por el contenido adecuado y la entrega de los recibos/facturas a los Usuarios (si se requieren de acuerdo con la Legislación aplicable) recae principalmente en los Repartidores y Socios, a menos que se indique lo contrario en la Legislación aplicable.

Procedimiento de pago sin efectivo

9.6. Para realizar pagos sin efectivo el Usuario debe vincular una tarjeta bancaria en la interfaz del Servicio. Para ello es necesario especificar:

a. Nombre del titular de la tarjeta bancaria (en sentido "cardholder");

b. Número de tarjeta bancaria;

c. Validez;

d. Código de seguridad.

9.7. Si los datos de la tarjeta bancaria son correctos, válidos y el uso de esta tarjeta dentro del Servicio es técnicamente posible, la tarjeta bancaria especificada adquiere el estado de vinculada y puede usarse para pagos sin efectivo. Todas las tarjetas vinculadas se muestran en la interfaz del Servicio.

9.8. El pago sin efectivo se realiza con la participación de un operador de recepción de pagos o un operador de dinero electrónico. El operador es una persona autorizada que tiene derecho a recibir y procesar pagos de acuerdo con la Legislación aplicable. El procedimiento de pago en este caso se rige por las reglas de los sistemas de pago internacionales, los bancos (incluido el banco emisor de la tarjeta vinculada) y otros participantes en los pagos.

9.9. Al vincular y utilizar la tarjeta vinculada, el Usuario confirma y garantiza que ha proporcionado información precisa y completa sobre una tarjeta bancaria válida emitida a su nombre; su cumplimiento de las reglas de los sistemas de pago internacionales y los requisitos del banco emisor que emitió la tarjeta vinculada, incluso con respecto al procedimiento para realizar pagos sin efectivo.

9.10. El Usuario entiende y acepta que todas las acciones realizadas en el marco del Servicio después de la autorización con la ayuda del nombre de usuario y la contraseña asignados a él durante el registro en el Servicio, incluido el pago sin efectivo utilizando una tarjeta bancaria vinculada, se consideran realizadas por el Usuario.

Tramitación de solicitudes de pago en el Servicio

9.11. Si el Usuario no está de acuerdo con el hecho, el importe de pago sin efectivo o los hechos de uso de la tarjeta vinculada en el Servicio, el Usuario tiene derecho a dirigirse a Yango Comida dentro de los 14 días posteriores a la fecha del pago sin efectivo u otras acciones o eventos que dieron lugar a la solicitud.

9.12. Yango Comida, a petición del Socio y el Repartidor, puede decidir devolver el importe del pago sin efectivo en su totalidad. Dicho reembolso se realiza en la cuenta bancaria de la tarjeta bancaria desde la que se realizó el pago sin efectivo. El procedimiento de devolución de dinero se lleva a cabo con la participación del operador de recepción de pagos o el operador de dinero electrónico. El procedimiento de devolución en este caso está regulado por las normas de los sistemas de pago internacionales, los bancos (incluido el banco emisor de la tarjeta vinculada) y otros participantes en el pago.

9.13. Yango Comida se reserva el derecho de solicitar en cualquier momento al Usuario la confirmación de los datos proporcionados por él en el Servicio, incluidos los datos de la tarjeta vinculada, y de solicitar documentos justificativos (en particular, documentos de identidad). El no proporcionar la información solicitada es motivo para que Yango Comida suspenda el uso del Servicio por parte del Usuario o bloquee la cuenta del Usuario.

9.14. Con respecto a las preguntas relacionadas con el pago en efectivo previsto en el Contrato de Usuario, el Usuario tiene derecho a dirigirse al Socio y al Repartidor.

10. Responsabilidad del Servicio

10.1. Yango Comida, como proveedor del Servicio de información, no asume ninguna responsabilidad por la información sobre los Productos y servicios que los Socios/Repartidores publiquen en el Servicio. Los Socios y Repartidores, como personas que venden Productos y prestan servicios, son responsables de proporcionar al Usuario toda la información sobre los Productos y servicios previstos por la Legislación aplicable.

10.2. Yango Comida tampoco es responsable de:

• fallas y interrupciones temporales en el funcionamiento del Servicio o parte de las funciones del Servicio causadas por fallas e interrupciones de pérdida de información, seguridad de la información, exactitud y puntualidad de su transmisión;

• confiabilidad, calidad y rapidez del Servicio, así como por la seguridad de la información creada, utilizada y recibida por el Usuario.

11. Aplicación de códigos promocionales en el Servicio

Condiciones de uso del Código promocional y aplicación del descuento

11.1. Al utilizar el Servicio, los Usuarios pueden recibir Códigos promocionales que les permiten recibir descuentos en Productos, Entrega o Cobro por servicio.

11.2. El Código promocional se puede aplicar únicamente en el caso de usar un método de pago sin efectivo en el Servicio y solo cuando se paga con tarjetas bancarias en un soporte físico.

11.3. La lista de los Códigos promocionales vigentes disponibles para el Usuario se indica en el apartado correspondiente del Servicio. Si el Código promocional no se refleja en un apartado especial, se considerará caducado y no será aplicable.

11.4. El precio del Pedido después de la aplicación del Código promocional se refleja en el Servicio y es pagadero por el Usuario de acuerdo con los términos del Contrato de Usuario.

11.5. El descuento al usar el Código promocional se aplica únicamente si el Código promocional está activado.

11.6. Los descuentos al utilizar el Código promocional se aplicarán en el siguiente orden (uno a uno):

a. al precio de los Productos;

b. a la parte que excede el precio de los Productos, al precio de la Entrega;

c. a la parte que excede el pecio de la Entrega, al importe del Cargo por servicio;

11.7. Es posible que el uso del Código promocional no esté disponible por motivos técnicos (una versión no actual de la aplicación móvil, cambio de la forma de pago al realizar un Pedido, etc.).

11.8. Yango Comida no es responsable por el incumplimiento o cumplimiento indebido de las obligaciones, así como por cualquier pérdida y daño directo, indirecto, especial de los Usuarios asociados con el uso o provisión de Códigos promocionales. Yango Comida no está obligado a compensar las pérdidas a los Usuarios en tales casos, ya que proporcionar el Código promocional es un derecho, pero no es una obligación de Yango Comida.

Restricciones al usar el Código promocional

11.9. Las condiciones para asignar descuentos al utilizar un Código promocional pueden ser limitadas. La información sobre las condiciones de uso del Código promocional se comunica al Usuario en el Servicio, en una página separada en Internet, en material publicitario o de otra manera. A título de tales condiciones son posibles:

• restricciones a los emisores de tarjetas (el Código promocional se aplica al pagar con tarjetas de ciertos emisores que participan en una promoción de marketing);

• requisitos para el número ordinal del Pedido en el Servicio, por ejemplo, solo el primer pedido;

• requisitos para el contenido del Pedido;

• restricción de la lista de Socios (el Código promocional se aplica al realizar un Pedido a ciertos Socios que participan en una promoción de marketing);

El cumplimiento de las condiciones de uso del Código promocional se determina únicamente sobre la base de los datos del Servicio.

11.10. No se permite el uso y aplicación desleales de Códigos promocionales. Con el fin de contrarrestar el uso abusivo de los Códigos promocionales o el abuso de los Códigos promocionales, Yango Comida tiene derecho a verificar la debida diligencia del uso por cualquier medio disponible. En caso de detección de uso indebido de Códigos promocionales, Yango Comida tiene derecho a negarse a asignar un descuento si se detecta el correspondiente abuso o uso indebido del Código promocional.

11.11. Para obtener información actualizada sobre los motivos de no aplicación del Código promocional, el Usuario debe ponerse en contacto con el servicio de soporte de Yango Comida.

11.12. Al examinar solicitudes de uso de Códigos promocionales, el servicio de soporte tiene derecho a solicitar al Usuario la confirmación de la recepción de los Códigos promocionales (fotos, capturas de pantalla, otra confirmación) y su aplicación. Si no se proporciona dicha confirmación, Yango Comida se reserva el derecho a negarse a ofrecer un descuento del Código promocional.

11.13. Yango Comida tiene derecho a negarse a ofrecer un descuento en virtud del Código promocional si el Usuario ha proporcionado información falsa o ha violado de otro modo este Contrato de Usuario.

Plazo de validez y número de usos del Código promocional

11.14. El Código promocional tiene fecha de caducidad. El período de validez del Código promocional se comunica al Usuario en el Servicio, en una página de Internet separada, en material publicitario o de otro modo.

11.15. Una vez caducado el Código promocional deja de ser válido.

11.16. Un Usuario puede utilizar un Código Promocional solo una vez, a menos que se indique lo contrario en el Código Promocional, en el Servicio, material publicitario, página de Internet u otra fuente.

11.17. Para obtener información actualizada sobre el plazo de validez y número de usos del Código promocional, el Usuario deberá dirigirse al servicio de soporte de Yango Comida.

Territorio de validez del Código promocional

11.18. Si el territorio de validez no se indica en el Código promocional, en el Servicio, en una página separada de Internet, en material publicitario u otra fuente, el territorio se considera limitado a la ciudad donde el Usuario recibió el Código promocional.

Cómo activar el Código promocional

El Código promocional sólo se puede utilizar si está activado. Para activar el Código promocional, debe ingresar el Código promocional en el campo especial "Promocode" antes de realizar el Pedido en la interfaz de Yango Comida y hacer clic en "Aplicar".

Yango Service User Agreemen

1. Terms and Definitions

Yango shall mean YANGO DELIVERY LLC.

Service shall mean the software (including programs for mobile devices) and websites of Yango or its affiliates that provide the Service User with the opportunity to Order Goods and Delivery on the terms and conditions specified in the User Agreement;

User shall mean an individual using the Service on the terms and conditions stipulated in the User Agreement in order to place an Order for Goods and Delivery;

Authorized User shall mean a User who has logged in to the Service using the user name and password assigned to them when registering on the Service.

Partner shall mean a person that places its offers and materials on the Service and sells Goods to the User when they place an Order, as well as carrying out the Delivery (if the Partner carries out Delivery itself).

Order shall mean an order of Goods and Delivery placed by a User on the Service. As a result of an Order, a User enters into a contract for the purchase and sale of Goods with the Partner and a Delivery contract with the Delivery Service Provider (if the Partner carries out Delivery itself, then the Delivery contract with the Partner);

Contract shall mean a contract for the purchase and sale of Goods with a Partner or a contract for the delivery of Goods with a Delivery Service Provider (or, in the case of Delivery by the Partner, with the Partner), executed between the User and the Partner and the Delivery Service Provider as a result of an Order placement.

Goods shall mean goods that are the subject of a sales contract concluded between the User and the Partner by placing an Order on the Service by the User. The Goods sale and purchase contract and the rights and obligations arising therefrom when placing an Order shall arise directly between the Partner and the User. Yango shall not be a party to this agreement;

Delivery shall mean a service of delivery of the Goods ordered by the User through the Service to the User. A delivery contract with the User shall be concluded by and between the Delivery Service Provider (or the Partner, in the case of Delivery by the Partner itself). Yango shall not be a party to such agreement;

Delivery Service Provider shall mean a person delivering the Goods ordered by the User (except for the cases when the Delivery of Goods is performed by the Partner).

User Agreement shall mean a document regulating the procedure for placing an Order by the User posted on the Internet at: https://yango.com/legal/deli_termsofuse.

Service Fee shall mean a fee charged to Users for the right to use the functionality of the Service to order Goods and delivery from the Partner (including ordering Goods on a self- pick-up basis) and/or Delivery Provider on the terms and conditions determined by the Partner and/or Delivery Provider and posted on the Service, as well as for the provision of other services in accordance with the parameters of the User's Order and/or the User Agreement.

Territory shall mean Republic Azerbaijan

Promo Code means a certain sequence of characters, by activating which and subject to compliance with other conditions of use of the Promo Code, the User may receive a discount on the price of Goods and/or Delivery and/or the Service fee.

Yango App shall mean a program for mobile devices provided to Users under the terms of a License Agreement for the use of the Yango program available at: https://yango.com/legal/yango_mobile_agreement.

Applicable Law shall mean all applicable laws, regulations, rules and codes in force at the moment (including, without limitation, all applicable data protection and privacy laws) within the Territory;

Other terms may also be used in the User Agreement. If there is a possibility of an ambiguous interpretation of a term, the interpretation used on the Service shall have the first priority, the second priority shall be given to the understanding of the term commonly used on the Internet, and the third one, to the interpretation given in the Applicable Law.

1. General Provisions

1.1. The User's use of the Service shall be governed by this User Agreement and other Yango documents available on the Yango Service. Yango processes User’s personal data for the purpose of providing a User with the Service, in accordance with its the Privacy Notice available online at: https://yango.com/legal/yango_privacy_notice.

1.2. By starting to use the functions of the Service, the User shall be deemed to have accepted the User Agreement, as well as the terms and conditions of other documents of the Service, in full, without any reservations and exceptions. In case of disagreement with any of the provisions in the User Agreement or other applicable documents, the User shall not use the Service.

By accepting this User Agreement, the User confirms that he/she has read and accepted the following documents:

1.3. Yango may amend the provisions of the User Agreement and other documents of the Service at any time without notifying the User. The current version of the User Agreement is available online at: https://yango.com/legal/deli_termsofuse.

The risk of failing to read a revised version of the User Agreement and other documents of the Service shall be borne by the User; the continued use of the Service once the User Agreement and other documents of the Service have been amended shall constitute consent to their revised version.

If the User does not agree with the amendments to the User Agreement, the User shall cease using the Service.

1.4. By starting to use the Service, the User confirms that they are legally capable and have reached the age required in accordance with Applicable Laws for entering into and performance of all transactions provided for in the User Agreement, and the fulfillment of all obligations specified in this User Agreement.

2. Service Functions and Terms of Use

2.1. With the help of the Yango Service, the User may order Goods and Delivery from a Partner and a Delivery Service Provider. The terms and conditions for ordering Goods and Delivery posted on the Service shall be determined by the Partner and the Delivery Service Provider, respectively.

2.2. Yango shall not be responsible for the content and relevance of the information provided by the Partner and the Delivery Service Provider about the Goods and Delivery, including the information about the cost of the Goods and Delivery, the time of the preparation of the Goods and Delivery, as well as the availability of the Goods at the moment.

2.3. The User may be charged a Service Fee (hereinafter referred to as the Service Fee) for the use of the certain functions, in particular, for services related to the use of the function of ordering from the Partner and the Delivery Service Provider. The amount of the Service Fee shall be determined by Yango and displayed in the Service interface at the time a User places an Order.

2.4. Yango may provide Users with discounts on the Service Fee at its sole discretion.

2.5. All currently available functions of the Service along with any developments and/or newly added functions shall be subject to the User Agreement.

3. Terms of Use of Service Functions

3.1. The use of the Service functions shall be available to the User after registration and authorization on the Service. When registering, the User undertakes to provide the data requested on the Service in the registration form. The User undertakes not to disclose the login and password assigned to them during registration to third parties, as well as to ensure the safety and confidentiality of the login and password. All actions performed using the User's login and password on the Service shall be deemed to be performed by the User.

3.2. Some features of the Service may be unavailable or limited. Functions are deemed to be unavailable (limited) for the User, if such User is unable to use them explicitly. Any technical and software-based methods are prohibited to be applied to circumvent such limitations. No provisions of this User Agreement governing functions of the Service unavailable (limited) for the User will apply until such functions become explicitly available for the User.

3.3. The User may not use more than one account when using the Service.

3.4. By using the Service, the User consents to receive promotional messages. The User may unsubscribe from promotional messages in the Service interface or following instructions specified in a promotional message received.

3.5. Yango reserves the right, at its sole discretion, to restrict the User's access to the Service or to certain functions of the Service using their account or completely block the User's account. Access restriction or account blocking shall be possible in case of:

a. violation of the terms and conditions of the User Agreement or other documents used on the Service;

b. violation of the terms and conditions of Contracts with Restaurants, Delivery Service Provides and the Service;

c. abuse, misrepresentation, fraudulent actions, immoral or inappropriate conduct of the User when using the Service, contacts with representatives of the Delivery Service Provider or Partner;

d. in other cases, when the User's behavior does not correspond to the use of the Service and its functions in good faith;

e. non-fulfillment of the obligation to pay for the Goods and Delivery, as well as the Service Fee.

f. Using more than one account when using the Service.

4. Legal Relations when using the Service

4.1. When placing an Order on the Service, the User:

a. Enters into a contract for the purchase and sale of Goods with a Partner;

b. Enters into a contract for the provision of Goods Delivery services with the Delivery Service Provider;

c. Uses the functionality of the Service for placing an Order with a Partner and a Delivery Service Provider;

All rights and obligations under the Agreement (Agreements) concluded with the User shall arise directly for the Partner and the Delivery Service Provider.

Optional:

d. Instructs Yango (with the engagement of third parties) to pay for the Goods at the place of sale of the Goods by the Partner on behalf of and at the expense of the User. Such instructions shall not be instructions to make a purchase and sale transaction, and shall be instructions to perform actions to pay for the Order. The pursuance of such instructions shall be carried out on behalf of the User and at their expense.

4.2. Yango shall not be a party to the legal relations specified in clauses (a) and (b). Yango will provide the User with services under clauses (c) and (d) (if available on the Service) and shall be solely liable within the Service Fee (if it is charged).

4.3. The material terms of the contracts concluded by the User shall be indicated in the description of the Goods published on the Service, the terms and conditions of the Partner's offer for the sale of the goods (the Product page on the Service) and in the description of the Delivery terms and conditions.

Unless otherwise specifically stated on the Service, all prices listed on the Service include taxes and fees in accordance with the Applicable Law.

At the same time, obvious errors, including typos made by a Partner and a Delivery Service Provider in the description of the Goods, shall not be legally binding.

4.4. The moment of execution of a Contract between a User and a Partner and a Delivery Service Provider shall be determined in the following manner:

a. A Contract with a Partner shall be concluded when the User clicks the "Order" button (or a similar button) in the Order form;

b. A Contract with a Delivery Service Provider shall be concluded at the time of determining the Delivery Service Provider delivering the Goods;

By clicking the "Order" button (or a similar button), the User expresses full and unconditional consent (acceptance) to conclude a Contract with a Delivery Service Provider, Partner and Yango.

After clicking the "Order" button (or a similar button), a User shall be given a limited time period to make the payment, after the elapse of which the message "ERROR The payment time (session) has expired. Place a new order" will appear. If the payment does not occur during the specified period of time for any reason, the Contract with a Partner and a Delivery Service Provider shall not be considered concluded

4.5. If an Order includes Goods, the purchase of which requires the reaching of a certain age provided for by the Applicable Law, the User shall confirm and guarantee to a Partner and Yango by their actions that the User has reached the age provided for by the Applicable Law.

The Partner and the Delivery Service Provider shall have the right to require additional confirmation from the User of reaching the age provided for by the Applicable Law. The Partner may to refuse to sell the Goods if the User is unable to confirm their age.

4.6. A User agrees that a Partner and a Delivery Service Provider may entrust the Contract performance to a third party, while remaining responsible for its performance.

4.7. Yango will not be responsible for any claims and demands regarding Goods and Delivery, and will not independently consider such claims. Yango may transmit information about the Partner and the Delivery Service Provider responsible for the received claims to the User, as well as provide information received from the Partner and the Delivery Service Provider on the claims.

4.8. In some cases, information about which is communicated to a User when placing an Order on the Service, the cost of Delivery will not be charged additionally from the User.

5. Procedure for and Terms and Conditions of Order Placing on the Service

5.1. Placing Orders shall be available only to an Authorized User.

5.2. To place an Order, a User shall perform the following actions:

a. review information about the Goods, Delivery and services of the Service;

b. specify all the data necessary for the Contract performance by the Partner and the Delivery Service Provider, including, but not limited to:
  • Full delivery address (name of the locality, street, house number (including building, estate, etc.), entrance number, apartment number, floor and other information on the address);
  • Consignee's name;
  • Contact details (phone number, other);
  • Payment method.

c. Confirm the order by clicking the "Order" button (another similar button).

5.3. Placing an Order on the Service shall mean:

a. consent with and acceptance by the User of all essential terms and conditions of the sale of Goods, delivery by a Partner and a Delivery Service Provider;

b. consent to the provision of the services of the Service;

c. familiarization, consent and acceptance by the User of the terms and conditions of this User Agreement on the use of the Service and all other documents of the Service;

d. familiarization and consent with the charging and amount of the Service Fee (if charged);

e. understanding of and agreement with all the legal consequences of their actions in relation to the concluded contracts

5.4. Clicking the "Order" button (or a similar button) shall constitute full and unconditional consent (acceptance) to conclude a Contract with a Delivery Service Provider, determined in accordance with Cl. 3.14 of the User Agreement from among the Delivery Service Providers provided for in Cl. 6.8 of the User Agreement.

5.5. When authorizing and placing an Order, a User shall provide reliable information about themselves and the Order consignee when placing an Order on the Service. A User shall be liable for all consequences caused by unreliability of the information provided.

5.6. For an Authorized User, after placing an Order, information about the Order placed by them shall be available in the "My Orders" section of the Service. In this section of the Service, an Authorized User may view information about the Order status.

6. Delivery Terms and Conditions

6.1. The specific Delivery Service Provider shall be determined after the User places an Order and the Partner proceeds with preparing the Goods.

6.2. The User shall be present at the Delivery address to receive the Order, as well as ensure acceptance and payment of the Goods upon Delivery.

6.3. The User shall be deemed to have refused to fulfill the Contract with a Partner and a Delivery Service Provider:

a. if the User is absent at the Delivery address for more than 10 minutes from the moment the Delivery Service Provider arrives at the Delivery address (in accordance with the Service data);

b. if it is impossible to deliver the Goods to the User for reasons that depend on the User;

c. if the User refuses to accept the Goods (with the exception of Goods of inadequate quality or not conforming to the terms and conditions of the Order placed by the User)

In the said cases, the funds paid for the Goods and Delivery by the User shall be used to reimburse the costs of the Partner and the Delivery Service Provider and shall not be subject to refund to the User.

6.4. Yango may cancel the Order with a refund for the Order to the User:

a. in cases where it is impossible for the Delivery Service Provider to fulfill the Order due to the absence of free Delivery Service Providers (Delivery Service Providers' couriers) capable of delivering the Order;

b. for other reasons that prevent the timely and proper fulfillment of the obligations of the Delivery Service Provider

6.5. In order to identify Partners or Orders delivered by a Delivery Service Provider, such Partners or Orders may be marked on the Service with an icon with the image of a "Courier" and also accompanied with information about the Delivery Service Provider.

7. Terms and Conditions of Sale of Goods by a Partner

7.1. A Partner may cancel the Order if:

a. in the course of Delivery by the Partner, it was impossible to contact the User using the contact details;

b. the Partner is unable to perform the Contract.

7.2. If the Partner is unable to perform the Contract in full, it shall have the right to cancel the order, or contact the User at the phone number specified by the User in order to change the composition of the Order.

If a User confirms the change in the Order, the Order shall be considered to be placed under the new terms and conditions agreed with the User.

Information about the changes in the Order shall be reflected on the Service in the section with the User's order history.

7.3. If the Goods delivered to the User, in the User's opinion, are of inadequate quality or do not correspond to the Order, the User shall immediately send a request via the Yango support service chat with photos of the delivered Goods attached, and send a description of the deficiencies of the Goods.

Yango will accept claims from Users for transfer thereof to the Partner and Delivery Service Provider.

7.4. In case of Delivery of the Goods, a Partner shall be considered to have fulfilled its obligation to transfer the Goods to the User under the Contract at the time of transfer of the Goods (of proper quality and corresponding to the Order placed by the User) to the representative of the Delivery Service Provider.

7.5. The time of preparation of the Goods and Delivery (if applicable) indicated on the Service is approximate.

7.6. Yango may cancel an Order with a refund for the Order to the User in cases where the Partner is unable to fulfill the Order due to:

a. non-confirmation by the Partner of readiness to accept the Order to Yango

b. for other reasons that prevent the timely and proper fulfillment of obligations by the Partner with respect to the Order.

8. Personal Data and the Procedure for the User's Interaction with the Service

8.1. Yango processes Users’ personal data to provide the Service, User support as well as to ensure security of the Service and prevent fraud. Data processing can be performed by Yango’s affiliates that act as data processors for Yango. Moreover, in order to provide the service Yango engages Delivery Service Providers that are also involved in data processing.

The processing of personal data when using the Yango service shall be carried out in accordance with the Privacy Notice: https://yango.com/legal/yango_privacy_notice.

Personal information that the User provides to Yango, including when placing an Order, may be transferred, including the cross-border transfer, to Yango partners with which the User enters into a Contract as a result of placing an Order, for the purposes of performing the specified Contract (such transfer may also be carried out through third parties engaged by Yango). Yango may store the User's personal information, as well as the personal information of the recipient of the Order specified by the User, for at least three years from the date of placing the Order.

8.2. By placing an order on the Service, the User agrees to receive:

a. emails and notifications from Yango and related parties, which may be sent to the User
  • after placing an Order
  • in case of changes in the Order
  • before Delivery of the Goods in a case affecting the performance of the Order or timely notification about its status;

b. messages (SMS) to the phone number specified by the User, as well as a call with an offer to assess the quality of the Service, Partner and/or Delivery Service Provider to the phone number specified by the User;

c. push notifications (at the same time, Yango shall not be liable for not receiving push notifications by the User if the User turns off the function of receiving such notifications on the mobile device, the risk of not receiving the relevant information in this case shall be borne by the User). If the User disables the function of sending push notifications, the User agrees to sending of information about the progress of the Order Delivery to their email address in order to inform them about the possibility/impossibility of performing the Order Delivery.

8.3. All interaction between the User and the Service shall be carried out through the Yango support service, namely, in the support service chat available in the Service interface. The functionality of the Service may also provide other ways for the User to send requests to Yango.

8.4. In order to control quality and resolve disputes, Yango may record all User's conversations and correspondence with Yango support service specialists, Partners and Delivery Service Providers.

8.5. If personal insults, threats, obscene statements and actions from the User are received by the Service Support servcie specialists, the Service Support service Specialist may terminate the conversation with the User, both orally and in writing.

9. Payment

9.1. Payment of an Order shall be carried out by the User:
  • by in a cashless form;

    in this case, Yango shall act on behalf of the Partner and the Delivery Service Provider and with the engagement of an organization for accepting payments. Yango does not guarantee that the operation of the Service will be error- and failure-free in view of enabling cashless payments.

  • in cash (to a third party engaged by the Delivery Service Provider);

    in this case, the Delivery Service Provider (a third party engaged by the Delivery Service Provider) shall act as an agent for receiving funds in favor of the Partner and Yango in terms of receiving funds.

9.2. The acceptance of payments by Yango for Orders on the Service shall be carried out solely due to the fact that the conclusion of a contract for the purchase of Goods and the provision of Delivery services is performed through the Yango Deli Service.

9.3. Yango does not participate in accepting cash payments in case of Delivery by the Partner independently and the User's selection of a payment method using cash (if such option is available on the Service).

9.4. The participation of Yango in the process of payments for goods and services may in no case be construed as Yango being a party to the contract of sale and purchase and provision of services between a User and a Partner/Delivery Service Provider.

9.5. The responsibility for the proper content and provision of receipts/invoices to Users (if required in accordance with the Applicable Law) shall be primarily borne by Delivery Service Providers and Partners, unless otherwise provided for by the Applicable Law.

Cashless Payment Procedure

9.6. To make cashless payment, a User shall link a bank card in the Service interface. To do this, a User shall specify:

a. The name of the bank card holder (the "cardholder" field);

b. Bank card number

c. Validity term;

d. Security code.

9.7. If the bank card details are true, valid and it is technically possible to use this card within the Service, the said bank card becomes the linked one and can be used for cashless payments. All linked cards are displayed in the Service interface.

9.8. Cashless payment shall be carried out with the involvement of a payment processor or an electronic money operator. The operator/processor is an authorized person having the right to accept and process payments in accordance with the Applicable Law. The payment procedure in this case shall be governed by the rules of international payment systems, banks (including the issuing bank of the Linked Card) and other settlement participants.

9.9. When linking and using the Linked Card, the User confirms and guarantees that they have indicated reliable and full information on the valid bank card issued in their name; they comply with rules of international payment systems and requirements of the bank having issued the Linked Card, inter alia, in relation to the procedure for cashless payments.

9.10. The User understands and agrees that all actions performed within the framework of the Service after authorization using the login and password assigned to them during registration on the Service, including cashless payments using a Linked Bank Card, shall be considered committed by the User.

Consideration of Requests for Payments on the Service

9.11. If a User does not agree with the fact, the amount of the cashless payment or the facts of using the linked card on the Service, the User may contact Yango within 14 days from the date of the cashless payment or other actions or events that have caused the request.

9.12. Yango may, on behalf of the Partner and the Delivery Service Provider, decide to refund the amount of the cashless payment in full. The specified refund shall be made to the bank account of the bank card from which the cashless payment has been made. The procedure for the refund shall be carried out with the involvement of the payment processor or the operator of electronic funds. The refund procedure in this case shall be governed by the rules of international payment systems, banks (including the issuing bank of the Linked Card) and other settlement participants.

9.13. Yango reserves the right at any time to require the User to confirm the data specified by them within the framework of the Service, including the data of the Linked Card, and to request supporting documents in this regard (in particular, identity documents). Failure to provide the requested information shall be the basis for Yango to suspend the User's use of the Service or block the User's account.

9.14. For questions related to payment in cash provided for in the User Agreement, the User may contact the Partner and the Delivery Service Provider.

10. Liability of the Service

10.1. Yango Deli, as the entity providing the information service, shall not bear any liability for the information about Goods and services that Partners/Delivery Service Providers post on the Service. Partners and Delivery Service Providers, as persons selling Goods and providing services, shall be responsible for communicating to the User all information about Goods and services provided for by the Applicable Law.

10.2. Besides, Yango shall not be responsible for:
  • temporary failures and interruptions in the operation of the Service or part of the functions of the Service caused by failures and interruptions, loss of information, safety of information, correctness and timeliness of its transmission;
  • reliability, quality and speed of the Service, as well as for the safety of the information created, used and received by a User.

11. Use of Promo Codes on the Service

Terms and Conditions of Use of a Promo Code and Application of a Discount

11.1. When using the Service, Promo Codes may be provided to Users that allow the User to receive discounts on Goods, Delivery or the Service Fee.

11.2. A Promo Code may be applied only in the case of using the cashless payment method on the Service and only when paying with bank cards on a physical medium.

11.3. The list of current Promo Codes available to a User shall be indicated in the corresponding section of the Service. If a Promo Code is not reflected in the special section, then it is considered invalid and may not be applied.

11.4. The cost of the Order after applying a Promo Code shall be reflected on the Service and shall be subject to payment by the User in accordance with the terms and conditions of the User Agreement.

11.5. A discount when applying a Promo Code shall be applied only if the Promo Code is activated.

11.6. Discounts when using a Promo Code shall be applied in the following manner (order):

a. to the cost of Goods;

b. in the part exceeding the cost of the Goods, to the cost of Delivery;

c. in the part exceeding the cost of Delivery, to the amount of the Service Fee;

11.7. The use of a Promo Code may not be available for technical reasons (not using the current version of the mobile application, changing the payment method when placing an Order, etc.).

11.8. Yango shall not be responsible for non-fulfillment or improper fulfillment of obligations, as well as for any direct, indirect, special losses and damages of Users associated with the use or provision of Promo Codes. Yango shall not be obligated to compensate Users for losses in such cases, since the provision of a Promo Code is the right, but not the responsibility of Yango.

Restrictions when Using a Promo Code

11.9. The terms and conditions for granting discounts when applying a Promo Code may be limited. Information about the terms and conditions of use of the Promo Code shall be communicated to a User on the Service, at a separate page on the Internet, in advertisements or otherwise. Such terms and conditions may include:
  • restrictions on card issuers (a Promo Code may be used when paying with cards of certain issuers participating in the marketing campaign);
  • requirements for the ordinal number of an Order on the Service, for example, only the first order;
  • requirements for the composition of an Order;
  • restriction on the list of Partners (a Promo Code may be applied when making an Order from certain Partners participating in the marketing campaign);

The fulfillment of the terms and conditions for the use of a Promo Code shall be determined solely on the basis of the Service data.

11.10. Unconscientious use and application of Promo Codes is prohibited. In order to counteract the undue use of Promo Codes or abuse when using Promo Codes, Yango may verify the good-faith use by any available means. In case of revealing undue use of Promo Codes, Yango Coida shall have the right to refuse to provide discounts in case of detection of relevant abuses or undue use of a Promo Code.

11.11. The User should contact the support service of the Yango Service to receive the relevant information about the reasons for non-application of a Promo Code.

11.12. When considering requests for the use of Promo Codes, the support service may request the User to confirm the receipt of Promo Codes (photos, screenshots, other confirmations) and its application. In case of a failure to provide such confirmation, Yango reserves the right to refuse to provide a discount on a Promo Code.

11.13. Yango may refuse to provide a discount on a Promo Code if a User has provided false information or in any other way violated this User Agreement.

Validity Period and Promo Code Use Times

11.14. A Promo Code has an expiration date. The validity period of a Promo Code shall be communicated to a User on the Service, at a separate page on the Internet, in advertisements or otherwise.

11.15. Upon expiration of the Promo Code, it becomes invalid.

11.16. A Promo Code may be used by one User only once, unless otherwise specified in the Promo Code, on the Service, advertising material, a page on the Internet, or in another source.

11.17. The User should contact the support service of the Yango Service to receive the relevant information about the validity term and number of times of using a Promo Code.

Promo Code Validity Territory

11.18. If the territory of validity is not specified in the Promo Code, on the Service, at a separate page on the Internet, in advertisements or another source, the territory shall be considered to be limited to the city where the User received the Promo Code.

How to Activate a Promo Code

A Promo Code may only be used if activated. To activate a Promo Code, a User shall enter the Promo Code in the special "Promocode" field before placing an Order in the Yango interface and click "Apply".

Sifariş verildikdə Malların alqı-satqısı üçün müqavilə və ondan irəli gələn hüquq və öhdəliklər birbaşa olaraq Partnyor və İstifadəçi arasında hüquqi qüvvəyə minir. Tərəflər bəyan edirlər ki, Yango bu müqavilənin tərəfi olmayacaq;

Çatdırılma dedikdə, Xidmətlər üzrə İstifadəçi tərəfindən sifariş verilmiş Malların İstifadəçiyə çatdırılması xidməti nəzərdə tutulur. Çatdırılma müqaviləsi İstifadəçi və Çatdırılma Xidmət Təchizatçısı arasında bağlanılır (Çatdırılma Partnyorun özü tərəfindən yerinə yetirildiyi halda, İstifadəçi və Partnyor arasında bağlanılır). Tərəflər bəyan edirlər ki, Yango bu müqavilənin tərəfi olmayacaq;

Çatdırılma Xidmət Təchizatçısı dedikdə, İstifadəçi tərəfindən sifariş verilən Malları çatdıran şəxs nəzərdə tutulur (Malların Çatdırılması Partnyor tərəfindən yerinə yetirildiyi hallar istisna olmaqla);

İstifadəçi Müqaviləsi dedikdə, İstifadəçi tərəfindən Sifarişin verilməsi prosedurunu tənzimləyən və https://yango.com/legal/deli_termsofuse internet saytında dərc edilən sənəd nəzərdə tutulur;

Xidmət Haqqı dedikdə, Partnyor və/və ya Çatdırılma Xidmət Təchizatçısı tərəfindən müəyyən edilən və Xidmət üzrə yerləşdirilən şərt və müddəalar müvafiq olaraq, Malların və Malların çatdırılması xidmətinin Partnyor və/və ya Çatdırılma Xidmət Təchizatçısına sifariş verilməsi (Malların götürülməsi əsasında sifarişi də daxil olmaqla) barədə Xidmətin funksionallığından istifadə, həmçinin İstifadəçinin Sifarişi və/və ya İstifadəçi Müqaviləsinin parametrlərinə müvafiq olaraq digər xidmətlərin icrası üzrə ödənilən haqq nəzərdə tutulur;

Tətbiq olunan Hüquq dedikdə, Ərazi hüdudlarında qüvvədə olan bütün tətbiq olunan qanunlar, qaydalar və məcəllələr (fərdi məlumatlar və məxfilik barədə bütün tətbiq edilən qanunlar da daxil olmaqla, lakin bunlarla məhdudlaşmayaraq) nəzərdə tutulur;

Bu İstifadəçi Müqaviləsində digər terminlərdən də istifadə edilə bilər. Əgər hər hansı terminin təfsirində qeyri-müəyyənlik mövcuddursa, ilkin olaraq Xidmət üzrə tətbiq edilən anlayışın təfsiri üstün hüquqi qüvvəyə malikdir. İkinci halda terminin internetdə ümumi olaraq başa düşüldüyü anlayışı, üçüncü halda isə Tətbiq olunan Hüquqda verilən anlayış üstün hüquqi qüvvəyə malikdir.

1. Ümumi müddəalar

1.1. İstifadəçi tərəfindən Xidmətlərdən istifadə qaydaları bu İstifadəçi Müqaviləsi və Yango Xidmətində mövcud olan digər Yango sənədləri ilə tənzimlənir. Yango İstifadəçi qarşısında Xidmətlərin icrasını təmin etmək məqsədilə https://yango.com/legal/yango_privacy_notice veb-səhifəsində mövcud olan Məxfilik Bildirişinə müvafiq olaraq İstifadəçinin fərdi məlumatlarını emal edir.

1.2. Tərəflər bəyan edir ki, Xidmətlərin funksiyalarının istifadəsinə başladığı vaxtdan etibarən İstifadəçi Müqaviləsi, həmçinin Xidmət üzrə mövcud olan digər sənədlərin şərt və müddəaları tamamilə və hər hansı qeyd-şərt və istisna olmadan İstifadəçi tərəfindən qəbul edilmişdir. İstifadəçi İstifadəçi Müqaviləsinin və ya digər müvafiq sənədlərin hər hansı bir maddəsi ilə razılaşmadığı halda, Xidmətdən istifadə etməməlidir.

İstifadəçi bu İstifadəçi Müqaviləsini qəbul etməklə, aşağıdakı sənədləri oxuduğunu və qəbul etdiyini təsdiq edir:

1.3. Yango-nun İstifadəçiyə məlumat vermədən İstifadəçi Müqaviləsi və Xidmət üzrə digər sənədlərin müddəalarını istənilən vaxt dəyişmək hüququ var. İstifadəçi Müqaviləsinin cari versiyası https://yango.com/legal/deli_termsofuse veb-səhifəsində mövcuddur.

İstifadəçi Müqaviləsinin və Xidmət üzrə digər sənədlərin yenilənmiş versiyası ilə tanış olmamaq riski İstifadəçinin üzərinə düşür; İstifadəçi Müqaviləsi və Xidmət üzrə digər sənədlərə dəyişiklik edildiyi halda İstifadəçi Xidmətlərdən istifadə etməyə davam edərsə, bu İstifadəçinin həmin dəyşikliklərlə razılaşması hesab ediləcəkdir.

Əgər İstifadəçi İstifadəçi Müqaviləsindəki dəyişikliklərlə razılaşmırsa, İstifadəçi Xidmətin istifadəsini dayandırmalıdır.

1.4. Xidmətdən istifadə etdiyi vaxtdan etibarən İstifadəçi təsdiq edir ki, İstifadəçi İstifadəçi Müqaviləsi üzrə bütün əməliyyatların icrası, həmçinin İstifadəçi Müqaviləsi üzrə bütün öhdəliklərin yerinə yetirilməsi üçün tam fəaliyyət qabiliyyətinə və Tətbiq olunan Hüquqa müvafiq olaraq tələb edilən yaş həddinə malikdir.

2. Xidmət funksiyaları və istifadə şərtləri

2.1. İstifadəçi Yango Xidmətlərindən istifadə etməklə Malları və Çatdırılmanı Partnyor və Çatdırılma Xidmət Təchizatçısına sifariş verə bilər. Xidmət üzrə mövcud olan Malların və Çatdırılmanın sifarişi üzrə şərt və müddəalar müvafiq olaraq Partnyor və Çatdırılma Xidmət Təchizatçısı tərəfindən müəyyən edilir.

2.2. Yango Malların və Çatdırılmanın dəyəri, Malların və Çatdırılmanın hazırlanması üzrə vaxt, həmçinin Malların tələb edilən vaxtda mövcudluğu üzrə məlumatlar da daxil olmaqla, Partnyor və Çatdırılma Xidmət Təchizatçısı tərəfindən Mallar və Çatdırılma barədə təqdim edilən məlumatların məzmunu və uyğunluğuna görə məsuliyyət daşımır.

2.3. İstifadəçi razılaşır ki, İstifadəçi müəyyən funksiyalardan, xüsusi olaraq Partnyor və Çatdırılma Xidmət Təchizatçısına sifariş verilməsi funksiyasından istifadə ilə bağlı olan xidmətlərə görə Xidmət Haqqının (bundan sonra “Xidmət Haqqı” adlandırılacaq) ödənilməsi öhdəliyini daşıya bilər. Xidmət Haqqının məbləği Yango tərəfindən müəyyən edilir və İstifadəçi tərəfindən Sifariş verilərkən İstifadəçi interfeysində göstərilir.

2.4. Yango öz mülahizəsi əsasında İstifadəçilərə Xidmət Haqqı məbləği üzrə endirim edə bilər.

2.5. Xidmət üzrə hazırda mövcud olan bütün funksiyalar, eləcə də həmin funksiyalar üzrə hər hansı yenilənmə və/və ya yeni əlavə edilmiş funksiyalar İstifadəçi Müqaviləsinin tərkib hissəsidir.

3. Xidmət funksiyalarının istifadə şərtləri

3.1. İstifadəçi Xidmət üzrə qeydiyyatdan keçdikdə və avtorizasiya etdikdən sonra Xidmətdən istifadə funksiyaları İstifadəçi üçün mövcud olmalıdır. Qeydiyyatdan zamanı İstifadəçi qeydiyyat formasında tələb edilən məlumatları təqdim etmək öhdəliyini daşıyır. İstifadəçi qeydiyyat zamanı ona təqdim edilən loqin və şifri üçüncü şəxslərə ötürməməyi, həmçinin loqin və şifrin təhlükəsizliyini təmin etməyi öhdəsinə götürür. Xidmətlər üzrə İstifadəçinin loqin və şifri ilə yerinə yetirilən bütün əməliyyatların İstifadəçinin özü tərəfindən yerinə yetirildiyi hesab ediləcəkdir.

3.2. Xidmətin bəzi xüsusiyyətləri mövcud olmaya və ya məhdud şəkildə mövcud ola bilər. Əgər İstifadəçi aşkar şəkildə hər hansı funksiyalardan istifadə edə bilmirsə, İstifadəçi üçün həmin funksiyaların mövcud olmadığı (məhdud şəkildə mövcud olduğu) hesab edilir.

3.3. İstifadəçinin Xidmətdən istifadə edərkən birdən artıq hesabdan istifadə etmək hüququ yoxdur.

3.4. Xidmətdən istifadə etməklə İstifadəçi ona reklam-təşviqat məktublarının göndəriləcəyi barədə razılığını ifadə edir. İstifadəçi reklam-təşviqat məktubları üzrə abunəliyi Xidmət interfeysində və ya reklam-təşviqat məktubunda qeyd edilən təlimatlara uyğun olaraq ləğv edə bilər.

3.5. Yango, öz mülahizəsinə əsasən, İstifadəçinin Xidmətə və ya Xidmətin müəyyən funksiyalarına girişini məhdudlaşdırmaq və ya İstifadəçinin hesabını tamamilə bloklamaq hüququnu özündə saxlayır.

Hesaba giriş hüququnun məhdudlaşdırılması və ya blok edilməsi aşağıdakı hallarda mümkündür:

a. İstifadəçi Müqaviləsinin və ya Xidmət üzrə digər sənədlərin şərt və müddəalarının pozulması;

b. Restoranlar, Çatdırılma Xidmət Təchizatçıları və Xidmətin şərt və müddəalarının pozulması;

c. Xidmətdən istifadə, həmçinin Çatdırılma Xidmət Təchizatçısı və ya Partnyorla müqavilənin icrası zamanı İstifadəçi tərəfindən edilmiş sui-istifadə, təhrif etmə, fırıldaqçılıq, qeyri-mənəvi və uyğunsuz hərəkətlər;

d. İstifadəçinin hərəkətinin Xidmətdən və onun funksiyalarından xoş niyyətli istifadə məqsədlərinə uyğun gəlmədiyi digər hallarda;

e. Mallar və Çatdırılma üzrə ödənişin, eləcə də Xidmət Haqqı məbləğinin ödənilməməsi.

f. Xidmətdən istifadə zamanı birdən artıq hesabın istifadə edilməsi.

4. Xidmətlərdən istifadə üzrə hüquqi münasibətlər

4.1. Xidmət üzrə Sifariş verilərkən İstifadəçi:

a. Malların alqı-satqısı üzrə Partnyorla müqavilə bağlayır;

b. Malların Çatdırılma xidmətləri üzrə Çatdırılma Xidmət Təchizatçısı ilə müqavilə bağlayır;

c. Partnyora və Çatdırılma Xidmət Təchizatçısına Sifarişin verilməsi üçün Xidmətin funksionallığından istifadə edir;

İstifadəçi ilə bağlanmış Müqavilə (Müqavilələr) üzrə bütün hüquq və öhdəliklər Partnyor və Çatdırılma Xidmət Təchizatçısı üçün birbaşa olaraq yaranmış hesab edilir.

Seçim əsasında mövcud olan münasibət:

d. İstifadəçinin adından və hesabına Malların dəyərinin ödənilməsi üzrə Yango-nu (üçüncü şəxslərin cəlb edilməsi ilə) Malların Partnyor tərəfindən alqı-satqısının icra edildiyi yerdə təlimatlandırmaq. Bu cür təlimatlar alqı-satqı əməliyyatların yerinə yetirilməsi üzrə təlimatlar olmamalı və Sifarişin ödənilməsi üzrə hərəkətlərin yerinə yetirilməsini özündə ehtiva etməlidir. Bu cür təlimatlandırma İstifadəçinin adından və hesabına yerinə yetirilməlidir.

4.2. Yango (a) və (b) yarımbəndlərində qeyd edilən hüquqi münasibətlərin tərəfi ola bilməz. Yango (c) və (d) yarımbəndlərində (Xidmətlər üzrə mövcud olduğu halda) qeyd edilən xidmətləri İstifadəçi qarşısında icra edir və Xidmət Haqqı məbləği çərçivəsində (ödənilməsi barədə öhdəlik yarandığı halda) məsuliyyət daşıyır.

4.3. İstifadəçi ilə bağlanmış müqavilənin maddi şərtləri Xidmət üzrə dərc edilən Malların təsvirində, malların alqı-satqısı üzrə Partnyor təklifinin şərt və müddəalarında (Xidmətdə mövcud olan Məsulun səhifəsində) və Malların Çatdırılması üzrə şərt və müddəaların təsvirində qeyd edilməlidir.

Xidmət üzrə ayrı qayda nəzərdə tutulmadığı halda, Tətbiq olunan Hüquqa müvafiq olaraq Xidmət üzrə bütün qiymətlərə vergilər və haqlar daxildir.

Tərəflər həmçinin razılaşırlar ki, Partnyor və Çatdırılma Xidmət təchizatçısı tərəfindən buraxılmış yazı səhvləri də daxil olmaqla, Malların təsvirində mövcud olan aşkar səhvlərin hüquqi qüvvəsi yoxdur.

4.4. İstifadəçi ilə Partnyor və İstifadəçi ilə Çatdırılma Xidmət Təchizatçısı arasında müqavilənin bağlanması anı aşağıdakı üsullarla müəyyən edilir:

a. İstifadəçi Sifariş formasında “Sifariş et” düyməsini (və ya oxşar düyməni) basdıqda Partnyorla müqavilə bağlanmış hesab edilir;

b. Çatdırılma Xidməti Təchizatçı ilə Müqavilə Malların çatdırılmasını həyata keçirən Çatdırılma Xidməti Təchizatçısının müəyyən edilməsi zamanı bağlanmış hesab edilir;

“Sifariş et” düyməsini (və ya oxşar düyməni) basmaqla İstifadəçi Çatdırılma Xidmət Təchizatçısı, Partnyor və Yango ilə müqavilə bağlamaq üzrə tam və qeyd-şərtsiz razılığını ifadə etmiş olur.

“Sifariş et” düyməsini (və ya oxşar düyməni) basdıqdan sonra İstifadəçiyə ödəniş etmək üçün məhdud vaxt verilir. Həmin məhdud vaxt bitdikdən sonra “XƏTA: Ödəniş vaxtı (sessiyası) bitmişdir. Yeni sifariş yaradın” məlumatı əks olunur. Əgər müəyyən olunmuş vaxt ərzində hər hansı səbəbdən ödəniş həyata keçməzsə, Partnyor və Çatdırılma Xidmət Təchizatçısı ilə Müqavilə bağlanmamış hesab edilir.

4.5. Əgər Sifarişə Malların alqı-satqısına görə Tətbiq olunan Hüquqa müvafiq olaraq yaş məhdudiyyət tətbiq edilən Mallar daxildirsə, İstifadəçi Partnyora və Yango-ya İstifadəçinin Tətbiq olunan Hüquq üzrə tələb edilən yaş həddinə çatmasını təsdiq etməlidir.

Partnyor və Çatdırılma Xidmət Təchizatçısının Tətbiq olunan Hüquq üzrə tələb edilən yaş həddinə çatmasını təsdiq edən əlavə məlumatları İstifadəçidən tələb etmək hüququ var. İstifadəçi bu cür tələb edilən yaş həddinə çatmasını müvafiq olaraq təsdiq etmədikdə, Partnyor Malların alqı-satqısından imtina edə bilər.

4.6. İstifadəçi razılaşır ki, Partnyor və Çatdırılma Xidmət Təchizatçısı Müqavilənin icrası üzrə məsuliyyət daşıyan şəxs olaraq qalmaqla, Müqavilənin icrasını üçüncü şəxslərə ötürə bilər.

4.7. Yango Mallar və Çatdırılma üzrə hər hansı iddialara və tələblərə görə məsuliyyət daşımır və bu cür iddiaları müstəqil olaraq nəzərdən keçirmir. Yango irəli sürülən iddialara görə məsuliyyət daşıyan Partnyor və Çatdırılma Xidmət Təchizatçısı barədə İstifadəçiyə məlumat ötürə bilər, həmçinin Partnyordan və Çatdırılma Xidmət Təchizatçısından bu cür iddialar üzrə əldə edilən məlumatları İstifadəçiyə təqdim edə bilər.

4.8. Xidmət üzrə Sifariş verilərkən İstifadəçiyə bildirilən hallarda, İstifadəçi Çatdırılmanın dəyəri üzrə əlavə olaraq ödəniş etmək öhdəliyi daşımayacaq.

5. Xidmət üzrə sifarişin verilməsi proseduru və şərtləri

5.1. Sifarişin verilməsi yalnız Səlahiyyətli İstifadəçilər üçün mövcuddur.

5.2. Sifarişin verilməsi üçün İstifadəçi aşağıdakı hərəkətləri yerinə yetirməlidir:

a. Mallar, Malların Çatdırılması və xidmətlər haqqında məlumatları nəzərdən keçirmək;

b. Aşağıda qeyd olunan məlumatlar daxil olmaqla, lakin bunlarla məhdudlaşmayaraq, Müqavilənin Partnyor və Çatdırılma Xidmət Təchizatçısı tərəfindən icrası üçün zəruri olan bütün məlumatları qeyd etmək:
  • Çatdırılma üzrə tam ünvan (ərazinin adı, küçə, ev nömrəsi (bina, məhəllə və s. nömrəsi daxil olmaqla), giriş nömrəsi, mənzil nömrəsi, mərtəbə və ünvan üzrə digər məlumatlar);
  • Sifarişi alacaq şəxsin adı;
  • Əlaqə məlumatları (telefon nömrəsi, digər);
  • Ödəniş metodu.

c. “Sifariş et” düyməsini (başqa oxşar düyməni) basmaqla Sifarişi təsdiq etmək.

5.3. Xidmət üzrə Sifarişin verilməsi dedikdə, aşağıdakılar nəzərdə tutulur:

a. Malların alqı-satqısı, Partnyor və Çatdırılma Xidmət Təchizatçısı tərəfindən Malların çatdırılması üzrə bütün zəruri şərt və müddəaların İstifadəçi tərəfindən qəbul edilməsi;

b. Xidmətlər üzrə müddəalarla razılığın ifadə edilməsi;

c. İstifadəçi Müqaviləsinin və Xidmət üzrə digər bütün sənədlərin şərt və müddəaları ilə İstifadəçinin razılığı;

d. Xidmət Haqqının alınması və məbləği ilə tanış olmaq və razılaşmaq (tətbiq edildiyi halda);

e. Bağlanmış müqavilələrlə bağlı bütün hərəkətlərin hüquqi nəticələri ilə tanış olmaq və razılaşmaq.

5.4. İstifadəçi “Sifariş Et” düyməsini (və ya oxşar düyməni) basmaqla İstifadəçi Müqaviləsinin 3.14-cü bəndinə müvafiq olaraq İstifadəçi Müqavilənin 6.8-ci bəndinə əsasən Çatdırılma Xidmət Təchizatçıları arasından seçilən Çatdırılma Xidmət Təchizatçısı ilə müqavilə bağlamaq barədə tam və qeyd-şərtsiz razılığını ifadə edir.

5.5. Sifarişi rəsmiləşdirərkən və verərkən, İstifadəçi özü və Sifarişi alacaq şəxs barədə etibarlı məlumatlar təqdim etməlidir. İstifadəçi verilən məlumatların etibarsızlığı nəticəsində yaranan bütün hallara görə məsuliyyət daşıyır.

5.6. Sifariş verildikdən sonra Xidmət üzrə “Mənim Sifarişlərim” bölməsində Sifariş barədə məlumatlar Səlahiyyətli İstifadəçi üçün əks olunur. Xidmət üzrə həmin bölmədə Səlahiyyətli İstifadəçi Sifarişin statusu barədə məlumatları nəzərdən keçirə bilər.

6. Çatdırılma Şərtləri

6.1. İstifadəçi Sifarişi verdikdən və Partnyor Malları hazırlamağa başladıqdan sonra müvafiq Çatdırılma Xidmət Təchizatçısı müəyyən edilməlidir.

6.2. İstifadəçi Sifarişi qəbul etmək, həmçinin Malları Çatdırılma zamanı qəbul etmək və Malların dəyərini ödəmək üçün Çatdırılma ünvanında olmalıdır.

6.3. Aşağıdakı halların baş verməsi İstifadəçinin Partnyor və Çatdırılma Xidmət Təchizatçısı ilə bağladığı müqavilənin icrasından imtinası başa düşülür:

a. Çatdırılma Xidmət Təchizatçısı Çatdırılma ünvanına (Xidmət məlumatlarına müvafiq olaraq) gəldikdən sonra 10 dəqiqədən daha çox vaxt keçməsinə baxmayaraq, İstifadəçi Çatdırılma ünvanında olmadıqda;

b. İstifadəçidən asılı olan hallara görə Malların İstifadəçiyə təhvil verilməsi mümkünsüz olduqda;

c. İstifadəçi Malları təhvil almaqdan imtina etdikdə (Malların tələb olunan keyfiyyətdə olmadığı və ya İstifadəçi tərəfindən verilmiş Sifarişin şərt və müddəalarına uyğun olmadığı hallar istisna olmaqla)

Yuxarıda qeyd edilən hallarda Mallar və Çatdırılma üzrə İstifadəçi tərəfindən ödənilmiş məbləğ Partnyor və Çatdırılma Xidmət Təchizatçısı tərəfindən xərclərin qaytarılması üçün istifadə edilməlidir və İstifadəçiyə geri qaytarılmamalıdır.

6.4. Yango aşağıdakı hallarda Sifarişi ləğv edə və Sifariş üzrə ödənilmiş məbləği İstifadəçiyə qaytara bilər:

a. Sifarişin çatdırılmasını yerinə yetirə bilən Çatdırılma Xidmət Təchizatçılarının olmaması (Çatdırılma Xidmət Təchizatçısının kuryerlərinin olmaması) səbəbindən Çatdırılma Xidmət Təchizatçısı üçün Sifarişin yerinə yetirilməsi mümkünsüz olduqda;

b. Çatdırılma Xidmət Təchizatçısının öhdəliklərini vaxtında və lazımi qaydada yerinə yetirilməsinin qarşısını alan digər hallar mövcud olduqda.

6.5. Partnyorların və ya Çatdırılma Xidmət Təchizatçıları tərəfindən çatdırılan Sifarişlərin müəyyən edilməsi məqsədilə, Xidmət zamanı bu cür Partnyorlar və ya Sifarişlər “Kuryer” şəklinin olduğu simvolla işarələnə bilər və həmçinin Çatdırılma Xidmət Təchizatçısı barədə məlumatlarla müşayiət edilə bilər.

7. Partnyor tərəfindən malların alqı-satqısı üzrə şərt və müddəalar

7.1. Partnyor aşağıdakı hallarda Sifarişdən imtina edə bilər:

a. Partnyor Çatdırılmanı yerinə yetirərkən İstifadəçi ilə əlaqə məlumatları vasitəsilə əlaqə saxlaya bilmədikdə;

b. Partnyor Müqaviləni icra edə bilmədikdə.

7.2. Əgər Partnyor Müqaviləni tam icra edə bilmirsə, Partnyorun sifarişdən imtina etmək və ya İstifadəçinin təqdim etdiyi telefon nömrəsi vasitəsilə Sifarişin dəyişdirilməsi məqsədilə İstifadəçi ilə əlaqə saxlamaq hüququ var.

İstifadəçi Sifarişdəki dəyişiklikləri təsdiqlədikdə, Sifariş İstifadəçi ilə razılaşdırılmış yeni şərtlərlə verilmiş hesab ediləcək. Sifarişin dəyişdirilməsi barədə məlumat Xidmət üzrə İstifadəçinin sifariş tarixçəsi hissəsində əks etdirilir.

7.3. Əgər İstifadəçiyə təhvil verilmiş Mallar İstifadəçinin mülahizəsinə görə lazımi keyfiyyətdə deyilsə və ya Sifarişlə uyğunluq təşkil etmirsə, İstifadəçi Yango dəstək xidmətinin çatı vasitəsilə təhvil verilmiş Malların fotoşəkilləri əlavə edilməklə dərhal Yango-ya sorğu göndərməlidir və Malların qüsurlarını təsvir edən məlumatları təqdim etməlidir.

Yango İstifadəçilər tərəfindən bu cür tələbləri qəbul edəcək və Partnyorlara və həmin məlumatları Çatdırılma Xidmət Təchizatçılarına ötürəcək.

7.4. Mallar təhvil verildiyi halda hesab edilir ki, Müqavilə üzrə Malların İstifadəçiyə təhvil verilməsi üzrə Partnyorun öhdəliyi Malların (lazımi keyfiyyətdə və İstifadəçinin Sifarişinə müvafiq qaydada) Çatdırılma Xidmət Təchizatçısının nümayəndəsinə təhvil verildiyi vaxtdan etibarən icra edilmişdir.

7.5. Xidmət üzrə qeyd edilən Malların və Çatdırılmanın (tətbiq edildiyi halda) vaxtı təxmini olaraq qeyd edilir.

7.6. Partnyorun aşağıda göstərilən səbəblərə görə Sifarişi icra edə bilməməsinə görə Yango tərəfindən Sifariş ödənişin İstifadəçiyə qaytarılması şərti ilə ləğv edilə bilər:

a. Yango-dan Sifarişin qəbul edilməsinin Partnyor tərəfindən təsdiq edilməməsi;

b. Partnyor tərəfindən Sifarişlə bağlı öhdəliklərin vaxtında və düzgün yerinə yetirilməsinə mane olan digər hallarda.

8. Fərdi məlumatlar və istifadəçilərin xidmətlə qarşılıqlı əlaqələrinin nizamlanması proseduru

8.1. Yango Xidmətin yerinə yetirilməsi, İstifadəçiyə dəstək xidməti göstərilməsi, həmçinin Xidmətin təhlükəsizliyinin təmin edilməsi və fırıldaqçılığın qarşısının alınması məqsədilə İstifadəçilərin fərdi məlumatlarını emal edir. Məlumatların emalı məlumatları emal edən şəxs qismində Yango-nun affilə olunan şəxsləri tərəfindən icra edilə bilər. Bundan başqa, Xidmətin təmin edilməsi məqsədilə Yango Çatdırılma Xidmət Təchizatçısını da məlumatların emalı prosesinə cəlb edə bilər.

Sifarişin verilməsi zamanı təqdim edilən fərdi məlumatlar da daxil olmaqla, İstifadəçinin Yango-ya təqdim etdiyi fərdi məlumatlar, Sifarişin verilməsi nəticəsində İstifadəçi ilə bağlanmış Müqavilənin tərəfi olan Yango-nun partnyorlarına müvafiq müqavilənin icra edilməsi məqsədilə həm Ərazi hüdudlarında, həm də transsərhəd olaraq ötürülə bilər (məlumatların bu cür ötürülməsi Yango tərəfindən cəlb edilmiş üçüncü şəxslərin vasitəsilə də həyata keçirilə bilər).

Yango İstifadəçilərin, həmçinin İstifadəçi tərəfindən qeyd edilmiş Sifarişi alacaq şəxsin fərdi məlumatlarını Sifarişin verilməsindən etibarən ən azı üç il müddətində saxlaya bilər.

8.2. Xidmət üzrə sifarişi verməklə İstifadəçi aşağıdakıları qəbul etməyə razılaşır:

a. Yango və əlaqəli şəxslərin aşağıdakı hallarda İstifadəçiyə göndərə biləcəyi elektron poçt məktubları və bildirişlər:
  • Sifariş verildikdən sonra;
  • Sifarişdə dəyişiklik edildiyi halda;
  • Sifarişin yerinə yetirilməsi vəziyyəti və ya onun statusu barədə vaxtında məlumatın verilməsinə təsir edən hallar mövcud olduqda, Malların Çatdırılmasından əvvəl.

b. İstifadəçi tərəfindən təqdim edilən telefon nömrəsinə mesajlar (SMS), həmçinin Xidmət keyfiyyətinin, Partnyor və/və ya Çatdırılma Xidmət Təchizatçısının qiymətləndirilməsi təklifi üçün telefon zəngi;

c. Brauzer bildirişləri (eyni zamanda, İstifadəçi mobil cihazda brauzer bildirişlərinin qəbul edilməsi funksiyasını söndürdüyü halda, Yango İstifadəçinin bu cür bildirişləri qəbul etməməsinə görə məsuliyyət daşımır və bu halda müvafiq məlumatın əldə edilməməsi üzrə risk İstifadəçinin üzərinə düşür). İstifadəçi brauzer bildirişlərinin göndərilməsi funksiyasını söndürdükdə Sifarişin çatdırılması üzrə məlumatın İstifadəçinin elektron poçt ünvanına göndərilməsinə razı olur. Bu məlumat Sifarişin çatdırılmasının mümkün olub-olmaması barədə İstifadəçiyə məlumat vermək məqsədini daşıyır.

8.3. İstifadəçi və Xidmət arasında bütün qarşılıqlı əlaqələr Yango dəstək xidməti, yəni Xidmət interfeysində mövcud olan dəstək xidmətinin çatı vasitəsilə həyata keçirilməlidir. Xidmətin funksionallığı nəticəsində İstifadəçi Yango-ya sorğuların göndərilməsi üzrə digər üsullarla da təmin edilə bilər.

8.4. Keyfiyyətə nəzarət və mübahisələrin həlli məqsədilə, Yango İstifadəçilərin Yango dəstək xidməti mütəxəssisləri, Partnyorlar və Çatdırılma Xidmət Təchizatçıları ilə olan bütün danışıqlarını və yazışmalarını qeydə ala bilər.

8.5. Xidmət Dəstəyi mütəxəssisləri İstifadəçi tərəfindən hər hansı təhqir, təhdid, nalayiq ifadə və hərəkətlərə məruz qaldığı halda, Xidmət Dəstəyi mütəxəssisi İstifadəçi ilə həm şifahi, həm də yazılı formada olan danışığı dayandıra bilər.

9. Ödəniş

9.1. Sifariş üzrə ödəniş İstifadəçi tərəfindən aşağıdakı üsullar vasitəsilə yerinə yetirilməlidir:
  • nağdsız qaydada:

    bu halda, Yango Partnyorun və Çatdırılma Xidmət Təchizatçısının adından çıxış etməli və ödənişlərin qəbulu üçün müvafiq qurumun cəlb edilməsi vasitəsilə hərəkət etməlidir. Yango nağdsız ödənişlərin həyata keçirilməsi zamanı Xidmət üzrə əməliyyatın xətasız və qüsursuz olacağına zəmanət vermir.

  • nağd qaydada (Çatdırılma Xidmət Təchizatçısı tərəfindən cəlb edilmiş üçüncü şəxsə);

    bu halda, Çatdırılma Xidmət Təchizatçısı (Çatdırılma Xidmət Təchizatçısı tərəfindən cəlb edilmiş üçüncü şəxs) Partnyorun və Yango-nun xeyrinə ödəniş məbləğinin qəbul edilməsi üzrə agent qismində çıxış edir.

9.2. Yango tərəfindən Xidmət üzrə Sifarişlər üçün ödənişlərin qəbulu yalnız Malların alqı-satqısı üzrə müqavilənin bağlanması və Çatdırılmanın Yango Deli Xidməti vasitəsilə icra edildiyi faktına əsasən həyata keçirilir.

9.3. Çatdırılma Partnyor tərəfindən müstəqil olaraq icra edildikdə və İstifadəçinin seçimi əsasında ödənişlər nağd qaydada yerinə yetirildiyi hallarda (bu cür seçim mövcud olduğu halda), Yango nağd ödənişlərin qəbul edilməsində iştirak etməyəcək.

9.4. Yango-nun mallar və xidmətlər üzrə ödəniş proseslərində iştirak etməsi heç bir halda Yango-nun İstifadəçi və Partnyor/Çatdırılma Xidmət Təchizatçısı arasında bağlanmış alqı-satqı müqaviləsi və xidmətlərin yerinə yetirilməsinin tərəfi olması kimi təfsir edilə bilməz.

9.5. Tətbiq olunan Hüquqda ayrı qayda nəzərdə tutulmadığı halda, Qəbzlərin/hesab-fakturaların məzmununun düzgünlüyü və İstifadəçilərə təqdim edilməsinə görə (Tətbiq olunan Hüquqa müvafiq olaraq, tələb olunduğu halda) əsas etibarilə Çatdırılma Xidmət Təchizatsızı və Partnyorlar məsuliyyət daşıyır.

Nağdsız qaydada ödəniş proseduru

9.6. Nağdsız qaydada ödənişin həyata keçirilməsi üçün İstifadəçi bank kartını Xidmət interfeysində əlaqələndirməlidir. Bunun həyata keçirilməsi üçün İstifadəçi aşağıdakı məlumatları qeyd etməlidir:

a. Bank kartı sahibinin adı (“kart sahibi” sahəsi);

b. Bank kartının nömrəsi

c. Qüvvədə olma müddəti;

d. Təhlükəsizlik kodu.

9.7. Əgər bank kartı üzrə məlumatlar doğrudursa və qüvvədədirsə, həmçinin bank kartının Xidmət üzrə istifadəsi texniki cəhətdən mümkündürsə, sözügedən bank kartı Xidmət üzrə əlaqələndirilir və bu zaman bank kartı nağdsız ödənişlər üçün istifadə edilə bilər. Bütün əlaqələndirilən bank kartları Xidmət interfeysində əks olunur.

9.8. Nağdsız ödənişin həyata keçirilməsi ödənişi emal edən şəxs və ya elektron pul operatorunun iştirakı ilə yerinə yetirilir. Bu cür operator/emal edən şəxs Tətbiq olunan Hüquqa müvafiq olaraq, ödənişlərin qəbul edilməsi və emal edilməsi hüququ olan səlahiyyətli şəxslər olmalıdır. Bu halda ödəniş proseduru beynəlxalq ödəniş sistemləri, banklar (Əlaqələndirilmiş Kartın emitent bankı da daxil olmaqla) və hesablaşmalar üzrə digər iştirakçıların qaydaları ilə tənzimlənir.

9.9. Bank kartını əlaqələndirərkən və əlaqələndirilmiş bank kartını istifadə edərkən İstifadəçi təsdiq edir və zəmanət verir ki, İstifadəçi adına buraxılmış bank kartı üzrə etibarlı və tam məlumatları təqdim etmişdir; İstifadəçi nağdsız ödənişlər barədə beynəlxalq ödəniş sistemlərinin qaydaları və Əlaqələndirilmiş bank kartını emissiya etmiş bankın tələblərinə riayət edir.

9.10. İstifadəçi başa düşür və razılaşır ki, Xidmətdə qeydiyyat zamanı təyin edilmiş loqin və şifr vasitəsilə avtorizasiya etdikdən sonra Əlaqələndirilmiş Bank Kartından istifadə etməklə edilmiş nağdsız ödənişlər də daxil olmaqla, Xidmət çərçivəsində yerinə yetirilən bütün əməliyyatların İstifadəçi tərəfindən yerinə yetirildiyi hesab ediləcək.

Xidmət üzrə ödəniş sorğularının nəzərdən keçirilməsi

9.11. İstifadəçinin Xidmət üzrə nağdsız ödəniş əməliyyatı, nağdsız ödənişin məbləği və ya əlaqələndirilmiş bank kartından istifadə faktı ilə bağlı hər hansı etirazı olduğu təqdirdə, İstifadəçi nağdsız ödənişin həyata keçirildiyi və ya sorğunun verilməsinə səbəb olan digər əməliyyat və ya halların yarandığı tarixdən etibarən 14 gün ərsində Yango ilə əlaqə saxlaya bilər.

9.12. Yango-nun nağdsız ödənişin tam məbləğini Partnyorun və Çatdırılma Xidmət Təchizatçısının adından qaytarmaq hüququ var. Qeyd edilən ödənişin qaytarılması nağdsız ödənişin həyata keçirildiyi bank kartına bağlı olan bank hesabına köçürülmə yolu ilə yerinə yetirilməlidir. Ödənişin qaytarılması proseduru ödənişi emal edən şəxs və ya elektron pul operatorunun iştirakı ilə həyata keçirilməlidir. Bu halda ödənişin qaytarılması proseduru beynəlxalq ödəniş sistemlərinin, bankların (Əlaqələndirilmiş Kartı emissiya edən bank da daxil olmaqla) və hesablaşmalar üzrə digər iştirakçıların qaydaları ilə tənzimlənməlidir.

9.13. Əlaqələndirilmiş bank kartı barədə məlumatlar da daxil olmaqla, Yango-nun Xidmət çərçivəsində İstifadəçinin qeyd etdiyi məlumatları təsdiq etməyi və bu barədə təsdiqedici sənədlərin (xüsusi olaraq, şəxsiyyəti təsdiq edən sənədlər) təqdim edilməsini İstifadəçidən tələb etmək hüququ var. Bu cür tələb edilən məlumatların təqdim edilməməsi Yango tərəfindən İstifadəçinin Xidmətdən istifadəsinin dayandırılması və ya İstifadəçinin hesabının blok edilməsi üçün əsasdır.

9.14. İstifadəçi Müqaviləsində qeyd edilən nağd ödənişlərlə bağlı suallar barədə İstifadəçi Partnyor və Çatdırılma Xidmət Təchizatçısı ilə əlaqə saxlaya bilər.

10. Xidmət üzrə məsuliyyət

10.1. Yango Deli məlumat xidmətini təmin edən qurum olaraq, Mallar və Partnyorlar/Çatdırılma Xidmət Təchizatçıları tərəfindən göstərilən xidmətlər barədə məlumatlara görə məsuliyyət daşımır.

Partnyorlar və Çatdırılma Xidmət Təchizatçıları Malların satışını həyata keçirən və xidmətləri icra edən şəxslər olaraq, Mallar və icra edilmiş xidmətlər barədə Tətbiq olunan Hüquqa müvafiq olaraq İstifadəçini məlumatlandırmağa görə məsuliyyət daşıyırlar.

10.2. Bundan başqa, Yango aşağıdakılar barədə məsuliyyət daşımır:
  • Xidmətin işində və ya Xidmətin bəzi funksiyalarında baş verən müvəqqəti nasazlıqlar və kəsintilər, məlumat itkisi, həmçinin məlumatın təhlükəsizliyi, düzgünlüyü və vaxtında ötürülməsi ilə əlaqədar yaranan nasazlıqlar və kəsintilər;
  • Xidmətin etibarlılığı, keyfiyyəti və sürəti, eləcə də İstifadəçi tərəfindən yaradılan, istifadə olunan və qəbul edilən məlumatların təhlükəsizliyi.

11. Xidmət üzrə promokoddan istifadə

Promokoddan istifadə və endirimin tətbiq edilməsi üzrə şərtlər

11.1. Xidmətdən istifadə zamanı İstifadəçilərə Mallar, Çatdırılma və Xidmət Haqqı üzrə endirimdən yararlanmaq imkanını özündə ehtiva edən Promokodlar təqdim edilə bilər.

11.2. Promokod yalnız Xidmət üzrə nağdsız ödəniş metodu istifadə edildikdə və yalnız fiziki mühitdə bank kartları ilə ödəniş edildikdə tətbiq edilə bilər.

11.3. İstifadəçi üçün mövcud olan Promokodların cari siyahısı Xidmətin müvafiq bölməsində əks olunur. Əgər Promokod bu cür xüsusi bölmədə əks edilmirsə, hesab edilir ki, Promokod İstifadəçi üçün mövcud deyil və tətbiq edilə bilməz.

11.4. Promokodun tətbiq edilməsindən sonra Sifarişin məbləği Xidmətdə əks etdiriləcək və Sifariş üzrə yeni məbləğ İstifadəçi Müqaviləsinin şərt və müddəalarına müvafiq olaraq İstifadəçi tərəfindən ödənilməlidir.

11.5. Promokod üzrə müvafiq endirim yalnız Promokod aktivləşdirildiyi halda tətbiq edilir.

11.6. Promokoddan istifadə etməklə endirimlər aşağıdakı qaydada (ardıcıllıqda) tətbiq edilir:

a. Malların dəyəri üzrə;

b. Malların dəyəri üzrə məbləği keçdiyi hissədə Çatdırılmanın dəyəri üzrə;

c. Çatdırılmanın dəyəri üzrə məbləği keçdiyi hissədə Xidmət Haqqı məbləği üzrə.

11.7. Promokoddan istifadə texniki səbəblərə görə mövcud olmaya bilər (mobil tətbiqin yenilənmiş versiyasının istifadə edilməməsi, Sifariş verilən zaman ödəniş metodunun dəyişdirilməməsi və s.).

11.8. Yango öhdəliklərin tam və ya lazımi qaydada icra edilməməsinə görə, həmçinin Promokodlarla bağlı İstifadəçilərə dəyən hər hansı birbaşa, dolayı, xüsusi itki və zərərlərə görə məsuliyyət daşımır. Yango-nun bu kimi hallara görə İstifadəçilərə kompensasiya ödəmək öhdəliyi yoxdur, çünki Promokodların təqdim edilməsi Yango-nun vəzifəsi deyil, hüququdur.

Promokoddan istifadə zamanı tətbiq edilən məhdudiyyətlər

11.9. Promokodun tətbiqi zamanı endirimlərin təqdim edilməsi üzrə şərt və müddəalar məhdudlaşdırıla bilər. Promokoddan istifadə şərtləri barədə məlumatlar Xidmət üzrə İstifadəçiyə ayrıca İnternet səhifəsində, reklamlarda və ya başqa formada bildirilməlidir. Bu cür şərt və müddəalar aşağıdakıları özündə ehtiva edə bilər:
  • Kart emitentlərinə dair məhdudiyyətlər (Promokod yalnız marketinq kampaniyasında iştirak edən müəyyən emitentlərin kartları ilə ödənişlər üçün tətbiq edilə bilər);
  • Xidmət üzərindən Sifarişin sıra nömrəsi ilə bağlı tələblər, məsələn Promokod yalnız birinci sifariş üzrə tətbiq edilə bilər;
  • Sifarişin tərtib edilməsi üzrə tələblər;
  • Partnyorların siyahısı üzrə məhdudiyyətlər (Promokod marketinq kampaniyasında iştirak edən müəyyən Partnyora verilmiş Sifarişlər üçün tətbiq edilə bilər).

Promokoddan istifadə barədə şərt və müddəaların yerinə yetirilməsi məxsusi olaraq Xidmət üzrə məlumatlar əsasında müəyyən edilir.

11.10. Promokodların istifadəsi və tətbiqi üzrə sui-istifadəyə yol vermək qadağandır. Promokodların qeyri-qanuni istifadəsinə və ya Promokodlardan istifadə zamanı sui-istifadəyə qarşı mübarizə məqsədilə Yango hər hansı mövcud vasitələrlə Promokodlardan düzgün istifadə edilib-edilməməsini yoxlaya bilər. Promokoddan qeyri-qanuni istifadə aşkar olunduğu halda, müvafiq sui-istifadə halları və ya Promokoddan qeyri-qanuni istifadə əsasında Yango endirimlərin tətbiqindən imtina edə bilər.

11.11. İstifadəçi Promokodun tətbiq edilməməsi əsasları barədə məlumat əldə etmək üçün Yango dəstək xidməti ilə əlaqə saxlaya bilər.

11.12. Promokodlar barədə sorğuları nəzərdən keçirərkən, Yango dəstək xidməti İstifadəçidən Promokodun əldə edilməsi və tətbiqi üzrə təsdiqedici məlumatlar tələb edə bilər (fotoşəkillər, ekran görüntülərinin təqdim edilməsi və ya digər formada). İstifadəçi bu cür təsdiqedici məlumatları təqdim etmədikdə, Yango Promokod üzrə endirimi tətbiq etməkdən imtina edə bilər.

11.13. İstifadəçi yanlış məlumat təqdim etdikdə və ya İstifadəçi Müqaviləsini hər hansı formada pozduqda, Yango-nun Promokod üzrə endirimin tətbiqindən imtina etmək hüququ var.

Promokodun qüvvədə olma müddəti və Promokoddan istifadə sayı

11.14. Promokod müəyyən müddət ərzində qüvvədədir. Promokodun qüvvədə olma müddəti İstifadəçiyə ayrıca İnternet səhifəsi, reklamlar və ya digər formada Xidmət üzrə bildirilir.

11.15. Promokodun qüvvədə olma müddəti bitdikdə Promokod qüvvədən düşmüş hesab edilir.

11.16. Promokodda, reklam materiallarında, İnternet səhifəsində və ya başqa mənbələrdə ayrı qayda nəzərdə tutulmadığı halda, İstifadəçi Promokoddan yalnız bir dəfə istifadə edə bilər.

11.17. İstifadəçi Promokodun qüvvədə olma müddəti və Promokoddan istifadə sayı barədə müvafiq məlumat üçün Yango dəstək xidməti ilə əlaqə saxlamalıdır.

Promokodun qüvvədə olduğu ərazi

11.18. Xidmət üzrə Promokodda tətbiq edilən ərazi İnternetdə ayrıca səhifədə, reklamlarda və ya digər mənbələrdə qeyd edilmədiyi halda, Promokodun tətbiq edildiyi ərazi İstifadəçinin Promokodu əldə etdiyi şəhərin hüdudları ilə məhdudlaşır.

Promokodun aktivləşdirilməsi qaydası

Promokoddan yalnız aktivləşdirildiyi halda istifadə edilə bilər. Promokoddan istifadə etmək üçün İstifadəçi Sifarişi verməzdən əvvəl Yango interfeysində mövcud olan “Promokod” sahəsinə Promokodu daxil etməli və “Tətbiq et” düyməsini sıxmalıdır.
