This License Agreement (the “License”) sets forth the terms and conditions for using the “Retail partner account” mobile application (the “Application”) for Android and iOS-based mobile devices and is concluded between "Tech E.BIZ BOL" S.R.L. (the “Licensor”) and any individual using the Application (the “User”).

1. General Provisions

1.1. By using the Application, the User agrees that the following documents are an integral part of this License, and their terms fully apply to the use of the Application:

1.2. The Application is provided to the User under a simple (non-exclusive), royalty-free license, for its intended functionality and within the scope of the Licensor’s and its partners’ operations related to fulfilling orders placed via the platforms specified in clause

1.3. The Application is intended for use by the Licensor’s partners and their authorized personnel in connection with the management of retail operations and the fulfilment of orders placed via the platforms. The Application’s functionality includes, in particular:

product catalogue management (product nomenclature, assortment and moderation);
statistics and analytics;
promotions and promotional tools;
viewing reviews;
picker management;
shift management;
management of stores and their operating hours (according to a schedule / on a shift basis);
delivery zone management;
user management;
assignment and reassignment of orders to pickers.

The functionality may be changed by the Licensor unilaterally.

1.4. By copying the Application, installing it on their mobile device, or using it in any way, the User expresses full and unconditional acceptance of all terms of the License.

1.5. Use of the Application is only permitted under the terms of this License. If the User does not fully accept the License terms, they are not entitled to use the Application for any purpose. Use of the Application in violation of any License terms is prohibited.

1.6. To register in the Application, the User must provide a phone number linked to their Yango ID. This data is used solely for identification purposes.

2. License and Permitted Use

2.1. The Licensor grants the User the right to use the Application worldwide in the following ways:

to use the Application for its intended functionality, including copying and installing (reproducing) it on the User’s device(s). The User may install the Application on an unlimited number of end devices;
to reproduce the Application in unchanged form solely for non-commercial purposes (royalty-free).

2.2. The Licensor has all necessary rights to the Application to grant the rights provided for in this License. The License does not grant the User any rights other than those explicitly set forth herein.

3. Restrictions

3.1. Except as expressly permitted by this License or the laws of Bolivia, the User may not modify, decompile, disassemble, decrypt, or otherwise manipulate the object code of the Application to extract its source code and/or obtain information about its algorithms, create derivative works based on the Application, or otherwise use it without the Licensor’s written consent. The User may only modify the Application for personal use and perform reverse engineering solely to fix errors in such modified versions. The User may not distribute, share, disclose, or otherwise use such modified versions except for personal use.

3.2. Without the Licensor’s written consent, the User may not reproduce, distribute, or make the Application publicly available in any form or by any means not explicitly permitted by this License, including in combination with other programs, as part of software collections, or bundled with other programs, settings, or products, regardless of the purpose of such use.

3.3. The Application must be used (including distributed) under the name: Retail partner account. The User may not change the name of the Application or alter/remove any copyright notice or other reference to the Licensor.

4. Use of Personal Data

4.1. To use the Application, the User provides their first name, last name, and phone number. This data is used solely for User identification within the functioning of the Application.

4.2. By uploading third-party personal data through the Application or providing such data to the Licensor for uploading, the User represents a materially significant fact: that they have a valid legal basis for such transfer and subsequent processing by the Licensor for the purpose of providing the Application’s functionality.

5. Liability and Warranties

5.1. The Application is provided “as is.” The Licensor does not warrant uninterrupted or error-free operation of the Application, its fitness for particular purposes or expectations of the User, or provide any other warranties not expressly set forth in this License.

5.2. The Licensor shall not be liable for any damage caused by the use or inability to use the Application, except as expressly required under applicable Bolivian law.

6. Updates and Amendments

6.1. This License applies to all future updates/new versions of the Application. Installing an update or new version constitutes acceptance of this License’s terms for the updated/new version unless accompanied by a different license agreement.

6.2. The Licensor may unilaterally amend the License. The current version is published at: yango.com/legal/yango_retail_partner_account_license

7. Final Provisions

7.1. This License and all relations connected with the use of the Application are governed by the laws of Bolivia. Any claims or disputes arising out of this License or use of the Application must be submitted to a court at the Licensor’s place of business.

7.2. The documents referenced in the License (including any parts thereof) may be amended unilaterally by the Licensor without special notice. The new version of the documents comes into force upon publication unless otherwise provided in the new version.

7.3. The License remains effective until the User stops using the Application or it is revoked by the Licensor.

Acuerdo de Licencia para el Uso de la Aplicación Móvil Retail Partner Account

El presente Acuerdo de Licencia (la “Licencia”) establece los términos y condiciones para el uso de la aplicación móvil “Retail partner account” (la “Aplicación”) para dispositivos móviles con sistema Android e iOS y se celebra entre “Tech E.BIZ BOL” S.R.L. (el “Licenciante”) y cualquier persona física que utilice la Aplicación (el “Usuario”).

1. Disposiciones Generales

1.1. Al utilizar la Aplicación, el Usuario acepta que los siguientes documentos forman parte integral de esta Licencia y que sus disposiciones se aplican plenamente al uso de la Aplicación:

1.2. La Aplicación se proporciona al Usuario bajo una licencia simple (no exclusiva), gratuita, para su funcionalidad prevista y dentro del ámbito de las operaciones del Licenciante y sus socios relacionadas con el cumplimiento de pedidos realizados a través de las plataformas indicadas en la cláusula 1.3.

1.3. La Aplicación está destinada al uso por parte de los socios comerciales del Licenciante y de su personal autorizado para la gestión de las operaciones comerciales y el cumplimiento de los pedidos realizados a través de las plataformas. Su funcionalidad incluye, entre otros:

gestión del catálogo de productos (nomenclatura de productos, surtido y moderación);
estadísticas y análisis;
promociones y herramientas promocionales;
visualización de reseñas;
gestión de preparadores de pedidos;
gestión de turnos;
gestión de las tiendas y de sus horarios de funcionamiento (según un horario / por turnos);
gestión de zonas de entrega;
gestión de usuarios;
asignación y reasignación de pedidos a los preparadores de pedidos.

La funcionalidad puede ser modificada unilateralmente por el Licenciante.

1.4. Al copiar la Aplicación, instalarla en su dispositivo móvil o utilizarla de cualquier manera, el Usuario manifiesta su aceptación plena e incondicional de todos los términos de la Licencia.

1.5. El uso de la Aplicación solo está permitido conforme a los términos de esta Licencia. Si el Usuario no acepta totalmente los términos, no podrá utilizar la Aplicación para ningún fin. Está prohibido su uso en violación de cualquier disposición de la Licencia.

1.6. Para registrarse en la Aplicación, el Usuario debe proporcionar un número de teléfono vinculado a su Yango ID. Estos datos se utilizan exclusivamente con fines de identificación.

2. Licencia y Uso Permitido

2.1. El Licenciante otorga al Usuario el derecho de usar la Aplicación a nivel mundial de las siguientes maneras:

utilizar la Aplicación conforme a su funcionalidad prevista, incluyendo su copia e instalación (reproducción) en el/los dispositivo(s) del Usuario. El Usuario puede instalar la Aplicación en un número ilimitado de dispositivos finales;
reproducir la Aplicación en forma inalterada exclusivamente para fines no comerciales (uso gratuito).

2.2. El Licenciante posee todos los derechos necesarios sobre la Aplicación para otorgar los derechos establecidos en esta Licencia. La Licencia no otorga al Usuario ningún otro derecho que no esté expresamente previsto en ella.

3. Restricciones

3.1. Salvo que esté expresamente permitido por esta Licencia o por la legislación de Bolivia, el Usuario no podrá modificar, descompilar, desensamblar, descifrar ni manipular de otro modo el código objeto de la Aplicación para obtener su código fuente y/o información sobre sus algoritmos, crear obras derivadas basadas en la Aplicación, ni utilizarla de otro modo sin el consentimiento escrito del Licenciante. Solo se permite la modificación para uso personal y la ingeniería inversa exclusivamente para corregir errores en dichas versiones modificadas. Estas versiones no pueden distribuirse ni utilizarse más allá del uso personal.

3.2. Sin el consentimiento escrito del Licenciante, el Usuario no podrá reproducir, distribuir ni poner la Aplicación a disposición del público en ninguna forma o por ningún medio no previsto expresamente en esta Licencia, incluyendo su combinación con otros programas, como parte de compilaciones o junto con otros productos, sin importar su propósito.

3.3. La Aplicación debe usarse (incluida su distribución) bajo el nombre: Retail partner account. El Usuario no podrá cambiar el nombre ni eliminar avisos de derechos de autor u otras referencias al Licenciante.

4. Uso de Datos Personales

4.1. Para utilizar la Aplicación, el Usuario proporciona su nombre, apellido y número de teléfono. Estos datos se usan exclusivamente para fines de identificación dentro del funcionamiento de la Aplicación.

4.2. Al subir datos personales de terceros a través de la Aplicación o proporcionarlos al Licenciante para su carga, el Usuario declara que cuenta con una base legal válida para dicha transferencia y posterior tratamiento por parte del Licenciante con el fin de ofrecer la funcionalidad de la Aplicación.

5. Responsabilidad y Garantías

5.1. La Aplicación se proporciona “tal cual”. El Licenciante no garantiza un funcionamiento ininterrumpido o libre de errores, ni su adecuación a fines específicos o expectativas del Usuario, ni otorga garantías adicionales no establecidas expresamente en esta Licencia.

5.2. El Licenciante no será responsable por daños derivados del uso o la imposibilidad de uso de la Aplicación, salvo que lo exija expresamente la legislación boliviana aplicable.

6. Actualizaciones y Modificaciones

6.1. Esta Licencia se aplica a todas las actualizaciones y nuevas versiones de la Aplicación. Instalar una actualización o nueva versión implica la aceptación de los términos de la Licencia para dicha versión, salvo que se acompañe de un acuerdo distinto.

6.2. El Licenciante podrá modificar unilateralmente esta Licencia. La versión vigente estará publicada en: https://yango.com/legal/yango_retail_partner_account/

7. Disposiciones Finales

7.1. Esta Licencia y todas las relaciones derivadas del uso de la Aplicación se rigen por la legislación de Bolivia. Cualquier disputa deberá ser sometida al tribunal competente en la sede del Licenciante.

7.2. Los documentos mencionados en la Licencia (o partes de ellos) podrán ser modificados unilateralmente por el Licenciante sin necesidad de notificación especial. La nueva versión entra en vigor al momento de su publicación, salvo que se indique lo contrario.

7.3. La Licencia permanecerá en vigor hasta que el Usuario deje de utilizar la Aplicación o esta sea revocada por el Licenciante.

Le présent contrat de licence (la «Licence») définit les conditions d’utilisation de l’application mobile «Retail partner account» (l’« Application ») destinée aux appareils mobiles sous Android, et est conclu entre FOODTECH SARL (le « Concédant») et toute personne physique utilisant l’Application (l’« Utilisateur »).

1. Dispositions générales

1.1. En utilisant l’Application, l’Utilisateur accepte que les documents suivants fassent partie intégrante de la Licence et que leurs dispositions s’appliquent pleinement à l’utilisation de l’Application :

1.2. L’Application est fournie à l’Utilisateur sous une licence simple (non exclusive), gratuite, dans le cadre de sa fonctionnalité prévue et dans le périmètre des activités du Concédant et de ses partenaires, en lien avec l’exécution des commandes passées via les plateformes mentionnées au point 1.3.

1.3. L’Application est destinée à être utilisée par les partenaires du Concédant et leur personnel autorisé dans le cadre de la gestion des activités commerciales et de l’exécution des commandes passées via les plateformes.Les fonctionnalités de l’Application incluent notamment :

gestion du catalogue de produits (nomenclature des produits, assortiment et modération) ;
statistiques et analyses ;
promotions et outils promotionnels ;
consultation des avis ;
gestion des préparateurs de commandes ;
gestion des équipes ;
gestion des magasins et de leurs horaires de fonctionnement (selon un planning / par équipes) ;
gestion des zones de livraison ;
gestion des utilisateurs ;
attribution et réattribution des commandes aux préparateurs de commandes.

Les fonctionnalités peuvent être modifiées unilatéralement par le Concédant.

1.4. En copiant l’Application, en l’installant sur un appareil mobile ou en l’utilisant de toute autre manière, l’Utilisateur exprime son acceptation pleine et sans réserve de l’ensemble des conditions de la Licence.

1.5. L’utilisation de l’Application n’est autorisée que conformément aux conditions de la Licence. Si l’Utilisateur n’en accepte pas intégralement les conditions, il ne peut pas utiliser l’Application. Toute utilisation en violation des conditions de la Licence est interdite.

1.6. Pour s’inscrire dans l’Application, l’Utilisateur doit fournir un numéro de téléphone lié à son identifiant Yango. Ces données sont utilisées uniquement à des fins d’identification.

2. Licence et utilisation autorisée

2.1. Le Concédant accorde à l’Utilisateur le droit d’utiliser l’Application dans le monde entier de la manière suivante :

utiliser l’Application conformément à sa fonctionnalité, y compris la copier et l’installer (la reproduire) sur ses appareils. L’Utilisateur peut l’installer sur un nombre illimité d’appareils ;
reproduire l’Application sans modification uniquement à des fins non commerciales (gratuite).

2.2. Le Concédant détient tous les droits nécessaires sur l’Application pour accorder les droits prévus dans la Licence. Aucune autre prérogative n’est accordée à l’Utilisateur au-delà de ce qui est expressément prévu.

3. Restrictions

3.1. Sauf disposition contraire prévue par la présente Licence ou la loi en vigueur en Côte d’Ivoire, l’Utilisateur ne peut modifier, décompiler, désassembler, décrypter ou manipuler le code objet de l’Application afin d’en extraire le code source et/ou d’obtenir des informations sur ses algorithmes, ni créer des œuvres dérivées ou l’utiliser sans l’accord écrit du Concédant. L’Utilisateur ne peut modifier l’Application que pour un usage personnel et procéder à une rétro-ingénierie uniquement pour corriger des erreurs. Les versions modifiées ne peuvent être diffusées ou partagées, sauf pour un usage personnel.

3.2. Sans le consentement écrit du Concédant, l’Utilisateur ne peut reproduire, distribuer ou rendre l’Application accessible au public sous quelque forme ou moyen que ce soit non prévu par la Licence, notamment en combinaison avec d’autres programmes, dans des compilations logicielles, ou avec d’autres produits ou configurations.

3.3. L’Application doit être utilisée (et éventuellement distribuée) sous le nom : Partner retail account. L’Utilisateur ne peut pas modifier ce nom ni supprimer/modifier toute mention de droits d’auteur ou autre mention du Concédant.

4. Données personnelles

4.1. Pour utiliser l’Application, l’Utilisateur fournit son prénom, son nom et son numéro de téléphone. Ces données sont utilisées uniquement pour l’identification de l’Utilisateur dans le cadre du fonctionnement de l’Application.

4.2. En téléversant des données personnelles de tiers via l’Application ou en les fournissant au Concédant pour téléversement, l’Utilisateur garantit avoir une base légale valable pour une telle transmission et un tel traitement par le Concédant, dans le but de permettre les fonctionnalités de l’Application.

5. Responsabilité et garanties

5.1. L’Application est fournie « en l’état ». Le Concédant ne garantit ni son bon fonctionnement, ni son adéquation à des objectifs particuliers ou aux attentes de l’Utilisateur, ni aucune autre garantie non expressément stipulée dans la Licence.

5.2. Le Concédant n’est pas responsable des dommages résultant de l’utilisation ou de l’impossibilité d’utiliser l’Application, sauf disposition contraire impérative du droit ivoirien.

6. Mises à jour et modifications

6.1. La présente Licence s’applique à toutes les futures mises à jour ou nouvelles versions de l’Application. L’installation d’une mise à jour ou version nouvelle vaut acceptation de la Licence, sauf si elle est accompagnée d’un nouveau contrat de licence.

6.2. Le Concédant peut modifier unilatéralement la Licence. La version en vigueur est publiée à l’adresse suivante: https://yango.com/legal/yango_retail_partner_account

7. Dispositions finales

7.1. La Licence ainsi que toutes les relations relatives à l’utilisation de l’Application sont régies par la législation de la République de Côte d’Ivoire. Tout litige ou réclamation découlant de la Licence ou de l’utilisation de l’Application sera soumis aux tribunaux du siège du Concédant.

7.2. Les documents mentionnés dans la Licence (y compris leurs parties) peuvent être modifiés unilatéralement par le Concédant sans notification spéciale. La nouvelle version entre en vigueur dès sa publication, sauf indication contraire.

7.3. La Licence reste en vigueur jusqu’à cessation de l’utilisation de l’Application par l’Utilisateur ou révocation par le Concédant.
