Goya by Yango Food Standards
1. TERMS AND DEFINITIONS
Yango Deli Service, Service - shall mean all websites (including, but not limited to, those posted on the Internet at: https://deli.yango.com/fr-ci, https://deli.yango.com/en-ci) and software (including programs for mobile devices) of Yango Deli or its affiliates that enable the Service User to place an Order for Goods and Delivery pursuant to the terms and conditions set forth in the User Agreement.
Yango Deli - FOODTECH SARL, a Limited Liability Company (Tax Identification Number: 2244458 C, Registration number: 0036101B; place of business: Abidjan, Cocody, Boulevard Hassan Il, Immeuble Ivoire Trade Center, Tour D, 2ème étage, 06 BP 534 Abidjan 6).
Goya by Yango Food - a section of the Service providing the User with the opportunity to place an Order for Goods and Delivery from selected premium restaurants on the terms specified in the User Agreement.
Goya Standards - this document, published on the Internet at: https://yango.com/legal/goya_standards_eats, constituting an integral part of the Offer.
Goya Packaging - branded packaging materials furnished by Yango Deli to Partners included in the Goya by Yango Food section for packaging Goods ordered through the Goya section of the Service.
Offer - the document "Yango Deli Services Offer" published on the Internet at: https://yango.com/legal/deli_offer/.
Agreement - the agreement governing the provision of Yango Deli Services entered into between the Partner and Yango Deli by the Partner's acceptance of the Offer or by signing a written agreement.
User Agreement - the document governing the procedure for placing an Order by the User, published on the Internet at: https://yango.com/legal/deli_termsofuse.
Partner, Restaurant - a legal entity having entered into an Agreement with Yango Deli on the terms of the Offer and is a customer of Yango Deli Services, engaged in the sale of Goods to Service Users when they place an Order, and performing Delivery to Service Users, if the Parties have agreed that the Partner will carry out the Delivery.
User - any natural person utilizing the Service on the terms and conditions stipulated in the User Agreement for the purpose of placing an Order for Goods and Delivery.
Order - an order for Goods and Delivery placed by the User on the Service, whereby the User enters into a Goods sales contract with the Partner and a Delivery contract with the Delivery Service Provider (or with the Partner, if the Partner performs the Delivery).
Goya Order - an Order placed by a User through the Goya by Yango Food section of the Service.
Goods - goods constituting the subject matter of a sales contract entered into between the User and the Partner by placing an Order on the Service by the User.
Delivery - the service of delivering of the Goods ordered by the User through the Service to the User.
Delivery Service Provider - an entity delivering the Goods ordered by the User (except where the Goods Delivery is performed by the Partner).
Vendor Application - an application for mobile devices running on the Android or iOS operating system, together with the web version: https://vendor.yango.com/, enabling the Parties to exchange Order data, transfer the Materials, and facilitating other interactions of the Parties, accessible to the Partner following authorization using the Partner's login and password.
Personal Account - an individual Partner page in the Vendor Application containing information about the Partner, Materials, current terms of cooperation, and other relevant information.
Materials - informational materials furnished by the Partner containing an offer to the Service Users about the purchase and sale of Goods, information about the Goods, about the Partner, together with any other information, whose disclosure to the User is required pursuant to the Applicable Law or Agreement.
Applicable Law - all laws, regulations, and normative acts, regulations, rules and codes currently in force (including, without limitation, all applicable data protection and privacy laws) within the Territory.
Territory - Republic of Côte d'Ivoire.
All other terms and definitions not specified in this document shall be construed in accordance with the provisions of the User Agreement and the Agreement.
2. GENERAL REQUIREMENTS
2.1. Goya Concept
Goya by Yango Food constitutes a curated selection of premium restaurants characterized by high-quality culinary offerings and establishments with signature dishes from renowned chefs. Goya by Yango Food enables Users to place Orders for Goods and Delivery from selected premium restaurants in accordance with the terms specified in the User Agreement.
Stores, fast-food establishments, and quick-service restaurants shall not be eligible for inclusion in Goya by Yango Food. Yango Deli conducts verification of restaurants for compliance with the Goya concept.
2.2. Eligibility Criteria
To be included and remain in the Goya by Yango Food section, the Partner shall satisfy all criteria set forth hereinafter. Yango Deli reserves the right to unilaterally amend these criteria in accordance with Clause 8.8 of the Agreement.
2.2.1. Rating Requirements
(a) The Partner's rating on the Service (for Partners that are already customers of the Yango Deli Services) shall be no less than 4.8 out of 5.0.
(b) For new Partners not yet using the Service, Yango Deli shall be entitled to conduct a preliminary quality assessment before inclusion in Goya by Yango Food.
2.2.2. Cancellation and Rejection Rate
(a) The Partner shall maintain a cancellation rate of less than 0.5% of Orders placed by Users at the Partner's establishment.
(b) The Partner shall maintain a rejection rate of less than 1.0% of Orders.
(c) These rates shall be calculated on the basis of Order statistics on the Service over the preceding calendar month in accordance with the Statistics Data maintained by Yango Deli pursuant to Clause 3.4 of the Agreement.
2.2.3. Average Order Value
(a) The Partner's average order value (excluding alcohol and delivery fees) over the last month as of the date of application shall be no less than 15,000 FCFA (excluding VAT).
(b) For Partners that are already customers of the Yango Deli Services, this is calculated based on Order statistics on the Service.
2.2.4. Service Availability
(a) The Partner's availability on the Service shall be no less than 90% during declared operating hours over the last month as of the date of application.
(b) Yango Deli shall verify compliance with this criterion based on statistics in the Vendor Application.
2.2.5. Preparation Time Standards
(a) The Partner shall confirm acceptance of Orders via the Vendor Application or API within 3 minutes of receipt, in accordance with Clause 3.7 of the Agreement.
(b) The Partner shall complete Order preparation within the time indicated in the Vendor Application, with a maximum of 30 minutes from Order confirmation for standard dishes.
(c) Average preparation time exceeding the indicated time by more than 15% over a calendar month may give rise to a review of the Partner's Goya participation.
3. QUALITY STANDARDS
3.1. Menu Requirements
(a) The Partner shall maintain a Goya-specific menu with high-quality photographs meeting Yango Deli Service standards as specified in Clause 4.4 of the Agreement.
(b) All menu items shall contain accurate descriptions, including ingredients, portion sizes, and allergen information as applicable, in compliance with Applicable Law.
(c) Menu prices must be current and accurate at all times in accordance with Clause 8.14 of the Agreement.
(d) The Partner shall update the menu without undue delay to reflect any changes in availability, pricing, or ingredients, providing Materials to Yango Deli in advance in accordance with the requirements of Clause 8.16 of the Agreement.
(e) The Partner shall offer no fewer than 10 menu items available through the Goya by Yango Food section.
3.2. Food Quality Standards
(a) All Goods shall be prepared fresh for each Order and meet the quality standards expected of premium dining.
(b) The Partner shall ensure that Goods maintain appropriate temperature upon handover to the Delivery Service Provider.
(c) The Partner shall ensure that presentation of Goods is consistent with menu photographs and appropriate for delivery.
(d) The Partner shall utilize exclusively fresh, high-quality ingredients in the preparation of Goods.
3.3. Hygiene and Safety
(a) The Partner shall comply strictly with all applicable food safety and hygiene regulations of Côte d'Ivoire in accordance with the requirements of Clause 14.1 of the Agreement.
(b) The Partner shall maintain all Mandatory Documents, including required health and safety certifications and licenses.
(c) Yango Deli reserves the right to request documentation confirming compliance with hygiene standards in accordance with Clause 8.17 of the Agreement.
4. PACKAGING REQUIREMENTS
4.1. Goya Packaging Obligations
(a) The Partner included in Goya by Yango Food must use exclusively the Goya Packaging provided by Yango Deli for all Goya Orders, in accordance with Clause 8.28(b) of the Agreement.
(b) The Partner shall not utilize Goya Packaging for any orders outside of the Goya by Yango Food section or for any other purpose, as specified in Clause 8.28(f) of the Agreement.
(c) Packaging must preserve the temperature, presentation, and form of dishes during delivery.
(d) Packaging shall not be deformed, damaged, or soiled when handed over to the Delivery Service Provider.
4.2. Provision of Goya Packaging
(a) Yango Deli shall provide Goya Packaging to the Partner in accordance with Clause 8.4 of the Agreement, upon request of the Partner through the Vendor Application or by e-mail.
(b) Yango Deli shall independently determine the content, quantity, and delivery schedule of Goya Packaging.
(c) Yango Deli reserves the right to unilaterally adjust the quantity and content of Goya Packaging provided in response to the Partner's request.
(d) The conditions for provision of Goya Packaging (free of charge, at cost, or otherwise) are specified on the Partner Page or in the Personal Account, or communicated separately by Yango Deli.
4.3. Care and Return of Materials
(a) The Partner shall maintain Goya Packaging in proper condition.
(b) The Partner shall bear responsibility for any loss and/or damage to Goya Packaging.
(c) Upon exclusion from Goya by Yango Food or termination of the Agreement, the Partner shall return all unused Goya Packaging and branding materials to Yango Deli within 10 calendar days, as specified in Clause 8.28(g) of the Agreement.
4.4. Trademark License
(a) By participating in Goya by Yango Food, the Partner shall receive a non-exclusive, non-transferable license to use the Goya trademark and branding exclusively on Goya Packaging provided by Yango Deli and exclusively for the purpose of fulfilling Goya Orders.
(b) The Partner shall not modify, alter, or reproduce Goya branding materials absent prior written consent from Yango Deli.
(c) The license granted under this clause shall terminate automatically upon the Partner's exclusion from Goya by Yango Food or termination of the Agreement.
(d) The use of Goya branding is subject to the intellectual property provisions set forth in Clause 8.9 of the Agreement.
5. PROMOTIONAL ACTIVITIES
5.1. Participation in Goya Promotions
(a) The Partner undertakes to participate in promotional activities designated for Goya by Yango Food Partners as communicated by Yango Deli, in accordance with Clause 8.28(e) of the Agreement.
(b) The terms, conditions, and cost-sharing arrangements for each promotion shall be communicated to the Partner via the Vendor Application or by e-mail in advance. Co-financed Promotions shall be governed by Clause 3.10 of the Agreement.
(c) The Partner shall be entitled to decline participation in a specific promotional activity by providing notice to Yango Deli at least 48 hours before the promotion start date.
(d) Repeated refusal to participate in Goya promotional activities (more than 3 refusals in a calendar quarter) may give rise to a review of the Partner's Goya participation and potential exclusion pursuant to Clause 8.5.1(c) of the Offer.
5.2. Marketing Communications
(a) By participating in Goya by Yango Food, the Partner hereby consents to the utilization of the Partner's name, logo, menu items, and photographs in Yango Deli's marketing and promotional materials for the Goya by Yango Food section, in accordance with Clause 8.9 of the Agreement.
(b) Yango Deli shall endeavor to coordinate significant marketing materials featuring the Partner in advance where practicable, provided that such coordination shall not be mandatory for standard Goya promotional activities.
6. COMMUNICATION AND SERVICE STANDARDS
6.1. Order Communication
(a) The Partner shall monitor the Vendor Application continuously during declared operating hours as specified in Clause 17.11 of the Agreement.
(b) The Partner must confirm or reject Orders via the Vendor Application or API within 3 minutes of receipt, in accordance with Clause 3.7 of the Agreement.
(c) If the Partner cannot fulfill an Order in full, the Partner shall contact the User via the phone number provided by Yango Deli to agree on changes, or cancel the Order, in accordance with Clause 8.26 of the Agreement.
6.2. Delivery Handover
(a) The Partner must ensure Goya Orders are ready for handover to the Delivery Service Provider within the preparation time indicated in the Vendor Application.
(b) The Partner must ensure proper packaging and sealing of Orders before handover using Goya Packaging.
(c) The Partner shall verify Order contents against the Order details before handover to the Delivery Service Provider.
(d) Upon Delivery by the Partner, the Partner shall transmit information indicating that the Goods Delivery has been completed to Yango Deli via the Vendor Application or API no later than 1 hour after the Delivery, in accordance with the requirements of Clause 3.9 of the Agreement.
7. MONITORING AND EXCLUSION
7.1. Performance Monitoring
(a) Yango Deli shall continuously monitor Partner performance on the basis of Statistics Data, including:
• User ratings and reviews
• Cancellation and rejection rates
• Preparation time compliance
• User complaints
• Packaging and quality standards compliance
(b) Yango Deli shall be entitled to conduct periodic quality assessments, including supervisory measures as permitted under Clause 8.7 of the Agreement.
(c) Yango Deli shall be entitled to perform any actions to verify the Partner's proper and good-faith fulfillment of obligations, as specified in Clause 8.7 of the Agreement.
7.2. Grounds for Exclusion
In accordance with Clause 8.5.1 of the Agreement, Yango Deli shall be entitled to unilaterally exclude the Partner from the Goya by Yango Food section under any of the following circumstances:
(a) The Partner's rating falls below 4.6 for two consecutive calendar months.
(b) The Partner's cancellation rate exceeds 0.5% for two consecutive calendar months.
(c) The Partner's rejection rate exceeds 1.0% for two consecutive calendar months.
(d) The Partner fails to meet preparation time standards for more than 20% of Orders in a calendar month.
(e) The Partner fails to use Goya Packaging for Goya Orders or uses Goya Packaging for non-Goya orders, in violation of Clause 8.28(b) or 8.28(f) of the Agreement.
(f) The Partner is in receipt of repeated User complaints regarding food quality, presentation, or service, indicating non-compliance with premium service standards.
(g) The Partner repeatedly refuses to participate in Goya promotional activities as specified in Clause 5.1(d) of these Goya Standards and Clause 8.5.1(c) of the Agreement.
(h) The Partner breaches any other material provision of these Goya Standards or the Agreement.
7.3. Exclusion Procedure
(a) Unless immediate exclusion is warranted due to serious violations, Yango Deli shall notify the Partner of non-compliance and grant a seven (7) calendar day cure period to remedy the issue.
(b) If the Partner fails to remedy the non-compliance within the cure period, Yango Deli shall be entitled to proceed with exclusion.
(c) Exclusion from Goya by Yango Food shall take effect upon delivery of notification to the Partner via e-mail or the Vendor Application, as specified in Clause 8.5.1 of the Agreement.
(d) In accordance with Clause 3.11.3 of the Agreement, exclusion from Goya by Yango Food shall not affect the provision to Partner of the standard Yango Deli Service, unless the grounds for exclusion also constitute a breach of the Agreement entitling Yango Deli to suspend the provision of the Service and/or terminate the Agreement.
7.4. Re-application
(a) A Partner excluded from Goya by Yango Food shall be entitled to re-apply for inclusion after 3 calendar months from the date of exclusion.
(b) Re-application shall be conditional upon satisfying all eligibility criteria set forth in Section 2 of these Goya Standards.
(c) Yango Deli reserves the right to refuse re-inclusion at its discretion if the Partner does not meet the criteria of good faith and reliability, in accordance with Clause 10.6 of the Agreement.
8. LIABILITY
8.1. Penalties
(a) In case of violation by the Partner of the obligations under Clause 8.28 of the Agreement (Goya by Yango Food Obligations), Yango Deli shall be entitled to demand payment of a penalty in accordance with Clause 16.11 of the Agreement.
(b) In case of violation by the Partner of the obligation not to distribute advertising materials without consent, as stipulated in Clause 8.22 of the Agreement, Yango Deli may demand a penalty in accordance with Clause 16.10 of the Agreement.
8.2. Indemnification
The Partner hereby undertakes to resolve disputes and settle claims of third parties arising from or in connection with the Partner's participation in Goya by Yango Food, Goya Orders, Goya Packaging, Materials or any other information provided by the Partner in connection with Goya by Yango Food, and to compensate losses caused to Yango Deli, as specified in the Agreement.
9. FINAL PROVISIONS
9.1. Amendments
(a) Yango Deli reserves the right to amend these Goya Standards at any time in its sole discretion, in accordance with Clause 8.8 of the Agreement.
(b) Amendments shall enter into force upon publication of the amended text on the Internet at the address specified in Section 1 of these Goya Standards, unless another effective date for entering into force is expressly specified during such posting, in accordance with Clause 11.3 of the Agreement.
(c) Continued participation in Goya by Yango Food following the effective date of any amendments shall constitute acceptance of such amendments. The Partner shall be entitled to terminate participation in accordance with Clause 8.32 of the Agreement if the Partner does not agree with the amendments.
9.2. Language
(a) These Goya Standards are executed in English and French.
(b) In case of any discrepancy between the English and French versions, the French version shall take precedence within Côte d'Ivoire.
9.3. Governing Law
(a) These Goya Standards shall be governed by and construed in accordance with the Applicable Law of the Republic of Côte d'Ivoire.
(b) All issues not regulated by these Goya Standards shall be regulated in accordance with the Agreement and the substantive law in force within the Territory, as specified in Clause 17.1 of the Agreement.
9.4. Integral Part of the Agreement
(a) These Goya Standards constitute an integral part of the Agreement entered into between the Partner and Yango Deli in accordance with the Agreement, as specified in Clause 3.1 of the Agreement.
(b) In the event of any conflict between these Goya Standards and the Agreement, the provisions of the Agreement shall take precedence, save with respect to Goya-specific requirements set forth herein.
