YANGO MOTORS CLASSIFIED TERMS OF USE

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING YANGO MOTORS CLASSIFIED:

1. Definitions

In these Terms and Conditions, the following terms and expressions shall have the following meaning:

1.1. "Account" shall mean the personal account of the Owner on Yango Motors Classified available online at https://motors.yango.com, which contains information about the Owner, his or her Vehicles, their status, other data needed for the use of the Service in accordance with Yango ID Terms of use available online https://yango.com/legal/yangoid_tou/en/.

1.2. "Listing" shall mean the Owner Materials provided by the Owner and placed on the Yango Motors Classified interface to provide the User with information about the Owner's offer to enter into a sale purchase agreement in accordance with the conditions offered by the Owner. This Listing might be placed in website available online at https://motors.yango.com.

1.3. “Contact Request” shall mean the User’s action of viewing the Owner’s contact details through Yango Motors Classified in order to contact the Owner directly regarding a Vehicle.

1.4. "Country" shall mean Republic of Côte d'Ivoire.

1.5. "Owner" shall mean any natural or legal person who owns a Vehicle that they wish to offer for sale by placing a Listing about it on Yango Motors Classified.

1.6. "Owner Materials" shall mean the informational materials containing information about the Vehicle, offers to potential Buyers , including the price, images of the Vehicle, descriptions of the Vehicle, and other details.

1.7. "Regulatory Documents" shall mean:

i. Privacy Policy available at https://yango.com/legal/yango_motors_class_privacy_notice.

1.8. "Sale" shall mean the transfer of ownership of the Vehicle by the Owner to the User for the purchase price agreed by the User and the Owner.

1.9. "Terms" shall mean these Terms of Use governing the User's use of Yango Motors Classified, available online at https://yango.com/legal/yango_motors_class_e_service_user.

1.10. "User" shall mean an adult internet user who has registered in Yango Motors Classified in accordance with Yango ID Terms of use available online https://yango.com/legal/yangoid_tou/en/, accepted the Terms and Conditions available online at https://yango.com/legal/yango_motors_class_e_service_user and wants to purchase a Vehicle.

1.11. "Vehicle" shall mean any transport vehicle that its Owner offers for sale through Yango Motors Classified.

1.12. "Yango" shall mean RideTechnology Global FZ-LLC.

1.13. "Yango Motors Classified" or the "Service" shall mean the Yango Motors Classified electronic platform designed to allow Owners to place Listings about the Vehicles they offer for sale and to allow Users to access these Listings, view the Owners’ contact details after logging in, and contact the Owners directly to discuss the sale of Vehicles.

2. General Provisions

2.1. These Terms constitute an offer by Yango to a User to use the Yango Motors Classified service in the Country. Yango is not a party to the sale purchase agreement that the User may enter into with the Owner, being a third party in that relationship.

2.2. The User's use of the Service is governed by these Terms.

2.3. By beginning to use the Service / certain functions thereof, the User is deemed to accept these Terms and the provisions of the Regulatory Documents, in their entirety, without reservations or exceptions. If the User does not agree with any provision of the Terms and/or Regulatory Documents, the User may not use the Service.

2.4. Yango may modify the provisions of these Terms and of the Regulatory Documents at any time without any separate notice to the User. The User shall independently monitor any changes to these Terms and the Regulatory Documents. By continuing to access or use the Service after any changes take effect, the User is deemed to have accepted the latest version of these Terms and the Regulatory Documents. The latest version of this document is available at: https://yango.com/legal/yango_motors_class_e_service_user.

2.5. The User assumes the risk arising from not reviewing a new version of the Terms and the Regulatory Documents. Any continued use of the Service after the Terms or Regulatory Documents have been modified shall be deemed acceptance of the new version.

2.6. The User shall stop using the Service if they do not agree with any of the modifications that Yango has made to these Terms as set forth in clause 2.4 of these Terms.

2.7. The Service allows the User to access free of charge the Listings of vehicles that Owners wish to sell, view the Owners’ contact details after logging in, consult the offers of Owners offering Vehicles for sale, and search for such offers using the parameters established by the User.

2.8. All functions of the Service currently available, as well as any new feature and/or recently added function, are subject to these Terms.

2.9. Depending on the User's region, some or all functions of the Service may be inaccessible or limited. Functions are considered inaccessible (limited) for the User from a certain region if such User cannot explicitly use them. It is prohibited to apply any technical or software-based method to circumvent these limitations. The provisions of this document governing the functions of the Service that are inaccessible (limited) for the User shall apply until such functions are explicitly accessible to the User. Information about the accessibility of the Service's functions in a certain region will be provided to the User upon request sent to Yango.

2.10. For the avoidance of doubt, Yango does not provide any sale service, does not offer Vehicles for sale, and does not act as an agent of either the User or the Owner.

BY USING THE SERVICE YOU ACKNOWLEDGE THAT YANGO DOES NOT PROVIDE ANY VEHICLE SALE SERVICE NOR FUNCTION AS A VEHICLE SALE AGENT AND THAT ALL SUCH SALE SERVICES AND SALE OFFERS AND LISTINGS ARE PROVIDED BY THIRD PARTIES – OWNERS, WHO ARE NOT EMPLOYEES OF YANGO OR ANY OF ITS AFFILIATES. THE RELATIONSHIPS BETWEEN YOU AND THE OWNERS IN THE SALE OF VEHICLES ARE GOVERNED BY THE RELEVANT AGREEMENTS BETWEEN YOU AND THE OWNERS; YANGO IS NOT A PARTY TO THESE AGREEMENTS.

2.11. Yango shall not be liable, under or in connection with these Terms, whether in contract, tort (including negligence), misrepresentation, breach of a statutory duty, or otherwise, for any special, punitive, indirect, or consequential loss, whether or not such party has been informed of the likelihood of such loss or damage.

2.12. Yango shall not be liable for the content published by the Owners, nor for the contractual or other relationships that arise between the User and the Owner through the Service.

2.13. All conversations that the User holds with the Service's support team may be recorded to monitor quality and improve services.

3. Use of the Service. Certain Functions of the Service

3.1. The Service is provided to the User for personal and non-commercial use free of charge.

3.2. The information about the Vehicles and the Sale offers thereof (hereinafter referred to as the Information) is provided by the Owners. For more information about the Owners and the Vehicles, the User may view the Owner’s contact details after logging in and contact the Owner directly outside the Service, including by phone or messaging applications, where available.

3.3. Yango shall not be liable for the content and/or relevance of the information provided by the Owners, including the information about the sale price and the current availability of the Vehicles. The User shall independently discuss (without Yango's involvement) the sale of Vehicles with the Owners in accordance with the Owners' rules on the provision of services. Yango shall not be liable for the financial or any other type of transactions carried out by the User and the Owners, nor for the consequences of the use of Yango Motors Classified and the Sale of Vehicles by the User.

3.4. Yango reserves the right, at its own discretion, to limit the User's access to the Service (or to certain functions of the Service, if technologically feasible) using the User's account or to block the User's entire account in the event of multiple breaches of these Terms, or to take any other measure against the User to comply with legislative requirements or the legitimate rights and interests of third parties.

3.5. Yango processes the personal data of Users and Owners to provide the Service. Users and Owners retain the right of access, deletion or rectification and other rights under applicable law and in accordance with the Privacy Notice. Yango helps Users and Owners connect and agree on the sale of vehicles. For this purpose, Yango transfers the data of the Users to the Owners and vice versa. 3.6. Yango reserves the right, at its own discretion, to limit and/or suspend the provision of Yango Motors Classified (or certain functions of the Service, if technologically feasible) in the Country at any time it deems necessary for any reason.

3.7. Yango does not charge any commission or fee for the use of the Service. Yango does not collect, hold, process, or transfer sale price. All payments, charges, deposits, and refunds are agreed and made directly between the User and the Owner, without Yango's intervention.

3.8. Any terms of a potential sale of a Vehicle, including the price, payment method, delivery or handover arrangements, inspections, cancellation of negotiations, and any other conditions, are discussed and agreed directly between the User and the Owner without Yango’s involvement.

3.9. Yango may, without being obligated to do so, take measures aimed at verifying the identity or background of the User or the Owner, including the verification of driving licenses, cross-checking against third-party databases, and obtaining reports from service providers or public records, to the extent permitted by applicable law. Yango does not guarantee the accuracy of such verifications nor assume any liability arising from them.

3.10. Yango does not provide insurance, damage coverage, or any guarantee with respect to the Vehicles or the Sale. The User is responsible for damage to the Vehicle, as well as for fines and traffic violations that occur after the Sale. The allocation of liability for damage is governed by the agreement between the User and the Owner.

3.11. The Service may contain links to third-party websites, applications, services, or resources subject to different terms and privacy practices. Yango is not responsible for any aspect of such third-party services, and links to them do not constitute an endorsement by Yango.

3.12. Unless otherwise indicated, all notices and communications to Users shall be made by electronic means, by means of Service notifications, or to the email address provided by the User.

4. Governing Law and Dispute Resolution

4.1. The Agreement and any non-contractual obligations arising out of or in connection with the Agreement shall be governed by and construed in accordance with the laws of England and Wales without regard to the conflict of law provisions.

4.2. Any dispute, difference, controversy or claim arising out of or in connection with this Agreement, including (but not limited to) any question regarding its existence, validity, interpretation, performance, discharge and applicable remedies, shall be referred to and finally resolved by arbitration under the Arbitration Rules of the Dubai International Arbitration Centre, which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat of arbitration shall be Dubai, United Arab Emirates. The language to be used in the arbitration shall be English.

1. Définitions

Dans les présentes Conditions générales, les termes et expressions suivants auront la signification suivante :

1.1. « Compte » désigne le compte personnel du Propriétaire sur Yango Motors Classified, disponible en ligne à l’adresse https://motors.yango.com, qui contient des informations concernant le Propriétaire, ses Véhicules, leur statut, ainsi que d’autres données nécessaires à l’utilisation du Service conformément aux Conditions d’utilisation de Yango ID disponibles en ligne à l’adresse https://yango.com/legal/yangoid_tou/en/.

1.2. « Annonce » désigne les Éléments du Propriétaire fournis par le Propriétaire et publiés sur l’interface de Yango Motors Classified afin de fournir à l’Utilisateur des informations concernant l’offre du Propriétaire de conclure un contrat de vente conformément aux conditions proposées par le Propriétaire. Cette Annonce peut être publiée sur le site web disponible en ligne à l’adresse https://motors.yango.com.

1.3. « Demande de contact » désigne l’action de l’Utilisateur consistant à consulter les coordonnées du Propriétaire via Yango Motors Classified afin de contacter directement le Propriétaire au sujet d’un Véhicule.

1.4. « Pays » désigne la République de Côte d’Ivoire.

1.5. « Propriétaire » désigne toute personne physique ou morale qui possède un Véhicule qu’elle souhaite proposer à la vente en publiant une Annonce le concernant sur Yango Motors Classified.

1.6. « Éléments du Propriétaire » désigne les documents et informations contenant des renseignements sur le Véhicule et les offres faites aux acheteurs potentiels, y compris le prix, les images du Véhicule, les descriptions du Véhicule et d’autres détails.

1.7. « Documents réglementaires » désigne :

i. la Politique de confidentialité disponible à l’adresse https://yango.com/legal/yango_motors_class_privacy_notice.

1.8. « Vente » désigne le transfert de propriété du Véhicule par le Propriétaire à l’Utilisateur pour le prix d’achat convenu entre l’Utilisateur et le Propriétaire.

1.9. « Conditions » désigne les présentes Conditions d’utilisation régissant l’utilisation de Yango Motors Classified par l’Utilisateur, disponibles en ligne à l’adresse https://yango.com/legal/yango_motors_class_e_service_user.

1.10. « Utilisateur » désigne un internaute majeur qui s’est inscrit sur Yango Motors Classified conformément aux Conditions d’utilisation de Yango ID disponibles en ligne à l’adresse https://yango.com/legal/yangoid_tou/en/, a accepté les Conditions générales disponibles en ligne à l’adresse https://yango.com/legal/yango_motors_class_e_service_user et souhaite acheter un Véhicule.

1.11. « Véhicule » désigne tout véhicule de transport que son Propriétaire propose à la vente via Yango Motors Classified.

1.12. « Yango » désigne RideTechnology Global FZ-LLC.

1.13. « Yango Motors Classified » ou le « Service » désigne la plateforme électronique Yango Motors Classified conçue pour permettre aux Propriétaires de publier des Annonces concernant les Véhicules qu’ils proposent à la vente et permettre aux Utilisateurs d’accéder à ces Annonces, de consulter les coordonnées des Propriétaires après connexion et de contacter directement les Propriétaires afin de discuter de la vente de Véhicules

2. Dispositions générales

2.1. Les présentes Conditions constituent une offre de Yango à l’Utilisateur pour utiliser le service Yango Motors Classified dans le Pays. Yango n’est pas partie au contrat de vente que l’Utilisateur peut conclure avec le Propriétaire, étant un tiers à cette relation.

2.2. L’utilisation du Service par l’Utilisateur est régie par les présentes Conditions.

2.3. En commençant à utiliser le Service ou certaines de ses fonctionnalités, l’Utilisateur est réputé accepter les présentes Conditions ainsi que les dispositions des Documents réglementaires dans leur intégralité, sans réserves ni exceptions. Si l’Utilisateur n’accepte pas une quelconque disposition des Conditions et/ou des Documents réglementaires, il ne peut pas utiliser le Service.

2.4. Yango peut modifier à tout moment les dispositions des présentes Conditions et des Documents réglementaires, sans notification séparée à l’Utilisateur. L’Utilisateur doit consulter de manière indépendante toute modification des présentes Conditions et des Documents réglementaires. En continuant à accéder au Service ou à l’utiliser après l’entrée en vigueur de toute modification, l’Utilisateur est réputé avoir accepté la dernière version des présentes Conditions et des Documents réglementaires. La dernière version du présent document est disponible à l’adresse https://yango.com/legal/yango_motors_class_e_service_user.

2.5. L’Utilisateur assume le risque découlant du fait de ne pas consulter une nouvelle version des Conditions et des Documents réglementaires. Toute utilisation continue du Service après modification des Conditions ou des Documents réglementaires sera réputée constituer une acceptation de la nouvelle version.

2.6. L’Utilisateur doit cesser d’utiliser le Service s’il n’accepte pas l’une quelconque des modifications apportées par Yango aux présentes Conditions conformément à la clause 2.4 des présentes Conditions.

2.7. Le Service permet à l’Utilisateur d’accéder gratuitement aux Annonces de véhicules que les Propriétaires souhaitent vendre, de consulter les coordonnées des Propriétaires après connexion, de consulter les offres des Propriétaires proposant des Véhicules à la vente et de rechercher ces offres à l’aide des paramètres définis par l’Utilisateur.

2.8. Toutes les fonctionnalités du Service actuellement disponibles, ainsi que toute nouvelle fonctionnalité et/ou fonction récemment ajoutée, sont soumises aux présentes Conditions.

2.9. Selon la région de l’Utilisateur, certaines ou toutes les fonctionnalités du Service peuvent être inaccessibles ou limitées. Les fonctionnalités sont considérées comme inaccessibles ou limitées pour l’Utilisateur depuis une certaine région si cet Utilisateur ne peut pas les utiliser expressément. Il est interdit d’appliquer toute méthode technique ou logicielle visant à contourner ces limitations. Les dispositions du présent document régissant les fonctionnalités du Service inaccessibles ou limitées pour l’Utilisateur s’appliqueront jusqu’à ce que ces fonctionnalités soient expressément accessibles à l’Utilisateur. Les informations relatives à l’accessibilité des fonctionnalités du Service dans une région donnée seront fournies à l’Utilisateur sur demande adressée à Yango.

2.10. Pour éviter toute ambiguïté, Yango ne fournit aucun service de vente, ne propose pas de Véhicules à la vente et n’agit pas en qualité d’agent de l’Utilisateur ou du Propriétaire.

EN UTILISANT LE SERVICE, VOUS RECONNAISSEZ QUE YANGO NE FOURNIT AUCUN SERVICE DE VENTE DE VÉHICULES ET N’AGIT PAS EN QUALITÉ D’AGENT DE VENTE DE VÉHICULES, ET QUE TOUS CES SERVICES DE VENTE, OFFRES DE VENTE ET ANNONCES SONT FOURNIS PAR DES TIERS — LES PROPRIÉTAIRES — QUI NE SONT PAS DES EMPLOYÉS DE YANGO NI DE L’UNE DE SES SOCIÉTÉS AFFILIÉES. LES RELATIONS ENTRE VOUS ET LES PROPRIÉTAIRES DANS LE CADRE DE LA VENTE DE VÉHICULES SONT RÉGIES PAR LES ACCORDS PERTINENTS CONCLUS ENTRE VOUS ET LES PROPRIÉTAIRES ; YANGO N’EST PAS PARTIE À CES ACCORDS.

2.11. Yango ne pourra être tenue responsable, au titre des présentes Conditions ou en lien avec celles-ci, que ce soit en matière contractuelle, délictuelle (y compris en cas de negligence), de fausse déclaration, de violation d’une obligation légale ou autrement, de toute perte spéciale, punitive, indirecte ou consécutive, que cette partie ait ou non été informée de la probabilité d’une telle perte ou d’un tel dommage.

2.12. Yango ne pourra être tenue responsable du contenu publié par les Propriétaires, ni des relations contractuelles ou autres qui naissent entre l’Utilisateur et le Propriétaire via le Service.

2.13. Toutes les conversations que l’Utilisateur tient avec l’équipe d’assistance du Service peuvent être enregistrées afin de contrôler la qualité et d’améliorer les services.

3. Utilisation du Service. Certaines fonctionnalités du Service

3.1. Le Service est fourni à l’Utilisateur à titre gratuit pour un usage personnel et non commercial.

3.2. Les informations relatives aux Véhicules et aux offres de Vente les concernant (ci-après les « Informations ») sont fournies par les Propriétaires. Pour obtenir davantage d’informations sur les Propriétaires et les Véhicules, l’Utilisateur peut consulter les coordonnées du Propriétaire après connexion et contacter directement le Propriétaire en dehors du Service, notamment par téléphone ou via des applications de messagerie, lorsqu’elles sont disponibles.

3.3. Yango ne pourra être tenue responsable du contenu et/ou de la pertinence des informations fournies par les Propriétaires, y compris les informations relatives au prix de vente et à la disponibilité actuelle des Véhicules. L’Utilisateur doit discuter de manière indépendante (sans intervention de Yango) de la vente des Véhicules avec les Propriétaires conformément aux règles des Propriétaires relatives à la fourniture de services. Yango ne pourra être tenue responsable des transactions financières ou de tout autre type de transactions effectuées par l’Utilisateur et les Propriétaires, ni des conséquences de l’utilisation de Yango Motors Classified et de la Vente de Véhicules par l’Utilisateur.

3.4. Yango se réserve le droit, à sa seule discrétion, de limiter l’accès de l’Utilisateur au Service (ou à certaines fonctionnalités du Service, si cela est techniquement possible) en utilisant le compte de l’Utilisateur, ou de bloquer l’intégralité du compte de l’Utilisateur en cas de violations multiples des présentes Conditions, ou de prendre toute autre mesure à l’encontre de l’Utilisateur afin de se conformer aux exigences légales ou aux droits et intérêts légitimes de tiers.

3.5. Yango traite les données personnelles des Utilisateurs et des Propriétaires afin de fournir le Service. Les Utilisateurs et les Propriétaires conservent le droit d’accès, de suppression ou de rectification ainsi que les autres droits prévus par la loi applicable et conformément à l’Avis de confidentialité. Yango aide les Utilisateurs et les Propriétaires à entrer en contact et à convenir de la vente de véhicules. À cette fin, Yango transfère les données des Utilisateurs aux Propriétaires et inversement. Pour plus d’informations sur le traitement des données personnelles, veuillez consulter l’Avis de confidentialité de Yango Motors Classified à l’adresse https://yango.com/legal/yango_motors_class_privacy_notice.

3.6. Yango se réserve le droit, à sa seule discrétion, de limiter et/ou de suspendre la fourniture de Yango Motors Classified (ou de certaines fonctionnalités du Service, si cela est techniquement possible) dans le Pays à tout moment qu’elle juge nécessaire et pour quelque raison que ce soit.

3.7. Yango ne facture aucune commission ni aucuns frais pour l’utilisation du Service. Yango ne collecte, ne détient, ne traite ni ne transfère le prix de vente. Tous les paiements, frais, dépôts et remboursements sont convenus et effectués directement entre l’Utilisateur et le Propriétaire, sans intervention de Yango.

3.8. Toutes les conditions d’une vente potentielle d’un Véhicule, y compris le prix, le mode de paiement, les modalités de livraison ou de remise, les inspections, l’arrêt des négociations et toute autre condition, sont discutées et convenues directement entre l’Utilisateur et le Propriétaire, sans intervention de Yango.

3.9. Yango peut, sans y être tenue, prendre des mesures visant à vérifier l’identité ou les antécédents de l’Utilisateur ou du Propriétaire, y compris la vérification des permis de conduire, le recoupement avec des bases de données de tiers et l’obtention de rapports auprès de prestataires de services ou de registres publics, dans la mesure permise par la loi applicable. Yango ne garantit pas l’exactitude de ces vérifications et n’assume aucune responsabilité en découlant.

3.10. Yango ne fournit aucune assurance, couverture des dommages ou garantie concernant les Véhicules ou la Vente. L’Utilisateur est responsable des dommages causés au Véhicule, ainsi que des amendes et infractions au code de la route survenant après la Vente. La répartition de la responsabilité pour les dommages est régie par l’accord conclu entre l’Utilisateur et le Propriétaire.

3.11. Le Service peut contenir des liens vers des sites web, applications, services ou ressources de tiers soumis à des conditions et pratiques de confidentialité différentes. Yango n’est responsable d’aucun aspect de ces services tiers, et les liens vers ceux-ci ne constituent pas une approbation de la part de Yango.

3.12. Sauf indication contraire, tous les avis et communications adressés aux Utilisateurs seront effectués par voie électronique, au moyen de notifications du Service, ou à l’adresse électronique fournie par l’Utilisateur.

4. Droit applicable et règlement des différends

4.1. Le Contrat et toute obligation non contractuelle découlant du Contrat ou s’y rapportant seront régis et interprétés conformément aux lois d’Angleterre et du Pays de Galles, sans égard aux règles relatives aux conflits de lois.

4.2. Tout différend, désaccord, controverse ou réclamation découlant du présent Contrat ou s’y rapportant, y compris, sans limitation, toute question relative à son existence, sa validité, son interprétation, son exécution, sa résiliation et les recours applicables, sera soumis et définitivement tranché par arbitrage conformément au Règlement d’arbitrage du Centre d’arbitrage international de Dubaï, lequel Règlement est réputé être incorporé par référence à la présente clause. Le nombre d’arbitres sera d’un. Le siège de l’arbitrage sera Dubaï, Émirats arabes unis. La langue de l’arbitrage sera l’anglais.
