YANGO GARAGE TERMS OF USE

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING YANGO GARAGE:

1. Definitions.

In these Terms and Conditions, the following terms and expressions shall have the following meaning:

1.1. "Account" shall mean the Owner's personal account in Yango Garage, which contains information about the Owner, including their previous Bookings, their status, and other data necessary for the use of the Service.

1.2. "Listing" shall mean the Owner Materials provided by the Owner and placed on the Yango Garage interface to provide the User with information about the Owner's offer to enter into a rental agreement in accordance with the conditions offered by the Owner. This Listing might be placed in app or in website.

1.3. "Booking" shall mean a request sent by the User to the Owner made through Yango Garage, which contains information about the Vehicle, the rental period, and other relevant information.

1.4. "Country" shall mean Peru.

1.5. "Owner" shall mean any natural or legal person who owns a Vehicle that they wish to offer for rent for car-sharing activities by placing a Listing about it on Yango Garage.

1.6. "Owner Materials" shall mean the informational materials containing information about the Vehicle, offers to potential Renters, including the price, images of the Vehicle, descriptions of the Vehicle, and other details.

1.7. "Regulatory Documents" shall mean:

i. License Agreement for Yango Pro for Mobile Devices available at https://yango.com/legal/yangopro_mobile_agreement.

ii. Privacy Policy available at https://yango.com/legal/yango_garage_privacy_notice.

1.8. "Rental" or "Lease" shall mean the making available of the Vehicle to the User by the Owner for its temporary possession for a fee agreed between the User and the Owner.

1.9. "Terms" shall mean these Terms of Use governing the User's use of Yango Garage, available online at https://yango.com/legal/yango_garage_termsofuse.

1.10. "User" or "Renter" shall mean an adult Internet user who has registered in the Yango Pro application and has accepted the Terms and Regulatory Documents.

1.11. "Vehicle" shall mean any transport vehicle that its Owner offers for rent through Yango Garage.

1.12. "Yango" shall mean RideTechnology Global FZ-LLC.

1.13. "Yango Garage" or the "Service" shall mean the Yango Garage electronic platform designed to allow Owners to place Listings about the Vehicles they offer for rent and to allow Users to access these Listings to make Bookings and agree with the Owners on the rental of Vehicles.

2. General Provisions.

2.1. These Terms constitute an offer by Yango to a User to use the Yango Garage service in the Country. Yango is not a party to the rental agreement that the User may enter into with the Owner, being a third party in that relationship.

2.2. The User's use of the Service is governed by these Terms.

2.3. By beginning to use the Service / certain functions thereof, the User is deemed to accept these Terms and the provisions of the Regulatory Documents, in their entirety, without reservations or exceptions. If the User does not agree with any provision of the Terms and/or Regulatory Documents, the User may not use the Service.

2.4. Yango may modify the provisions of these Terms and of the Regulatory Documents at any time. Yango will notify the User of material modifications by electronic means with reasonable advance notice before they take effect and, where applicable, will require acceptance of the updated version in order to continue using the Service. 2.5. The User assumes the risk arising from not reviewing a new version of the Terms and the Regulatory Documents. Any continued use of the Service after the Terms or Regulatory Documents have been modified shall be deemed acceptance of the new version.

2.6. The User shall stop using the Service if they do not agree with any of the modifications that Yango has made to these Terms as set forth in clause 2.4 of these Terms.

2.7. The Service allows the User to access free of charge the Listings of vehicles that Owners wish to rent, as well as to send rental requests to Owners, consult the offers of Owners offering Vehicles for rent, and search for such offers using the parameters established by the User.

2.8. All functions of the Service currently available, as well as any new feature and/or recently added function, are subject to these Terms.

2.9. Depending on the User's region, some or all functions of the Service may be inaccessible or limited. Functions are considered inaccessible (limited) for the User from a certain region if such User cannot explicitly use them. It is prohibited to apply any technical or software-based method to circumvent these limitations. The provisions of this document governing the functions of the Service that are inaccessible (limited) for the User shall apply until such functions are explicitly accessible to the User. Information about the accessibility of the Service's functions in a certain region will be provided to the User upon request sent to Yango.

2.10. For the avoidance of doubt, Yango does not provide any rental service, does not offer Vehicles for rent, and does not act as an agent of either the User or the Owner.

BY USING THE SERVICE YOU ACKNOWLEDGE THAT YANGO DOES NOT PROVIDE ANY VEHICLE RENTAL SERVICE NOR FUNCTION AS A VEHICLE RENTAL AGENT AND THAT ALL SUCH RENTAL SERVICES AND RENTAL OFFERS AND LISTINGS ARE PROVIDED BY THIRD PARTIES – OWNERS, WHO ARE NOT EMPLOYEES OF YANGO OR ANY OF ITS AFFILIATES. THE RELATIONSHIPS BETWEEN YOU AND THE OWNERS IN THE RENTAL OF VEHICLES ARE GOVERNED BY THE RELEVANT AGREEMENTS BETWEEN YOU AND THE OWNERS; YANGO IS NOT A PARTY TO THESE AGREEMENTS.

2.11. Yango shall not be liable, under or in connection with these Terms, whether in contract, tort (including negligence), misrepresentation, breach of a statutory duty, or otherwise, for any special, punitive, indirect, or consequential loss, whether or not such party has been informed of the likelihood of such loss or damage.

2.12. Yango shall not be liable for the content published by the Owners, nor for the contractual or other relationships that arise between the User and the Owner through the Service.

2.13. All conversations that the User holds with the Service's support team may be recorded to monitor quality and improve services.

3. Use of the Service. Certain Functions of the Service.

3.1. The Service is provided to the User for personal and non-commercial use free of charge.

3.2. The information about the Vehicles and the rental offers thereof (hereinafter referred to as the Information) is provided by the Owners. For more information about the Owners and the Vehicles, contact the Owners directly. The User may contact the Owners or provide their contact details through the functions of the Service so that the Owners independently contact the User and provide them with information about the offered Vehicles.

3.3. Yango shall not be liable for the content and/or relevance of the information provided by the Owners, including the information about the rental price and the current availability of the Vehicles. The User shall independently discuss (without Yango's involvement) the rental of Vehicles with the Owners in accordance with the Owners' rules on the provision of services. Yango shall not be liable for the financial or any other type of transactions carried out by the User and the Owners, nor for the consequences of the use of Yango Garage and the rental of Vehicles by the User.

3.4. Yango reserves the right, at its own discretion, to limit the User's access to the Service (or to certain functions of the Service, if technologically feasible) using the User's account or to block the User's entire account in the event of multiple breaches of these Terms, or to take any other measure against the User to comply with legislative requirements or the legitimate rights and interests of third parties.

3.5. Yango processes the personal data of Users and Owners to provide the Service. Users and Owners retain the right of access, deletion or rectification and other rights under applicable law and in accordance with the Privacy Notice. Yango helps Users and Owners connect and agree on the rental of vehicles. For this purpose, Yango transfers the data of the Users to the Owners and vice versa. 3.6. Yango reserves the right, at its own discretion, to limit and/or suspend the provision of Yango Garage (or certain functions of the Service, if technologically feasible) in the Country at any time it deems necessary for any reason.

3.7. Yango does not charge any commission or fee for the use of the Service. Yango does not collect, hold, process, or transfer rental payments. All payments, charges, deposits, and refunds are agreed and made directly between the User and the Owner, without Yango's intervention.

3.8. The cancellation conditions, refunds, and resolution of any issue related to a Booking are governed exclusively by the conditions agreed between the User and the Owner. Yango does not establish or enforce cancellation policies and shall not be liable for the return of any amount.

3.9. The User and the Owner are responsible for any modification of a Booking that they agree to, including changes to the dates, price, period, or conditions of the Vehicle, as well as for the payment of any additional amount, charge, or tax associated with such modification.

3.10. Yango may, without being obligated to do so, take measures aimed at verifying the identity or background of the User or the Owner, including the verification of driving licenses, cross-checking against third-party databases, and obtaining reports from service providers or public records, to the extent permitted by applicable law. Yango does not guarantee the accuracy of such verifications nor assume any liability arising from them.

3.11. Yango does not provide insurance, damage coverage, or any guarantee with respect to the Vehicles or the rental. The Owner is responsible for ensuring that the Vehicle has the insurance required by applicable law and is in a condition suitable for driving. The User is responsible for damage to the Vehicle, as well as for fines and traffic violations that occur during the rental period. The allocation of liability for damage is governed by the agreement between the User and the Owner.

3.12. The User shall return the Vehicle to the Owner at the end of the rental period and in the agreed conditions. The Owner shall have the right to recover the Vehicle and to impose the reasonable late-return penalties that have been agreed with the User, to the extent permitted by applicable law. Yango is not a party to such agreement.

3.13. The Service may contain links to third-party websites, applications, services, or resources subject to different terms and privacy practices. Yango is not responsible for any aspect of such third-party services, and links to them do not constitute an endorsement by Yango.

3.14. Unless otherwise indicated, all notices and communications to Users shall be made by electronic means, through the Yango Pro application, by means of Service notifications, or to the email address provided by the User.

4. Governing Law and Dispute Resolution.

4.1. The Terms and Conditions and any non-contractual obligation arising out of or in connection with the Terms of Use shall be governed by and construed in accordance with the laws of the Republic of Peru, without regard to conflict-of-law provisions.

4.2. Any dispute, difference, controversy, or claim arising out of or in connection with these Terms of Use, including (without limitation) any question regarding its existence, validity, interpretation, performance, compliance, and applicable remedies, shall be referred to and finally resolved by arbitration in accordance with the Arbitration Rules of the Lima International Arbitration Center, which Rules are deemed incorporated by reference into this clause. The number of arbitrators shall be one. The seat of the arbitration shall be the city of Lima, Peru. The language to be used in the arbitration shall be Spanish.

TÉRMINOS DE USO DE YANGO GARAGE

LEA ATENTAMENTE ESTOS TÉRMINOS Y CONDICIONES ANTES DE ACCEDER O UTILIZAR YANGO GARAGE:

1. Definiciones.

En estos Términos y Condiciones, los siguientes términos y expresiones tendrán el siguiente significado:

1.1. “Cuenta” significará la cuenta personal del Propietario en Yango Garage, que contiene información sobre el Propietario, incluidas sus Reservas anteriores, su estado y otros datos necesarios para el uso del Servicio.

1.2. “Anuncio” significará los Materiales del Propietario proporcionados por el Propietario y colocados en la interfaz de Yango Garage para proporcionar al Usuario información sobre la oferta del Propietario para celebrar un contrato de arrendamiento de acuerdo con las condiciones ofrecidas por el Propietario. Este anuncio podrá constar en la app o en sitio web.

1.3. “Reserva” significará una solicitud enviada por el Usuario al Propietario realizada a través de Yango Garage, que contiene información sobre el Vehículo, el período de alquiler y otra información relevante.

1.4. “País” significará Perú.

1.5. “Propietario” significará cualquier persona física o jurídica propietaria de un Vehículo que desea ofrecer en alquiler para actividades de transporte compartido colocando un Anuncio al respecto en Yango Garage.

1.6. “Materiales del Propietario” significará los materiales informativos que contienen información sobre el Vehículo, ofertas a posibles Arrendatarios, incluido el precio, imágenes del Vehículo, descripciones del Vehículo y otros detalles.

1.7. “Documentos Normativos” significará:

i. Acuerdo de Licencia para Yango Pro para Dispositivos Móviles disponible en https://yango.com/legal/yangopro_mobile_agreement.

ii. Política de Privacidad disponible en https://yango.com/legal/yango_garage_privacy_notice

1.8. “Alquiler” o “Arrendamiento” significará la puesta a disposición del Vehículo al Usuario por parte del Propietario para su posesión temporal por una tarifa acordada entre el Usuario y el Propietario.

1.9. “Términos” significará estos Términos de Uso que rigen el uso de Yango Garage por parte del Usuario, disponibles en línea en https://yango.com/legal/yango_garage_termsofuse.

1.10. “Usuario” o “Arrendatario” significará a un usuario adulto de Internet que se ha registrado en la aplicación Yango Pro, ha aceptado los Términos y Documentos Normativos.

1.11. “Vehículo” significará cualquier vehículo de transporte que su Propietario ofrezca en arrendamiento a través de Yango Garage.

1.12. “Yango” significará RideTechnology Global FZ-LLC.

1.13. “Yango Garage” o el “Servicio” significará la plataforma electrónica de Yango Garage diseñada para permitir a los Propietarios colocar Anuncios sobre los Vehículos que ofrecen para alquiler y permitir a los Usuarios tener acceso a estos Anuncios para realizar Reservas y acordar con los Propietarios el alquiler de Vehículos.

2. Disposiciones generales.

2.1. Estos Términos constituyen una oferta de Yango a un Usuario para utilizar el servicio Yango Garage en el País. Yango no forma parte del contrato de arriendo que el Usuario pueda acordar con el Propietario, siendo un tercero en dicha relación.

2.2. El uso del Servicio por parte del Usuario se rige por estos Términos.

2.3. Al comenzar a utilizar el Servicio / ciertas funciones del mismo, se considera que el Usuario acepta estos Términos y las disposiciones de los Documentos Normativos, en su totalidad, sin reservas ni excepciones. Si el Usuario no está de acuerdo con alguna disposición de los Términos y/o Documentos Normativos, el Usuario no podrá utilizar el Servicio.

2.4. Yango podrá modificar las disposiciones de estos Términos y de los Documentos Normativos en cualquier momento. Yango notificará al Usuario las modificaciones sustanciales por medios electrónicos con antelación razonable a su entrada en vigor y, cuando corresponda, requerirá la aceptación de la versión actualizada para continuar utilizando el Servicio. 2.5. El Usuario asume el riesgo que surge de no revisar una nueva versión de los Términos y los Documentos Normativos. Cualquier uso continuado del Servicio después de que se hayan modificado los Términos o los Documentos Normativos se considerará como la aceptación de la nueva versión.

2.6. El Usuario deberá dejar de utilizar el Servicio si no está de acuerdo con alguna de las modificaciones que Yango haya realizado a estos Términos tal y como se establece en la cláusula 2.4 de estos Términos.

2.7. El Servicio permite al Usuario acceder de forma gratuita a los Anuncios de vehículos que los Propietarios deseen alquilar, así como enviar solicitudes de alquiler a los Propietarios, consultar las ofertas de los Propietarios que ofrecen Vehículos en alquiler y buscar dichas ofertas utilizando los parámetros establecidos por el Usuario.

2.8. Todas las funciones del Servicio actualmente disponibles, así como cualquier novedad y/o función recién añadida, están sujetas a estos Términos.

2.9. Dependiendo de la región del Usuario, algunas o todas las funciones del Servicio pueden ser inaccesibles o limitadas. Las funciones se consideran inaccesibles (limitadas) para el Usuario desde una determinada región si dicho Usuario no puede usarlas explícitamente. Está prohibido aplicar cualquier método técnico o basado en software para eludir estas limitaciones. Las disposiciones del presente documento que rigen las funciones del Servicio inaccesibles (limitadas) para el Usuario se aplicarán hasta que dichas funciones sean explícitamente accesibles para el Usuario. La información sobre la accesibilidad de las funciones del Servicio en una determinada región se proporcionará al Usuario tras su solicitud enviada a Yango.

2.10. Para evitar cualquier duda, Yango no proporciona ningún servicio de alquiler, no ofrece Vehículos en alquiler y no actúa como agente ni del Usuario ni del Propietario.

AL UTILIZAR EL SERVICIO USTED RECONOCE QUE YANGO NO PROPORCIONA NINGÚN SERVICIO DE ALQUILER DE VEHÍCULOS NI FUNCIONA COMO AGENTE DE ALQUILER DE VEHÍCULOS Y QUE TODOS ESOS SERVICIOS DE ALQUILER Y OFERTAS Y ANUNCIOS DE ALQUILER SON PROPORCIONADOS POR TERCEROS – PROPIETARIOS, QUE NO SON EMPLEADOS DE YANGO O NINGUNO DE SUS AFILIADOS. LAS RELACIONES ENTRE USTED Y LOS PROPIETARIOS EN EL ALQUILER DE VEHÍCULOS ESTÁN REGULADAS POR ACUERDOS PERTINENTES ENTRE USTED Y LOS PROPIETARIOS, YANGO NO ES PARTE DE ESTOS ACUERDOS.

2.11. Yango no será responsable, en virtud de estos Términos o en relación con ellos, ya sea por contrato, agravio (incluida la negligencia), tergiversación, incumplimiento de una obligación legal o de otro modo, de ninguna pérdida especial, punitiva, indirecta o consecuente, ya sea que dicha parte haya sido informada o no de la probabilidad de dicha pérdida o daño.

2.12. Yango no será responsable del contenido publicado por los Propietarios, ni de las relaciones contractuales o de otro tipo que surjan entre el Usuario y el Propietario a través del Servicio.

2.13. Todas las conversaciones que el Usuario mantenga con el equipo de soporte del Servicio podrán ser grabadas para controlar la calidad y mejorar los servicios.

3. Uso del Servicio. Algunas funciones del Servicio.

3.1. El Servicio se proporciona al Usuario para uso personal y no comercial de forma gratuita.

3.2. La información sobre los Vehículos y las ofertas de alquiler de los mismos (en adelante denominada la Información) es proporcionada por los Propietarios. Para obtener más información sobre los Propietarios y los Vehículos, comuníquese directamente con los Propietarios. El Usuario podrá contactar con los Propietarios o facilitar sus datos de contacto a través de las funciones del Servicio para que los Propietarios contacten de forma independiente al Usuario y le faciliten información sobre los Vehículos ofertados.

3.3. Yango no será responsable del contenido y/o la relevancia de la información proporcionada por los Propietarios, incluida la información sobre el precio del alquiler y la disponibilidad actual de los Vehículos. El Usuario deberá discutir de forma independiente (sin la participación de Yango) el alquiler de Vehículos con los Propietarios de acuerdo con las normas de los Propietarios sobre la prestación de servicios. Yango no será responsable de las transacciones financieras o de cualquier otro tipo efectuadas por el Usuario y los Propietarios ni de las consecuencias del uso de Yango Garage y el alquiler de Vehículos por parte del Usuario.

3.4. Yango se reserva el derecho, a su propia discreción, de limitar el acceso del Usuario al Servicio (o a ciertas funciones del Servicio, si es tecnológicamente factible) utilizando la cuenta del Usuario o bloquear la cuenta completa del Usuario en caso de múltiples infracciones de estos Términos, o tomar cualquier otra medida contra el Usuario para respetar los requisitos legislativos o los derechos e intereses legítimos de terceros.

3.5. Yango procesa los datos personales de los Usuarios y de los Propietarios para proporcionar el Servicio. Los Usuarios y los Propietarios conservan el derecho de acceso, eliminación o rectificación y otros derechos según la ley aplicable y de acuerdo con el Aviso de Privacidad. Yango ayuda a los Usuarios y Propietarios a conectarse y acordar el alquiler de los vehículos. Para este propósito, Yango transfiere los datos de los Usuarios a los Propietarios y viceversa. 3.6. Yango se reserva el derecho, a su propia discreción, de limitar y/o suspender la prestación de Yango Garage (o ciertas funciones del Servicio, si es tecnológicamente factible) en el País en cualquier momento que lo considere necesario por cualquier motivo.

3.7. Yango no cobra comisión alguna ni cargo por el uso del Servicio. Yango no recauda, retiene, procesa ni transfiere los pagos del alquiler. Todos los pagos, cargos, depósitos y reembolsos se acuerdan y realizan directamente entre el Usuario y el Propietario, sin intervención de Yango.

3.8. Las condiciones de cancelación, los reembolsos y la resolución de cualquier incidencia relacionada con una Reserva se rigen exclusivamente por las condiciones acordadas entre el Usuario y el Propietario. Yango no establece ni hace cumplir políticas de cancelación y no será responsable de la devolución de importe alguno.

3.9. El Usuario y el Propietario son responsables de cualquier modificación de una Reserva que acuerden, incluidos los cambios en las fechas, el precio, el período o las condiciones del Vehículo, así como del pago de cualquier importe, cargo o impuesto adicional asociado a dicha modificación.

3.10. Yango podrá, sin estar obligado a ello, adoptar medidas destinadas a verificar la identidad o los antecedentes del Usuario o del Propietario, incluida la verificación de licencias de conducir, el cotejo con bases de datos de terceros y la obtención de informes de proveedores de servicios o de registros públicos, en la medida permitida por la ley aplicable. Yango no garantiza la exactitud de dichas verificaciones ni asume responsabilidad alguna derivada de ellas.

3.11. Yango no proporciona seguro, cobertura de daños ni garantía alguna respecto de los Vehículos o del alquiler. El Propietario es responsable de asegurar que el Vehículo cuente con el seguro exigido por la ley aplicable y se encuentre en condiciones aptas para circular. El Usuario es responsable de los daños al Vehículo, así como de las multas e infracciones de tránsito que se produzcan durante el período de alquiler. La asignación de responsabilidad por daños se rige por el acuerdo entre el Usuario y el Propietario.

3.12. El Usuario deberá devolver el Vehículo al Propietario al término del período de alquiler y en las condiciones acordadas. El Propietario tendrá derecho a recuperar el Vehículo y a imponer las penalidades razonables por devolución tardía que se hayan acordado con el Usuario, en la medida permitida por la ley aplicable. Yango no es parte de dicho acuerdo.

3.13. El Servicio puede contener enlaces a sitios web, aplicaciones, servicios o recursos de terceros sujetos a términos y prácticas de privacidad distintos. Yango no es responsable de ningún aspecto de dichos servicios de terceros y los enlaces a ellos no constituyen un respaldo por parte de Yango.

3.14. Salvo que se indique lo contrario, todas las notificaciones y comunicaciones a los Usuarios se realizarán por medios electrónicos, a través de la aplicación Yango Pro, mediante notificaciones del Servicio o al correo electrónico facilitado por el Usuario.

4. Derecho aplicable y resolución de disputas.

4.1. Los Términos y Condiciones y cualquier obligación no contractual que surja de o en conexión con los Términos de Uso se regirán e interpretarán de conformidad con las leyes de LA República del Perú sin tener en cuenta las disposiciones sobre conflicto de leyes.

4.2. Cualquier disputa, diferencia, controversia o reclamación que surja de estos Términos de Uso o en relación con ellos, incluyendo (sin limitarse a) cualquier cuestión relativa a su existencia, validez, interpretación, ejecución, cumplimiento y recursos aplicables, se remitirá y resolverá definitivamente mediante arbitraje de conformidad con las Reglas de Arbitraje del Centro Internacional de Arbitraje de Lima, cuyas Reglas se consideran incorporadas por referencia a esta cláusula. El número de árbitros será uno. La sede del arbitraje será la ciudad de Lima, Perú. El idioma que se utilizará en el arbitraje será el español.
