THE SPECIFIC TERMS FOR YANGO ADS SPACE SERVICES
Your use of the Services is governed by the Master Services Agreement for Yango Customers https://yango.com/legal/msa_terms (the “MSA”) incorporated here by means of reference.
By using and(or) accessing the Yango Ads Space Services you agree and accept the MSA in full. If you do not agree to the MSA or these Specific Terms, you must not use (or you must stop using) the Platform or the Services.
In the event of a conflict between a provision of the MSA and a provision of these Specific Terms, the provision of the Specific Terms shall prevail.
CONTENTS
1. DEFINITIONS
“Ad Campaign” means the aggregate of Ads ordered by the Customer with respect to which the Services are rendered under the Agreement in accordance with the Terms. Each Ad Campaign may contain one or more Ads.
“Conversion” means a user’s desired action set by the Customer as a target (one of targets) of the Ad Campaign. Whether or not a Conversion is performed shall be determined according to Yango’s Statistics system.
“CPA” (“Cost Per Action”, or “Cost Per Acquisition”) means a type of a «Pay Per Result» pricing model according to which the Service fee is defined based on the costs of Conversions attributed to Ad placement.
"KPI" means pricing model available to the Customer and used to calculate the Service fee which shall be either CPA or ROAS, or other pricing model agreed by the Parties in Writing.
"Network Properties" means Third Parties’ websites (including desktop, tablet and other mobile device versions), computer programs, mobile apps, other digital media, as well as their content and components (information, files and other data included in the Properties), i.e., not owned, operated, or controlled by Yango and its Affiliates, but on which Yango has a contractual right to serve Ads.
"Platform" means the Yango's online platform accessible to the Customers at https://space.yango.com.
“ROAS” (“Return on Ad Spend”) means a type of a «Pay Per Result» pricing model, according to which the Service fee is defined based on the revenue generated by the Customer attributed to Ad placement.
“Services” (“Yango Ads Space Services”) means digital advertising services related to the placement of the Ads on the Sites aiming at e-commerce businesses to retarget its existing users and attract new users. Ads are placed in the format of interactive advertising banners with dynamic content that are created automatically based on the Customer’s product feed and Content.
"Site(s)" means Yango Properties and(or) Network Properties.
“Terms” (“Specific Terms”) means these Specific Terms for Yango Ads Space Services published at: https://yango.com/legal/ecomm.
"Yango Properties" means the Platform and websites (including desktop, tablet and other mobile device versions), computer programs, mobile apps, other digital media, as well as their content and components (information, files and other data included in the Properties), owned, operated or controlled by Yango and(or) its Affiliates.
The terms not defined in this Section 1 shall have the meaning given in the MSA.
2. PROVISION OF THE SERVICES
2.1. Subject to Clauses 2.3.2, 3.1 and Section 4 of the Terms, Yango shall provide the Customer with Yango Ads Space Services.
2.2. The Customer Interface. The Customer will be provided with an access to a Customer Interface on the Platform by using the Customer’s Ya Passport ID or by creating a new Customer’s account with use the Customer’s unique email and password. Through the Customer Interface on the Platform the Customer shall be enabled to access the status, settings and Statistics of Ad Campaigns.
2.3. Ad Campaign launch.
2.3.1. The Services are provided on a managed model, i.e., with support by the Yango’s Representative.
2.3.2. To launch an Ad Campaign the Customer shall provide Yango’s Representative, via e-mail specified in the Service Order, with the Customer’s Content which includes a product feed and a high-resolution logotype, and also communicate the Ad Campaign parameters, including pricing model (targeted KPI), targeting options, total budget to spend for selected period, the start and end dates of the Ad Campaign, any other Ad delivery scheduling, Ad placement requirements and provides further instructions for the purpose of the Ad Campaign setting.
2.3.3. The Yango’s Representative will perform the implementation of the communicated parameters to the Platform.
2.4. Each new Ad Campaign launch, its budget spent as well as their alterations will be performed by Yango’s Representative subject to the Customer’s Written approval. Notwithstanding the aforementioned, the Customer acknowledges and agrees that Yango’s Representative may, at its sole discretion, modify parameters of the Ad Campaign for the best needs and benefits of the Customer.
2.5. The suspension or termination of an Ad Campaign shall be done upon the Customer’s Written request to a Yango’s Representative within two (2) Business Days after its receipt.
2.6. The Yango’s obligation to provide the Services within an Ad Campaigns shall be deemed fulfilled when the Ads are placed on the Sites.
3. FEE AND PRICING MODEL
3.1. For the Services provided hereunder the Customer shall pay a fee within the payment period agreed on in Service Order and(or) schedules to the Agreement.
3.2. The fee for the Services provided to the Customer shall be calculated for a Reporting Period in accordance with the chosen KPI:
3.2.1. with respect to Services payable on a CPA model - as a sum of the factual costs of Ad- attributable Conversions delivered during the respective Reporting Period, with due consideration of the target CPA set by the Customer;
3.2.2. with respect to Services payable on a ROAS model - as a sum of a ratio of the revenue, generated by the Customer per Ad-attributable Conversion, and the factual ROAS valid on the actual date of the click on the Ad, to which the Conversion is attributed to, with due consideration of the target ROAS set by the Customer. The sum of all Conversions delivered during the Reporting period is used.
For the purposes of ROAS model, “Conversion” shall always mean “a purchase”.
3.2.3. The Parties may choose to apply other KPI for the Service fee calculation. In which case the method should be agreed by the Parties in Writing.
3.3. In case you receive Conversions that are attributed to the user’s clicks on the Ad made in the previous Reporting Period, we will invoice you for such Conversions for the current Reporting Period. In this case, for the purposes of calculation of the fee we will use the KPI that were valid on the actual date of the click.
3.4. The Customer acknowledges and agrees that it may receive a post-stop Ad Campaign invoice for Conversions related to clicks on the Ads that occurred during the active Ad Campaign period (the “attribution window”). The maximum duration of the attribution window is thirty (30) calendar days.
3.5. Target KPIs shall be set excluding VAT and other indirect taxes and charges.
4. POLICIES AND TECHNICAL REQUIREMENTS
4.1. By entering into the Agreement, the Customer confirms that it has read, accepted and agrees to be bound by the following documents:

4.2. To start an Ad campaign the Customer is required to install the "Yango Pixel” (counter code) on their website (or Tag Manager) in order for Yango to technically support such Ad placement. This pixel is created and available in the Customer Interface on the Platform.
4.3. For the purposes of the Services, the Ads are created with the Customer’s Content using the constructor functionality in the Customer Interface. The catalog is used to generate interactive advertising banners with dynamic content.
The Customer is allowed to supply the product feed (or a catalog file) in a CSV, TSV, or XML format, or via API. The catalog must include at least the following fields: Product ID | Product Title | Product Description | Product Link | Product Image_Link | Product Price. The catalog must contain up-to-date information on the advertised products sold on the website and(or) mobile application and be regularly updated.
Additional changes may be made to the banner parameters and elements through the Customer Interface, such as (but not limited to): logotype, promotions, background colors, buttons and discounts colors. Banner preview is available in the Customer Interface. The Customer shall be solely liable for the content of the Ads created while utilizing the constructor functionality.
4.4. The Customer acknowledges and agrees that Yango has no obligation to monitor or edit the content of the Ads. Notwithstanding the foregoing, Yango has the right to remove or block any Ad if Yango determines, at its sole and absolute discretion, that such action is appropriate to prevent errors or any other harm to the Platform, Sites where Ads are places and(or) to comply with applicable law or the Policies, or to avoid or limit Yango's liability.
4.5. The Customer may be provided with opportunity to launch mobile application Ad Campaigns. In order for Yango to technically support such type of Ad placement the Customer is required to work through an MMP (Mobile Measurement Partner). The following MMPs are available to be supported by Yango: Adjust, Appsflyer, Branch, Singular, and AppMetrica.
