YANGO PLUS PARTNER PROGRAM TERMS

(hereinafter referred to as the “Terms” and the “Program” respectively)

1. GENERAL TERMS

1.1. Yango Plus Partner Program is a standing commercial and marketing program operated by FOODTECH SARL, Limited Liability Company, place of business: Abidjan, Cocody, Boulevard Hassan Il, Immeuble Ivoire Trade Center, Tour D, 2ème étage, 06 BP 534 Abidjan 6, registration number: 0036101B (hereinafter referred to as “Yango Deli” or the “Organizer”).

1.2. These Terms establish the terms and conditions for participation of Partners in the Program and are posted on the Internet at: https://yango.com/legal/plus_partner_program_civ .

1.3. The Program is not a lottery, does not contain elements of chance or risk, does not require payment during the Introductory Free Period and is conducted within the territory of Côte d’Ivoire.

1.4. The purpose of the Program is to increase Partners’ interest in the Service, Partner visibility, Partner demand and User engagement, as well as to provide Partners with access to commercial, marketing, subscriber-related and/or discoverability opportunities within the Yango Plus subscription ecosystem.

1.5. Participants of the Program may be legal entities or individual entrepreneurs (hereinafter referred to as “Partners”) that have entered into an agreement with Yango Deli for the use of Yango Deli Service and/or provision of goods and related services through the Service, including by signing an agreement in writing, accepting the Yango Deli Services Offer, accepting another offer, or otherwise joining the Yango Deli Service, have a Personal Account in the Vendor Application and meet eligibility criteria determined by Yango Deli.

1.6. Eligibility for participation in the Program is determined by Yango Deli at its sole discretion based on rating, GMV, number of orders, operational quality, geography, availability, service quality, compliance, technical readiness and other commercial, operational and technical criteria.

1.7. Yango Deli may include eligible Partners in the Program by default and may include, exclude or suspend Partners from the Program at its discretion based on objective business, technical, operational, commercial or compliance criteria.

1.8. The Partner acknowledges that participation in the Program does not guarantee any specific placement, ranking, number of orders, GMV, revenue, conversion, traffic or other commercial result.

1.9. The Partner shall comply with these Terms, the agreement entered into between Yango Deli and the Partner, the Yango Deli Services Offer, if applicable, and applicable law.

1.10. Other terms used in these Terms shall have the meanings provided in the Yango Deli Services Offer (available at https://yango.com/legal/deli_offer/, as amended, supplemented, restated or replaced from time to time) or other agreement entered into between Yango Deli and the Partner.

2. INTRODUCTORY FREE PERIOD AND OPT-OUT

2.1. The Partner may be included in the Program for an introductory free period of three (3) months from the date of notification of the Partner’s inclusion in the Program or another date specified in the Personal Account or other notice (hereinafter referred to as the “Introductory Free Period”).

The purpose of the Program is to increase Yango Deli's order volume, revenue and subscriber base by expanding the range of services and offers available to Yango Plus subscribers, while also providing Partners with access to commercial, marketing, subscriber-related and discoverability opportunities within the Yango Plus subscription ecosystem.

2.2. During the Introductory Free Period, the Partner participates in the Program without payment of the Program Fee.

2.3. Yango Deli informs the Partner about inclusion in the Program through the Personal Account in the Vendor Application and/or other available communication channels.

2.4. The Partner has the right to opt out of the Program at any time before the end of the Introductory Free Period by contacting support through the Personal Account in the Vendor Application or by using another method made available by Yango Deli.

2.5. Yango Deli may send the Partner additional notices and reminders about participation in the Program, the end date of the Introductory Free Period, the Program Fee and the opt-out procedure through the Personal Account in the Vendor Application and/or other available communication channels. Such additional notices are provided for the Partner’s convenience and do not release the Partner from the obligation to independently and prudently monitor the status of participation in the Program and other information available in the Personal Account.

2.6. Use by the Partner of the Program Benefits during the Introductory Free Period confirms the Partner’s consent to participate in the Program and constitutes acceptance of these Terms.

2.7. If the Partner does not opt out before the end of the Introductory Free Period, the Partner will continue participating in the Program on a paid basis, and the Program Fee will apply automatically in accordance with these Terms and applicable commercial terms made available to the Partner.

2.8. If the Partner does not agree with paid participation in the Program, the Partner shall independently take all actions required to opt out of the Program before the end of the Introductory Free Period.

3. PROGRAM BENEFITS

3.1. Participation in the Program provides the Partner with access to commercial, marketing, subscriber-related and/or discoverability opportunities within the Service (hereinafter referred to as the “Program Benefits”).

3.2. The Program Benefits are aimed, among other things, at increasing the Partner’s marketing visibility within the Service by enabling Users with the Yango Plus Subscription or other eligible Users to identify Partners participating in the Program as Partners in respect of which certain subscriber-related benefits, bonuses or other offers may be available in accordance with the Service interface.

3.3. The specific scope, conditions, availability, display and duration of the Program Benefits are determined by Yango Deli and communicated to the Partner in the Personal Account in the Vendor Application and/or other commercial terms made available to the Partner, where applicable.

3.4. Yango Deli determines the scope, availability, display and duration of Program Benefits at its sole discretion, subject to technical availability, Service algorithms, User eligibility, Partner eligibility and other applicable terms.

3.5. Yango Deli does not guarantee any specific ranking, placement, number of orders, GMV, revenue, conversion, traffic or other economic or commercial result in connection with the Partner’s participation in the Program.

3.6. Program Benefits may be unavailable or limited due to technical, operational, territorial, commercial or other reasons.

4. PROGRAM FEE AND PAID PARTICIPATION

4.1. After the Introductory Free Period, a fee, commission or other remuneration for participation in the Program applies unless the Partner opts out of the Program (hereinafter referred to as the “Program Fee”).

4.2. The Program Fee may result in an increased commission, fee or other remuneration payable by the Partner for Yango Deli Services and/or participation in the Program.

4.3. The amount, calculation basis and payment procedure of the Program Fee are specified on the Partner Page, in the Personal Account in the Vendor Application and/or in other commercial terms made available to the Partner.

4.4. The Program Fee may be charged as a separate fee, an additional commission, included in the cost of Yango Deli Services, reflected as a separate invoice line or otherwise specified by Yango Deli.

4.5. The total amount of the Program Fee for the reporting period shall be determined in accordance with Yango Deli statistics data.

4.6. The Program Fee may be deducted from the amounts payable by Yango Deli to the Partner, charged as part of the cost of Yango Deli Services, invoiced separately or settled otherwise in accordance with the agreement between Yango Deli and the Partner.

4.7. The Program Fee may be reflected in certificates, invoices, FNE invoices, reports or other closing documents in accordance with applicable law and Yango Deli’s accounting process.

4.8. Unless otherwise required by applicable law, the Program Fee may be included as a separate line in the Partner invoice or other closing document, or included in the cost of Yango Deli Services.

4.9. Each party is responsible for its own taxes, duties and charges applicable under applicable law.

4.10. The Partner may opt out of the Program after the Introductory Free Period by contacting support through the Personal Account in the Vendor Application or by using another method made available by Yango Deli. Unless otherwise specified by Yango Deli, such opt-out becomes effective from the next reporting period.

5. NOTICES AND PARTNER’S RESPONSIBILITY TO MONITOR

5.1. Notices related to the Program may be sent through the Personal Account in the Vendor Application, Vendor Application, Partner Page, e-mail, Service interface or other available communication channels.

5.2. The Partner is responsible for checking notices in the Personal Account in the Vendor Application, Vendor Application, Partner Page, e-mail and other communication channels.

5.3. Notices sent through the Personal Account in the Vendor Application, Vendor Application or Partner Page shall be deemed received by the Partner from the moment they are made available to the Partner.

5.4. Failure by the Partner to review notices, the Personal Account or other communication channels shall not affect the validity of the Partner’s inclusion in the Program, the expiry of the Introductory Free Period, the application of the Program Fee or other consequences provided by these Terms.

6. SUSPENSION, TERMINATION AND CHANGES

6.1. Yango Deli may suspend or terminate the Partner’s participation in the Program in case of abuse, fraud, low rating, operational issues, technical issues, violation of the agreement with Yango Deli, violation of these Terms, violation of applicable law or other compliance reasons.

6.2. Yango Deli may suspend or terminate the Program, change its terms, change the Program Benefits, change the Program Fee or make the Program unavailable to certain Partners at any time.

6.3. Information about suspension, termination or modification of the Program may be posted at: https://yango.com/legal/plus_partner_program_civ and/or made available in the Personal Account in the Vendor Application.

6.4. Technical unavailability of Program Benefits does not constitute breach by Yango Deli.

6.5. In case of violation by the Partner of these Terms, Yango Deli may refuse to provide the terms and/or Program Benefits provided by these Terms.

6.6. In order to prevent unfair use or receipt of special terms and/or abuse in the use or receipt of special terms, Yango Deli reserves the right to apply methods of checking the good faith of the Partner not expressly specified in these Terms, as well as to refuse to provide terms and/or Program Benefits in case of abuse and/or bad faith behavior of the Partner.

7. APPLICABILITY OF THESE TERMS AND MISCELLANEOUS

7.1. These Terms apply to Partners irrespective of the method by which the Partner entered into the agreement with Yango Deli, including by signing an agreement in writing, accepting the Yango Deli Services Offer, accepting another offer, or otherwise joining the Yango Deli Service, provided that the Partner has been notified of these Terms through the Personal Account in the Vendor Application, Partner Page, e-mail and/or other available communication channels.

7.2. In all other matters not provided for in these Terms, the parties shall be guided by the agreement entered into between Yango Deli and the Partner, including the Yango Deli Services Offer, if applicable.

7.3. In case of any discrepancy between these Terms and the Yango Deli Services Offer or other agreement entered into between Yango Deli and the Partner in respect of the Partner’s participation in the Program, these Terms shall prevail.

7.4. Yango Deli shall not be liable for any damage that may be caused to the Partner in connection with participation in the Program, for damage caused to the Partner or its property due to the fault of third parties, for violations by the Partner of applicable law and for any consequences arising therefrom.

7.5. These Terms are the only official terms of participation in the Program. In case of any situations allowing ambiguous interpretation of these Terms and/or issues not regulated by these Terms, the final decision on such interpretation and/or explanation shall be made directly and exclusively by Yango Deli.
